Background Checchi and Company Consulting, Inc. (Checchi) requires the services of a Risk Management Company for the USAID-funded Access to Justice Activity (AJA) in Colombia. The objective of the AJA is to provide assistance for a four-year activity ( ) to strengthen access to justice in Colombia. This activity represents the continuation of USAID/Colombia rule of law programming and is expected to consolidate prior gains, strengthen institutions, and heighten the focus in consolidation areas. The AJA presents an opportunity for USAID to address some of the most pressing justice-related issues in Colombia, with the overall objective of enhancing and broadening access to justice, and, in particular, access for women and disadvantaged groups. The AJA will be implemented with the support of a long-term term expatriate as well as longterm Colombian nationals and short-term technical assistance staff. The AJA s main office will be located in Bogota, and will be supported by regional offices that will possibly be established in Tumaco, Caucasia, Monteria, Sincelejo, Villavicencio, Florencia and Ibague. The AJA staff and experts will be required to travel periodically to these regions in a low profile manner to conduct the work required by USAID. Neither USAID nor any other agency of the United States Government will be responsible for this award. Checchi will be the responsible entity for managing the solicitation process, including the review and evaluation of proposals, and the selection of a Risk Management Company for award. In addition, Checchi Consulting will be responsible for conducting oversight and monitoring of the activities to be carried out by the selected contractor. 1

2 II. General Instructions This is a Request for Proposal (RFP) only, and in no way obligates Checchi Consulting or the AJA to award any subcontract. All documents from the Offeror related to this RFP shall be in English or Spanish and all costs shall be expressed in US Dollars. The Offeror shall bear all costs associated with the preparation and submission of a proposal. Checchi/AJA shall in no case be responsible or liable for these costs. To ensure receipt of notifications of amendments to this RFP, and/or other notices, Offerors shall submit their confirmation of receipt of this RFP with contact information to the address provided in Section IV. If this solicitation is amended, then all terms and conditions which are not modified remain unchanged. Offerors shall acknowledge receipt of any amendment to this solicitation by identifying the RFP and amendment number(s) and date(s) in the submittal letter accompanying the Offer. III. Eligibility Only those private companies that are fully licensed to conduct business in Colombia and are registered with the Superintendencia de Vigilancia y Seguridad Privada are eligible to bid for this procurement. IV. Questions and Clarifications Any questions/clarifications should be submitted by to Cesar Solanilla, with cc to and by 4:00 pm (Colombia time) Thursday, October 17, Answers will be shared with all bidders. V. Submission of Proposals The deadline for offers is 1700 hrs (5:00 pm, Colombia time), Friday October 25, Submissions must be directed to Cesar Solanilla, with cc to and Offerors must prepare one electronic copy of the technical and cost proposals. The technical proposal and cost proposal must be kept separate from each other. Technical and cost proposals 2

3 shall be provided in software compatible with MS Word and MS Excel. Technical proposals must not make reference to pricing data in order that the technical evaluation may be made strictly on the basis of technical merit. Please provide technical and cost proposals in separate s. For technical proposals, each offeror shall use the following language in the subject line of the message: [Offeror name] Technical Proposal RFP No. CCCI/AJA-SUBK For cost proposals, each offeror shall use the following language in the subject line of the message: [Offeror name] Cost Proposal RFP No CCCI/AJA-SUBK The proposals shall be printable on letter size paper, single-spaced with each page numbered consecutively. Proposals received after the deadline may not be considered. Proposals must be valid for a minimum of sixty (60) calendar days. VI. Content and Format of your Proposal A. Technical Proposal: The technical proposal in response to this solicitation shall not exceed a total of 15 pages consecutively numbered in Spanish or English language. The proposal should address how the Offeror is qualified (personnel, corporate capabilities, and past performance) to carry out relevant tasks in the technical areas identified in Section I and further described in Annex A, the Statement of Work. It should demonstrate a clear understanding of the work to be undertaken and the responsibilities of all parties involved. The technical proposal should, at a minimum, include with as much specificity as possible in 15 pages or less, the following information to address the scope of work of Annex A: 1. Technical Approach: Approach to design working with AJA staff to revise a security policy manual, implement periodic security training for project staff, and provide monthly risk assessment services to advise staff prior to travel. 2. Past Performance and corporate capabilities: Description of offeror s experience performing similar work in Colombia. 3. Key Personnel: Qualifications and skills of proposed key personnel, including CV of not more than 4 pages. The Offeror shall also provide 3 references for the proposed key personnel. CVs and references will not be counted against the page limit. The technical proposal shall also be accompanied by: 1. Transmittal letter: which includes (1) the RFP number (2) company name (3) your company s commitment to providing all required services for the full Period of Performance specified in Annex A: Statement of Work; and (4) the validity of your proposal for a minimum of sixty (60) calendar days. The letter must be signed by a person authorized to bind your company and negotiate on your company s behalf. 2. A copy of the company s registration to work in Colombia 3. A copy of the company s registration with the Superintendencia de Vigilancia y 3

4 Seguridad Privada 4. The names and contact information for three (3) references that Checchi may contact for an assessment of your company s past performance. 5. Complete all forms and sections included within Annex D, "Representations, Certifications, and Other Statements of Offeror," and sign and date on the last page in the space provided. B. Cost Proposal: All offerors must prepare a separate, detailed cost proposal that is written in Spanish or English and that shows a detailed itemization of the proposed costs of the activity not to exceed US$143,818. Checchi/AJA will use the cost proposal to establish that the costs are reasonable. The cost proposal will serve as a basis for negotiating the subcontract. The budget submitted shall stipulate the units of measurement and unit values, and it should be expressed in US Dollars. The offeror shall indicate the exchange rate used to convert local expenses to US dollars. A biodata sheet (per Appendix) must be filled in for each staff member with a proposed salary in the budget. The biodata sheet indicates a person s salary history to justify the proposed salary rate. Checchi will use the biodata to confirm that proposed salaries are fair and reasonable. The winning offeror will receive a subcontract from Checchi/AJA. This will be in the form of a Firm Fixed Price Subcontract (hereafter referred to as fixed price subcontract ), which places full responsibility for all costs and implementation upon the contractor. Offerors must therefore prepare a cost proposal that provides the best estimate of all costs associated with the activities they proposed in the Technical Proposal. Offerors with existing infrastructure such as offices, computers, vehicles, etc. may use these assets to operate the subcontract and thereby reduce their overall proposed cost. To determine the price of the subcontract, cost or price analysis must take place. Checchi evaluates the proposed subcontractor's salaries, indirect cost rates, if applicable, and their application, other direct costs, and travel and allowances line items, to ensure that AJA is receiving a fair and reasonable price. In addition to cost spreadsheets, all cost proposals should include detailed written budget notes (written in Spanish or English) that provide detailed explanations of assumptions and cost realism of items in the cost proposal. This will allow the offeror to explain the cost proposal in terms that might not be immediately apparent from the cost spreadsheets. The cost notes will also assist the Evaluation Committee in understanding how the offeror established the budget. A guide to developing the cost proposal is included in the Annex B. 4

5 VII. Anticipated Award Type and Delivery Checchi anticipates making one Firm Fixed Price subcontract award to the successful Offeror. Please refer to Annex C for the draft terms and conditions, which may be expanded or adapted at the time of subcontract award. VIII. Evaluation and Selection Criteria for Award Checchi will make the award to the Offeror whose proposal provides the best value to AJA using a trade- off process, considering both technical and cost factors. Technical and cost factors will be evaluated relative to each other, as described herein. The technical evaluation factors, taken as a whole, are of greater importance than cost or price in determining best value. (a) The technical proposal will be scored by a Technical Evaluation Committee (TEC) using the criteria shown in this Section. (b) The cost proposal will be evaluated separately by the method described in this Section. Offerors should note that these criteria: (1) serve as the standard against which all proposals will be evaluated, and (2) serve to identify the significant matters which offerors should address in their proposals. Evaluation Factors Technical Approach: This will evaluate the offeror s proposed methodology and work plan. In the methodology it includes the understanding of the scope of work; appropriateness of the proposed intervention and clarity of the proposed deliverables. Under the Work plan it includes the organization of the tasks, maximization of time and clarity in the assignment of personnel. Past Performance: Past experience in relevant field and corporate capabilities: This will include an evaluation of the capacity of the organization to perform the scope of work, review of previous experience in similar jobs, references about quality deliverables, etc. Key Personnel: This will include the evaluation of the qualifications of proposed staff; mix of experience and technical capabilities and assignment of tasks to maximize resources and meet deadlines. Evaluation of the CV and reference if needed. Points: The Offeror should structure the proposal so as to provide the best value and greatest assurance of results at the lowest cost. Each Offeror s cost proposal for the contract period shall be evaluated in terms of allowability, allocability, reasonableness and realism to determine the appropriate cost for the work, the offeror s understanding of the work, and the offeror s ability to perform the work. Price has not been assigned a numerical weight. It should be noted that estimated cost is an important factor, and its importance as an evaluation factor will increase to the degree that proposals receive similar ratings on the technical criteria. 5

6 ANNEX A STATEMENT OF WORK The subcontractor will work with the AJA management team to provide basic risk management services to the AJA project to mitigate potential security incidents to staff while implementing the AJA project in Colombia. Location of Assignment: The subcontractor is expected to have office operations in Colombia to provide daily support as requested to the AJA project team. The risk management team will operate from its local headquarters in Colombia to provide remote risk assessment and security advise to AJA. The AJA project operates in 5 regional and 2 sub-regional offices in: Caucasia, Monteria, Sincelejo, Villavicencio, Popayan, Tumaco, and Ibague. AJA project staff may be required to travel outside of these regions depending on project activities. Timeframe: The subcontract period of performance is November 12, 2013-November 30, Duties & Responsibilities: The subcontractor shall provide risk management services to Checchi s Access to Justice Activity based in Bogota with operations in Colombia s Consolidation Zones. The risk assessment services shall include the following tasks: 1. Review and revise the AJA security policy and protocols and update the security strategy manual for AJA s project operations. 2. Provide an annual training to project staff on security awareness and preventative measures to staff based on Bogota. 3. Conduct annual visits to the 7 regions listed under location of assignment to assess the security risk of the area and provide annual training to project staff on security awareness and preventative measures. 4. Provide staff security recommendations prior to conducting any travel to the project s areas of implementation and prior to conducting project events. The AJA project logistics personnel will consult the security contractor prior to project personnel travel. The security contractor must provide personnel from their office of operation that can be contacted by and telephone on a daily basis for risk assessment updates as needed. 5. Liaise with military/police authorities to gather more information on the security situation in AJA s areas of operations. 6. Provide crisis management support to liaise with the project COP and Checchi home office staff in accordance with procedures established in the project s security policy manual. 7. Assist project staff in conducting security checks of local ground transportation service providers that are contracted by AJA in the areas of project implementation 8. Provide periodic security updates and incident information via bulletins to project staff 6

7 9. Designate a security manager that will be available for consultation and crisis management. The security manager will spend at minimum 4 hours per week working in the AJA office in Bogota. 7

8 ANNEX B GUIDE TO CREATING A COST PROPOSAL The purpose of this annex is to guide Offerors in creating a budget for their Cost Proposal. Because the subcontract will be funded as part of a United States government-funded project, it is important that all Offerors budgets conform to these standard formats. It is thus recommended that Offerors follow the following steps. Step 1: Design the technical proposal. Offerors should examine the market for the proposed activity, and realistically assess how they can meet AJA s needs. Offerors should present and rationalize this in great detail in their technical proposals. Step 2: Determine the basic costs associated with the activity. The Cost proposal should provide the best estimate of the costs associated with the proposed activity, which should include labor and other direct costs. Other direct costs (i.e. non-labor) include, but are not limited to, the following. 1. Regional travel and transportation, and associated travel expenses 2. Lodging and per diem expenses associated with travel Rent 4. Utilities 5. Communications 6. Office supplies 7. Furnishings 8. Office equipment. Step 3: Create a budget for the Cost Proposal. Each Offeror must create an itemized budget using a spreadsheet program compatible with MS Excel. The budget should cover the number of days needed to complete the scope of work in Section B. A sample budget is shown on the following page. As a subcontractor of AJA, the subcontract awardee will have a Non-US tax exemption status. To the extent that these costs are not exempted, the question of their allowability would be determined on a case-by-case basis as a direct cost. Step 4: Write Budget Notes. The spreadsheets used to develop the budget should be copied and pasted into the cost proposal document. Offerors should write detailed notes explaining each line item cost and the assumptions they used in developing their budget. These notes should also explain any plans the Offeror may have for sharing the costs of business expansion with AJA, or instances where the Offeror will utilize existing resources to save costs. An example of cost notes is as follows: 8

9 Salaries: Project Manager: We have proposed 130 per year for the project manager to provide daily security risk assessment to the AJA project. The rate of the project manager is based on the attached biodata sheet. Travel and transportation: We have budgeted a quarterly trip for two representatives to travel each region to conduct an on the ground risk assessment which includes meetings with local officials and organizations to discuss the current status. Each trip is estimated for 2 days and 1 night. 10 ANNEX C TERMS AND CONDITIONS FIXED PRICE SUBCONTRACT AGREEMENT Between CHECCHI AND COMPANY CONSULTING, INC. And XXX The following articles constitute the entire agreement between CHECCHI AND COMPANY CONSULTING, INC. (hereinafter Checchi or Contractor ), located at 1899 L Street, NW, Washington, DC 20036, and XXX (hereinafter Subcontractor ), located at XXX for performance of the services in Article I below, such services to be performed for the Contractor under Contract No. AID-514-C with the United States Agency for International Development (hereinafter USAID or Government ) to support the implementation of the Access to Justice Activity (AJA). The terms and conditions of this Subcontract as set forth below supersede all communications, representations or agreements, whether oral or written, between the parties with respect to the subject matter of this Subcontract. No agreement, modification, or understanding varying or extending the terms or conditions of this Subcontract will be binding, unless in writing and properly executed. The Contractor s Subcontract Administrators for this Subcontract are Mark Williams and J. Javier Agosto. No other person has authority, actual or implied, to bind the Contractor to any obligation, make any changes in the scope of work, or allow any deviations from the terms of this Subcontract unless granted such authority in a written statement signed by the Subcontract Administrator. Article I Statement of Work The Subcontractor agrees to devote its best efforts to assisting the Contractor in providing the services called for in Attachment A: Statement of Work. No será vinculante ningún acuerdo, modificación o entendimiento que modifique o amplíe los términos o condiciones del presente Subcontrato, salvo que se realice de forma adecuada y por escrito. Los Administradores de Subcontrato para el presente Subcontrato por parte del Contratante son Mark Williams y J. Javier Agosto. Ninguna otra persona tiene la facultad, real o implícita, de obligar al Contratante respecto a cualquier obligación, realizar cualquier modificación del alcance de trabajo, o permitir cualquier desviación de los términos de este Subcontrato, salvo que haya sido facultado por escrito por el Administrador del Subcontrato. Artículo I Declaración de Trabajo El Subcontratista se compromete a realizar sus mejores esfuerzos para ayudar al Contratante en la prestación de los servicios que constan en el Anexo A: Alcance de 10

11 Trabajo. The Contractor may order changes in the Statement of Work pursuant to the Federal Acquisition Regulation (FAR) Clause , Changes Fixed Price, which is incorporated by reference. Article II Period of Performance The period of performance for this Subcontract is from November 12, 2013 to November 30, The Subcontractor shall deliver the deliverables set forth in Attachment A to the Chief or Party or his designee in accordance with the schedule stipulated therein. Article III Subcontract Type and Budget This is a Fixed Price Subcontract. The Subcontractor s budget is presented in Attachment B. The cost for the performance of the work required is $XXX (amount must be denominated in local currency if a local subcontract). In the event that the Subcontractor fails to make progress so as to endanger performance of this Subcontract, or is unable to fulfill the terms of this Subcontract by the completion date, the Subcontractor shall notify the Contractor forthwith and Checchi shall have the right to summary termination of this Subcontract upon written notice to the Subcontractor in accordance with the incorporated FAR Clause , Default (Fixed-Price Supply and Service). Article IV Payments and Invoices A. Payments shall be made by the Contractor within thirty (30) business days pursuant to: (a) the Contractor s receipt of the Subcontractor s invoices and (b) completion and Checchi s written approval of the Subcontractor s deliverables in accordance with the Statement of Work (Attachment A) and the schedule below. El Contratante realizará los pagos dentro de treinta (30) días hábiles a partir de (a) la recepción por parte del Contratante de las facturas del Subcontratista, y (b) la finalización y la aprobación de Checchi por escrito de los productos del Subcontratista de acuerdo con el Alcance de Trabajo (Anexo A) y el cronograma que se describe a continuación. 11

If any cost is disallowed by the Government at any time, the Contractor shall not be liable to the Subcontractor for the amount of the disallowed cost. 13 Article V Technical Direction The Contractor s designated representative in Colombia is Mark Williams, Chief of Party of the Access to Justice Activity. All personnel provided by the Subcontractor in Colombia shall report to, and take direction from, the Chief of Party, or for technical matters, his or her designee. A. The Subcontractor shall not communicate directly with USAID during the performance of this Subcontract unless authorized by the Chief of Party. B. The Subcontractor will provide inputs and collaborate with the AJA s Monitoring and Evaluation (M&E) Coordinator, which includes the Subcontractor s submission of quarterly reports, including inputs for the M&E indicators and supporting data. C. Checchi has the right to inspect all services and deliverables called for by this Subcontract, to the extent practicable at all times and places during the term of the Subcontract. D. The Subcontractor will advise the Chief of Party of any needs for official communication with Government of Colombia (GOC) authorities. All official communication to the GOC will be presented on AJA project letterhead and signed by Mr. Mark Williams unless otherwise delegated by him in writing. Article VI Tax Exemption All purchases of goods and services financed under USAID funds will be tax exempt, as recognized by the Government of Colombia s Dirección de Impuestos y Aduanas Nacionales (DIAN). Tax payments are not allowable costs to be paid for with USAID funds. Any transaction for which the Subcontractor expects to incur taxes, eligible for tax exemption as a good or service to be financed under the Subcontract, should be presented to and approved by Checchi prior to the purchase or incurrence of these costs to ensure appropriate use of the tax exemption certification provided by the Government of Colombia to the USAID/Colombia Access to Justice Activity. Checchi will submit a copy of the certification upon the Subcontractor s request prior to the purchase of a good Artículo V Dirección Técnica El representante designado por el Contratante en Colombia es Mark Williams, Director del Proyecto de Acceso a la Justicia. Todo personal que facilite el Subcontratista en Colombia dependerá y recibirá indicaciones del Director, o para temas técnicas, por su designado. A. El Subcontratista no se comunicará directamente con USAID, durante el cumplimiento del presente Subcontrato, salvo que lo autorice el Director. B. El Subcontratista facilitará la información que se requiera y colaborará con la Coordinadora de Monitoreo y Evaluación (M&E) del AJA, lo que incluye la entrega por parte del Subcontratista de informes trimestrales, incluyendo los insumos para los indicadores M&E e información de soporte. C. Checchi tiene el derecho a supervisar todos los servicios y productos estipulados en el presente Subcontrato, en la medida factible en todo momento y todos los lugares durante el plazo de duración del Subcontrato. D. El Subcontratista avisará al Director sobre cualquier necesidad de comunicación oficial con las autoridades del Gobierno de Colombia (GdC). Toda comunicación oficial al GdC se presentará en membrete del proyecto AJA y firmada por el Sr. Mark Williams, salvo delegación distinta que este realice por escrito. Artículo VI Exención fiscal Todas las compras de bienes y servicios financiadas conforme a fondos de USAID serán exentas de impuestos, tal como se reconoce por parte de la Dirección de Impuestos y Aduanas Nacionales (DIAN) del Gobierno de Colombia. Los pagos de impuestos no son gastos autorizados a pagar mediante fondos de USAID. Cualquier operación en la que el Subcontratista espere devengar impuestos, apto para la exención de impuestos como bien o servicio a financiarse de acuerdo con el Subcontrato, deberá presentarse a y ser aprobada por Checchi con anterioridad a la compra o la realización de estos gastos para garantizar el uso correcto de la certificación de exención fiscal facilitada por el Gobierno de Colombia al Programa de Acceso a la 13

14 or service to be financed under this Subcontract. The use of the certification is subject to the following conditions: a. The certification may be used only for transactions financed under the terms of this Subcontract and the USAID/Colombia Access to Justice Activity. b. Copies of the certification will be provided by Checchi to the Subcontractor only to the extent necessary for the use described above. c. Checchi s policies and procedures require that the service or good for which the tax exemption is sought be presented and approved by Olga de la Ossa, AJA Administrative Manager, at prior to the purchase. d. Any presentation of taxes related to: property and its use; investments or deposits; currency controls; importation or exportation, acquisition, use or disposition of goods; customs duties and tariffs; and sales taxes for procurement of goods and services, without prior approval and appropriate use of the certification for tax exemption, will be the responsibility of the Subcontractor. Article VII Intellectual Property Rights The ownership of all copyright and other intellectual property rights in respect of any data compilations, research, spreadsheets, graphs, reports, diagrams, designs, work products, software, or any other documents, developed in connection with this fixed price subcontract will exclusively vest in or remain with Checchi/USAID, which shall have all proprietary rights therein, notwithstanding that the Subcontractor or its employees may be the author of the intellectual property. All documents relating to the intellectual property or otherwise connected with this Subcontract, the services, or duties must be returned or delivered to Checchi at the time of the expiration or termination of the Subcontract. The Subcontractor agrees not to publish or make use of any of the intellectual property, or documents relating thereto, without the prior written approval of Checchi/USAID and proper attribution. Justicia de USAID/Colombia. Checchi hará entrega de una copia de la certificación cuando el Subcontratista se la pida, con anterioridad a la compra de un bien o servicio a financiarse de acuerdo con el presente Subcontrato. El uso de la certificación queda supeditado a las siguientes condiciones: a. La certificación podrá utilizarse únicamente para operaciones financiadas de acuerdo con los términos del presente Subcontrato y el Proyecto de Acceso a la Justicia de USAID/Colombia. b. Checchi facilitará copias de la certificación al Subcontratista únicamente en la medida de lo necesario para la utilización descrita anteriormente. c. Las políticas y procedimientos de Checchi exigen que el servicio o bien para el que se busca la exención fiscal sea presentado a y aprobado por Olga de la Ossa, Gerente Administrativa del AJA, a la dirección de con anterioridad a la compra. d. Cualquier presentación de impuestos relacionados con: inmuebles y su uso; inversiones o depósitos, controles de moneda; importación o exportación, adquisición, uso o disposición de bienes; aranceles y tarifas de aduana; e impuestos sobre las ventas para la adquisición de bienes y servicios, sin aprobación previa y el uso correcto de la certificación a efectos de la exención fiscal, será por cuenta del Subcontratista. Artículo VII Derechos de Propiedad Intelectual La titularidad de todos los derechos de autor y otros derechos de propiedad intelectual respecto a cualesquiera recopilaciones de datos, investigación, hojas de cálculo, gráficos, informes, croquis, diseños, productos de trabajo, software, o cualesquiera otros documentos, desarrollados con relación al presente subcontrato a precio fijo corresponderá exclusivamente o quedará en Checchi/USAID, quien dispondrá de todos los derechos de propiedad respecto a los mismos, sin perjuicio del hecho de que el Subcontratista o sus empleados sean el autor de la propiedad intelectual. Todos los documentos relacionados con la propiedad intelectual o vinculados de otra forma con el presente Subcontrato, los servicios, o los deberes deberán ser devueltos o entregados a Checchi en el momento del vencimiento o resolución del Subcontrato. El Subcontratista se 14

15 compromete a no publicar o hacer uso de cualquier propiedad intelectual, o documentos relacionados con la misma, sin la aprobación previa de Checchi/USAID otorgada por escrito y la atribución propia. Article VIII Organizational Conflicts of Interest It is understood and agreed that some of the work performed under this Subcontract may place the Subcontractor or its personnel in the position of having an organizational conflict of interest. Such an organizational conflict of interest may impair the objectivity of the Subcontractor or its personnel in performing the work. To preclude or mitigate any potential conflicts of interest, the Subcontractor agrees not to undertake any activity which may result in an organizational conflict of interest without first notifying Checchi of such potential conflict of interest and receiving written approval to undertake such activities from the Chief of Party. Article IX Branding Policy All activities, publications and dissemination materials implemented as part of this Subcontract must comply with USAID s branding and marking plan for the Access to Justice Activity as detailed in Attachment A. Marking of this Subcontract deliverables shall comply with the USAID Graphic Standard Manual available at or any successor branding policy. Article X Subcontractor Performance Standards A. Subcontractor agrees to provide the services required hereunder in accordance with the requirements set forth in this Subcontract. Subcontractor undertakes to perform the services hereunder in accordance with the highest standards of professional and ethical competence and integrity in Subcontractor s industry and to ensure that employees assigned to perform any services under this Subcontract will conduct themselves in a manner consistent therewith. The services will be rendered by Subcontractor: (1) in an efficient, safe, courteous, and businesslike manner; (2) in accordance with any specific instructions issued from time to time by Checchi; and (3) to the extent consistent with Artículo VIII Conflictos de Interés Organizacionales Se entiende y queda acordado que parte del trabajo que se realice de acuerdo con el presente Subcontrato podría colocar al Subcontratista o su personal en la posición de tener un conflicto de interés organizacional. Tal conflicto de interés organizacional podría afectar la objetividad del Subcontratista o su personal en la realización del trabajo. Para impedir o mitigar cualquier posible conflicto de interés, el Subcontratista se compromete a no emprender ninguna actividad que pueda resultar en un conflicto de interés organizacional sin notificar a Checchi, en primer lugar, de dicho posible conflicto de interés y sin recibir la aprobación por escrito para emprender dichas actividades por parte del Director. Artículo IX Política de Marcas Todas las actividades, publicaciones y materiales de divulgación que se implementen como parte del presente Subcontrato deberán cumplir con el plan de marcas de USAID para el Proyecto de Acceso a la Justicia, según se detalle en el Anexo A. Las marcas de los productos del presente Subcontrato cumplirán el Manual de Normas Gráficas de USAID, disponible en o cualquier política de marcas que le sustituya en lo sucesivo. Artículo X Normas de Desempeño del Subcontratista A. El Subcontratista se compromete a prestar los servicios aquí exigidos de conformidad con los requisitos establecidos en el presente Subcontrato. El Subcontratista se compromete a prestar los servicios aquí señalados de acuerdo con las más altas normas de competencia e integridad profesional y ética de la industria del Subcontratista y a garantizar que los empleados destinados a prestar cualquier servicio de acuerdo con el presente Subcontrato se comportarán de una manera consistente. Los servicios serán prestados por el Subcontratista: (1) de una manera eficaz, segura, cortés, y profesional; (2) de acuerdo con cualquier instrucción concreta que imparta Checchi en cada momento; y (3) en la medida 15

16 items (1) and (2), as economically as sound business judgment warrants. Subcontractor shall provide the services of qualified personnel through all stages of this Subcontract. Subcontractor shall perform the services as an independent Subcontractor with the guidance of Checchi. The Subcontractor s employees shall not act as agents or employees of Checchi. B. Checchi reserves the right to request the replacement of Subcontractor personnel and may terminate the Subcontract due to nonperformance by the Subcontractor. C. Checchi will use a variety of mechanisms to stay abreast of the Subcontractor s performance under the Subcontract, and of general progress toward completion of the Statement of Work. These may include: Business meetings between the subcontract team, Checchi and/or USAID; Feedback from relevant GOC officials and Project beneficiaries; Site visits by Checchi personnel; Meetings to review and assess periodic work plans and progress reports; and Periodic financial and other reports, as set forth in the schedule of deliverables or otherwise required by Checchi. D. Evaluation of the Subcontractor s overall performance under this Subcontract shall be conducted by Checchi. In addition to review of Subcontractor reports and deliverables, Checchi will review the quality of Subcontractor performance under this Subcontract. These reviews will be used to help determine the Subcontractor s suitability for future subcontracts. Article XI TraiNet Subcontractor will provide Checchi with training and financial data to ensure compliance with the Training Results and Information Network (TraiNet) to document all training activities funded by this Subcontract. congruente con los numerales (1) y (2), tan económicamente, como las buenas prácticas de negocios. Checchi utilizará una variedad de mecanismos para mantenerse informado del desempeño del Subcontratista de acuerdo con el Subcontrato, y del avance general hacia la finalización del Alcance del Trabajo, incluyendo: Reuniones de negocio entre el equipo del subcontrato, Checchi y/o USAID; Comentarios de oficiales relevantes del GdC y los beneficiarios del Proyecto; Visitas in situ por parte del personal de Checchi; Reuniones para revisar y valorar los planes de trabajo periódicos e informes de avance; y Informes financieros periódicos y otros informes, según el calendario de los entregables o se exija de otra forma por parte de Checchi. D. La valoración del desempeño global del Subcontratista de acuerdo con el presente Subcontrato será realizada por Checchi. Además de la revisión de los informes y entregables del Subcontratista, Checchi revisará la calidad del desempeño del Subcontratista de conformidad con el presente Subcontrato. Estas calificaciones se utilizarán para ayudar a determinar la idoneidad del Subcontratista para futuros subcontratos. Artículo XI TraiNet El Subcontratista facilitará a Checchi los datos de formación y financieros para garantizar el cumplimiento con la Training Results and Information Network (TraiNet) para documentar todas las actividades de capacitación financiadas por este Subcontrato. 16

17 The TraiNet systems applies to any in-country training programs or sub-programs of two consecutive class days or more in duration, or 16 contact hours or more scheduled intermittently. However, the Subcontractor should report any and all other in-country training events that are critical to their development efforts. The Subcontractor must consolidate the training data according to training program or sub-program. The data must be reported by program and not by individual participants as is required by USAID. Article XII Incorporated Provisions This Subcontract is based on, and is subject to, the terms and conditions of (a) the Prime Contract between USAID and Checchi and Company Consulting, Inc. and (b) applicable sections of the FAR and AIDAR clauses listed in Attachment C, which this Subcontract incorporates by reference. Article XIII Executive Order on Terrorism Financing The Subcontractor is reminded that U.S. Executive Orders and U.S. law prohibit transactions with, and the provision of resources and support to, individuals and organizations associated with terrorism. It is the legal responsibility of the Subcontractor to ensure compliance with these Executive Orders and laws. Article XIV Combating Trafficking in Persons A. Definitions. As used in this clause-- "Coercion" means-- (1) Threats of serious harm to or physical restraint against any person; (2) Any scheme, plan, or pattern intended to cause a person to believe that failure to perform an act would result in serious Los sistemas de TraiNet se aplican a cualquier programa de formación dentro del país o sub-programa cuya duración sea, como mínimo, de dos clases consecutivas, o 16 horas de contacto programadas, como mínimo, de forma intermitente. Artículo XII Disposiciones Incorporadas El presente Subcontrato está basado en, y está sujeto a, los términos y condiciones de (a) el Contrato Matriz celebrado entre USAID y Checchi and Company Consulting, Inc. y (b) los apartados aplicables de las cláusulas FAR y AIDAR que se exponen en el Anexo C, lo que el presente Subcontrato incorpora mediante referencia. Artículo XIII Orden Ejecutiva sobre Financiación del Terrorismo Se recuerda al Subcontratista que las Órdenes Ejecutivas de los Estados Unidos y la legislación estadounidense prohíben operaciones con, y la disposición de recursos y apoyo a, individuos y organizaciones relacionados con el terrorismo. Es responsabilidad legal del Subcontratista garantizar el cumplimiento de estas Órdenes Ejecutivas y leyes. Artículo XIV Lucha contra la Trata de Personas A. Definiciones. Tal como se utiliza en esta cláusula Coerción significa (1) Las amenazas de daño serio o restricción física contra cualquier persona; (2) Cualquier régimen, plan o patrón con la intención de hacer creer a una persona que el no cumplimiento de 17

18 harm to or physical restraint against any person; or (3) The abuse or threatened abuse of the legal process. "Commercial sex act" means any sex act on account of which anything of value is given to or received by any person. "Debt bondage" means the status or condition of a debtor arising from a pledge by the debtor of his or her personal services or of those of a person under his or her control as a security for debt, if the value of those services as reasonably assessed is not applied toward the liquidation of the debt or the length and nature of those services are not respectively limited and defined. "Employee" means an employee of the Subcontractor directly engaged in the performance of work under the contract who has other than a minimal impact or involvement in contract performance. "Forced Labor" means knowingly providing or obtaining the labor or services of a person-- (1) By threats of serious harm to, or physical restraint against, that person or another person; (2) By means of any scheme, plan, or pattern intended to cause the person to believe that, if the person did not perform such labor or services, that person or another person would suffer serious harm or physical restraint; or (3) By means of the abuse or threatened abuse of law or the legal process. "Involuntary servitude" includes a condition of servitude induced by means of-- (1) Any scheme, plan, or pattern intended to cause a person to believe that, if the person did not enter into or continue in such conditions, that person or another person would suffer serious harm or physical restraint; or (2) The abuse or threatened abuse of the legal process. "Severe forms of trafficking in persons" means-- (1) Sex trafficking in which a commercial sex act is induced by force, fraud, or coercion, or in which the person induced to perform such act has not attained 18 years of age; or (2) The recruitment, harboring, transportation, provision, or obtaining of a person for labor or services, through the use of force, fraud, or coercion for the purpose of subjection to involuntary servitude, peonage, debt bondage, or slavery. "Sex trafficking" means the recruitment, harboring, un acto resultaría en daños graves a o la restricción física contra cualquier persona; o (3) El abuso o amenaza de abuso del proceso jurídico. Empleado significa un empleado del Subcontratista directamente involucrado en el desempeño de trabajo de acuerdo con el contrato o que tenga más que un impacto mínimo o participación en el desempeño del contrato. Trabajo forzoso significa facilitar o conseguir, a sabiendas, el trabajo o servicios de una persona (1) mediante amenazas de daños graves a, o restricción física contra, esa persona u otra persona; (2) mediante cualquier régimen, plan o patrón que pretenda hacer que la persona crea que, si la persona no cumple tal trabajo o servicios, tal persona u otra persona sufriría daños graves o restricción física; o (3) mediante el abuso o amenaza de abuso de la ley o el proceso legal. Servidumbre involuntaria incluye una condición de servidumbre inducida mediante (1) cualquier régimen, plan o patrón que pretenda hacer que creer a una persona que, si ella no entrara en o continuara tales condiciones, dicha persona u otra persona sufriría daños graves o restricción física; o (2) el abuso o amenaza de abuso del proceso legal. Formas severas de trata de personas significa (1) el tráfico de sexo en que un acto de sexo comercial sea inducido mediante fuerza, fraude o coerción, o en que la persona inducida a realizar tal acto no ha cumplido 18 años de edad; o (2) El reclutamiento, hospedaje, transporte, provisión u obtención de una persona para trabajo o servicios, mediante el use de fuerza, fraude, o coerción para someterla a servidumbre involuntaria, peonaje, servidumbre por deudas o esclavitud. Tráfico sexual significa el reclutamiento, hospedaje, 18

19 transportation, provision, or obtaining of a person for the purpose of a commercial sex act. B. Policy. The United States Government has adopted a zero tolerance policy regarding trafficking in persons. Contractors and Contractor employees shall not-- (1) Engage in severe forms of trafficking in persons during the period of performance of the contract; (2) Procure commercial sex acts during the period of performance of the contract; or (3) Use forced labor in the performance of the contract. C. Subcontractor requirements. The Subcontractor shall-- (1) Notify its employees of-- (i) The United States Government's zero tolerance policy described in paragraph (B) of this clause; and (ii) The actions that will be taken against employees for violations of this policy. Such actions may include, but are not limited to, removal from the contract, reduction in benefits, or termination of employment; and (2) Take appropriate action, up to and including termination, against employees or subcontractors that violate the policy in paragraph (B) of this clause. D. Notification. The Subcontractor shall inform the Chief of Party/USAID immediately of-- (1) Any information it receives from any source (including host country law enforcement) that alleges a Contractor employee, Subcontractor, or Subcontractor employee has engaged in conduct that violates this policy; and (2) Any actions taken against Contractor employees, subcontractors, or Subcontractor employees pursuant to this clause. E. Remedies. In addition to other remedies available to the Government, the Contractor's failure to comply with the requirements of paragraphs (C), (D), or (F) of this clause may result in-- (1) Requiring the Contractor to remove a Contractor employee or employees from the performance of the contract; (2) Requiring the Contractor to terminate a subcontract; (3) Suspension of contract payments; (4) Loss of award fee, consistent with the award fee plan, for the performance period in which the Government determined Contractor noncompliance; (5) Termination of the contract for default or cause, in accordance with the transporte, provisión u obtención de una persona con la finalidad de un acto de sexo comercial. B. Política. El Gobierno de los Estados Unidos ha adoptado una política de tolerancia cero respecto a la trata de personas. Los Contratantes y los empleados de los Contratantes no deberán (1) Realizar formas severas de trata de personas durante el período de desempeño del contrato; (2) procurar actos de sexo comerciales durante el período de desempeño del contrato; o (3) Utilizar el trabajo forzoso en el cumplimiento del contrato. C. Requisitos del Subcontratista. El Subcontratista deberá (1) Notificar a sus empleados de (i) la política de tolerancia cero del Gobierno de los Estados Unidos descrita en el párrafo (B) de esta cláusula; y (ii) Las acciones que se tomarán contra los empleados en casos de incumplimiento de esta política. Tales acciones podrán incluir, sin carácter limitativo, la retirada del contrato, la reducción de beneficios, o cese del empleo; y (2) Tomar acción correcta, hasta el despido, inclusive, contra los empleados o subcontratistas que infrinjan la política expuesta en el párrafo (B) de esta cláusula. D. Notificación. El Subcontratista informará inmediatamente al Director/USAID de (1) Cualquier información que reciba de cualquier fuente (incluidas las fuerzas de seguridad del país anfitrión) que alegue que un empleado del Contratante, el Subcontratista, o empleado del Subcontratista se haya comportado de tal forma que suponga la infracción de esta política; y (2) Cualquier acción tomadas contra los empleados del Contratante, subcontratistas o empleados del Subcontratista de conformidad con lo previsto en esta cláusula. E. Acciones. Además de otras acciones disponibles al Gobierno, el incumplimiento del Contratante de los requisitos de los párrafos (C), (D) o (F) de esta cláusula podría resultar en (1) Requerir al Contratante para que retire a un empleado o empleados del Contratante del desempeño del contrato; (2) Requerir al Contratante para que resuelva un subcontrato; (3) Suspensión de los pagos contractuales; (4) Pérdida de los honorarios de adjudicación, de acuerdo con el plan de los honorarios de adjudicación, para el período de desempeño en que el Gobierno determinó el incumplimiento del Contratante; (5) 19

20 termination clause of this contract; or (6) Suspension or debarment. F. Subcontracts. The Contractor shall include the substance of this clause, including this paragraph (F), in all subcontracts. G. Mitigating Factor. The USAID Contracting Officer may consider whether the Contractor had a Trafficking in Persons awareness program at the time of the violation as a mitigating factor when determining remedies. Additional information about Trafficking in Persons and examples of awareness programs can be found at the website for the Department of State's Office to Monitor and Combat Trafficking in Persons at Article XV Prohibition on the Use of Federal Funds to Promote, Support, or Advocate the Legalization or Practice of Prostitution TIP Acquisition A. The U.S. Government is opposed to prostitution and related activities, which are inherently harmful and dehumanizing, and contribute to the phenomenon of trafficking in persons. None of the funds made available under this contract may be used to promote, support, or advocate the legalization or practice of prostitution. Nothing in the immediately preceding sentence shall be construed to preclude assistance designed to ameliorate the suffering of, or health risks to, victims while they are being trafficked or after they are out of the situation that resulted from such victims being trafficked. B. The contractor shall insert this clause, in its entirety, in all sub-awards under this award. C. This provision includes express terms and conditions of the contract and any violation of it shall be grounds for unilateral termination of the contract, in whole or in part, by USAID prior to the end of the term. Article XVI Non-Expendable Property Resolución del contrato por incumplimiento o causa, de acuerdo con la cláusula de resolución de este contrato; o (6) Suspensión o inhabilitación. F. Subcontratos. El Contratante incluirá el contenido relevante de esta cláusula, incluido este párrafo (F), en todos los subcontratos. G. Factor atenuante. El Oficial de Contrataciones de USAID podrá considerar si el Contratante tenía un programa de conciencia respecto a la Trata de Personas en el momento de la infracción como un factor atenuante a la hora de determinar las acciones. El Gobierno de los Estados Unidos se opone a la prostitución y actividades asimiladas que sean inherentemente dañinas y deshumanizantes, y contribuyen al fenómeno de la trata de personas. Ninguno de los fondos puesto a disposición de acuerdo con el presente contrato podrá utilizarse para promover, apoyar o abogar por la legalización o ejercicio de la prostitución. Nada en la frase inmediatamente anterior se interpretará para impedir ayudas diseñadas para mejorar el sufrimiento de, o riesgos de salud a, las víctimas mientras se encuentren sujetas a la trata de personas o después de que salgan de la situación que resultó de la trata de dichas víctimas. B. El contratante deberá insertar esta cláusula, en su totalidad, en todas las sub-adjudicaciones de acuerdo con esta adjudicación. C. 21 Per FAR , title to any non-expendable property purchased or acquired by the Subcontractor during the performance of this Subcontract will be transferred to USAID and/or the host government at the completion of the Subcontract at the direction of Checchi and with the prior approval of the USAID Contracting Officer. Article XVII Foreign Government Delegations to International Conferences Funds in this Subcontract may not be used to finance the travel, per diem, hotel expenses, meals, conference fees or other conference costs for any member of a foreign government's delegation to an international conference sponsored by a public international organization, except as provided in ADS Mandatory Reference "Guidance on Funding Foreign Government Delegations to International Conferences [http://www.info.usaid.gov/pubs/ads/300/refindx3.htm ] or as approved by Checchi. Article XIII Personnel A. No individual shall be engaged or assigned to perform work outside the United States under this Subcontract without Checchi s prior written approval. Checchi will assist the Subcontractor in obtaining the necessary USAID approvals and travel clearances for all such individuals. B. Other than work to be performed under this Subcontract for which an employee or consultant is assigned by the Subcontractor, no such employee or consultant of the Subcontractor shall engage, directly or indirectly, either in his/her own name or in the name or through the agency of another person, in any business, profession or occupation in Colombia or other foreign countries to which he/she is assigned, nor shall he/she make loans or investments to or in any such business, profession, or occupation in that country or countries. 22 Article XIX Confidentiality and Release of Information A. The Subcontractor agrees that information disclosed by the Contractor to the Subcontractor (or by the Subcontractor to the Contractor) for the purpose of performing services hereunder and identified as proprietary shall be held in strict confidence and used only in the performance of this Subcontract. Upon completion or termination of this Subcontract, the Subcontractor shall return all such items to the Contractor or make other disposition thereof as directed or approved by the Contractor. B. 24 the purpose of judicial resolution of all disputes not subject to arbitration and enforcement of arbitration awards. The Subcontractor further agrees that any process, notice of motion or other filing in either of said courts may be served outside Washington, D.C. by registered mail or personal service, provided a reasonable time for appearance is allowed or in such manner as may be permissible under the rules of said courts. While arbitration or judicial proceedings are pending, the Subcontractor shall continue performance as required by Checchi. Article XXV Termination A. Checchi reserves the right to terminate this Subcontract upon written notice to the Subcontractor, should Checchi's contract with USAID be terminated or for other just cause. In the event of termination of the Subcontract, the Subcontractor shall be reimbursed for costs incurred up to the effective date of termination. B. Just cause for termination of the Subcontract includes, but is not limited to, the following: the deliberate and/or repeated disregard for the laws and regulations of the country in which the work is being performed; the continued existence of conflict of interest after advice that such conflict exists; or general behavior unbecoming a professional serving as part of the United States assistance program. Unacceptable performance shall be defined as unauthorized absences or failure to undertake or complete in a satisfactory manner assigned tasks that are within the scope of this Subcontract, and when such absences or failure are within the control of the Subcontractor's personnel. Article XXVI Applicable Laws A. El desempeño inaceptable será definido como las ausencias no autorizadas o el incumplimiento en el emprendimiento o finalización de manera satisfactoria las tareas asignadas que se encuentren dentro del ámbito de este Subcontrato, y cuando dichas ausencias o incumplimiento se encuentren dentro del control del personal del Subcontratista.
