8 6 MEMORIA ANUAL / ANNUAL REPORT CARTA DEL PRESIDENTE EJECUTIVO LETTER FROM THE EXECUTIVE CHAIRMAN El año 2014 nuestra empresa cumplió 80 años de existencia, un hito que nos enorgullece y nos compromete a seguir desarrollando el proyecto empresarial que LarrainVial representa. Pero lo que esperábamos fuera un año de celebraciones resultó ser uno difícil por el contexto político y económico que enfrentamos en Chile y los países de la región en los que tenemos presencia. Al final del ciclo de precios favorables de los commodities, que se tradujo en una fuerte salida de capitales de la región, se sumó la crisis institucional brasileña, lo que impactó fuertemente la liquidez de los mercados financieros regionales. Además, en el caso del mercado chileno, la aprobación de una reforma tributaria de pobre calidad técnica y que aumenta de forma significativa la carga tributaria de las empresas supuso un fuerte impacto sobre las expectativas de los agentes económicos y, por ende, de la inversión y las consiguientes necesidades de financiamiento de las empresas. En el caso de nuestra empresa el contexto fue aún más adverso por el llamado Caso Cascadas, que implicó una sanción por parte de la SVS a nuestra filial LarrainVial Corredora de Bolsa de UF (CLP millones). Sin embargo, pese a la adversidad hemos logrado sacar adelante un buen resultado que nos da un ROE de 15% y una utilidad después de impuesto de CLP millones, y de CLP millones al considerar el pago de la multa ya consignada. El proceso judicial en el que estamos inmersos tomará varios años y no nos corresponde profundizar en nuestros argumentos excepto para afirmar nuestra absoluta inocencia de todas las acusaciones que el regulador nos ha formulado. LarrainVial Capital logró mantener el liderazgo en volúmenes operados en acciones en Chile y consolidó sus operaciones en Perú y Colombia, donde logramos participaciones de mercado relevantes al poco tiempo de iniciar nuestras operaciones en esos mercados. Asimismo nuestros negocios de intermediación de renta fija local e internacional, tanto en moneda local como en dólares, junto con el de intermediación de divisas han continuado su expansión logrando resultados relevantes y consolidando nuestra apuesta de replicar en esos mercados nuestro modelo de intermediación desarrollado en los mercados accionarios. Finalmente la división de Finanzas Corporativas logró completar un conjunto significativo de transacciones tanto de deuda como de capital en un entorno de mercado desafiante. Nuestra nueva división Gestión Patrimonial, producto de la fusión de todas las áreas dedicadas a la atención de The year 2014 was our company s 80-year anniversary, a milestone that makes us proud and commits us to continue developing the business enterprise that LarrainVial represents. But what we expected to be a commemorative year turned out to be a difficult one, owing to the political and economic context we faced in Chile and in the other countries where we operate in the region. The end of the cycle of favorable commodities prices led to substantial capital outflows from the region. Add to that the Brazilian institutional crisis, which had a considerable impact on the liquidity of financial markets in Latin America. Moreover, in the Chilean market, the approval of a tax reform of poor technical quality, which significantly increases the private sector s tax burden, had a strong bearing on economic expectations, and therefore on investment and the ensuing financing needs of companies. As for our own company, the context was even more severe due to the so-called Cascadas Case, which led to a fine of USD 8.2 million (CLP 4.9 billion) on our brokerage unit by Chilean regulator Superintendencia de Valores y Seguros (SVS). Despite the adverse scenario, however, we have managed to achieve good results, with a ROE of 15% and an aftertax profit of CLP 12.6 billion, or CLP 7.75 billion after paying the aforementioned fine. The judiciary process in which we are immersed will take several years to unfold, and we do not think it appropriate to delve into our arguments here except to assert our absolute innocence from all the accusations the regulator has formulated against us. LarrainVial Capital managed to maintain its leadership in stock trading volumes in Chile, while consolidating its presence in Peru and Colombia, where we were able to achieve relevant market shares not long after launching operations there. Likewise, our local and international fixed income intermediation business both in local currency and USD along with FX trading, have continued to expand, achieving important results and reinforcing our bet of replicating our brokerage model developed for stocks in those markets too. Finally, the Corporate Finance division managed to complete a significant mix of transactions in both debt and equity amidst a challenging market environment. Our new Wealth Management division, born out of the merger of all areas dedicated to individual clients, had a successful first year, with significant growth in assets

9 MEMORIA ANUAL / ANNUAL REPORT 7 personas, tuvo un primer año de operaciones exitoso, con un significativo crecimiento en activos custodiados derivado de una adecuada segmentación de clientes y de una oferta especializada para cada segmento. Se trató de mejorar la calidad de servicio buscando calzar los perfiles de riesgo de cada cliente con productos apropiados y se enfatizaron los criterios de cumplimiento con una fuerza comercial en que todos los gestores están debidamente acreditados. Todo ello buscando siempre la preservación del capital de los clientes como nuestro objetivo prioritario. Es importante destacar el rol esencial de LarrainVial Estrategia, área de recomendaciones de inversión de Gestión Patrimonial, en el cumplimiento de este objetivo. En las áreas de administración de fondos contamos con dos filiales, LarrainVial Asset Management y Activa. La primera tuvo un buen año tanto en resultados (con un aumento de 20% en sus utilidades respecto al 2013) como en activos bajo administración, los que alcanzaron la cifra récord de CLP millones. Activa, nuestra filial dedicada a la gestión de fondos de capital privado (private equity en inglés) continuó su expansión en los distintos ámbitos de negocios destacando el fuerte crecimiento de nuestro fondos de financiamiento inmobiliario así como la desinversión de nuestro primer fondo agroindustrial (Sembrador), a través de la venta de prácticamente todos los activos del fondo a Joyvio, destacada empresa china, filial de Legend Holdings. Nuestro compromiso con el mundo de los llamados activos alternativos es importante y Activa está muy bien posicionado para ser una empresa líder en esa categoría en Chile, Perú y Colombia. Quisiera destacar que durante el 2014 revisamos todos los procedimientos y procesos de la empresa, los cuales hemos hecho públicos a través de nuestra Política de Institucionalidad y Mejores Prácticas. También hemos reforzado nuestro gobierno corporativo con el nombramiento de dos directores independientes, Juan Hurtado V. y Francisco León D. en Larraín Vial S.A., los que además pasaron a integrar varios de nuestros Comités. Por último se creó el nuevo cargo de presidente ejecutivo que ocupo y se nombró a Juan Luis Correa G. como nuevo gerente general de esta empresa dejando vacante la Dirección de Operaciones que ocupaba hasta la fecha de su nombramiento. No quisiera finalizar sin decir algunas palabras sobre don Leonidas Vial E. quien, como es de público conocimiento renunció a su cargo de Presidente de Larraín Vial S.A. tras 40 años en la misma. Represento el sentir de todos al decir que entendemos su decisión como un gran gesto de generosidad hacia la empresa, y solo me cabe agradecer su liderazgo, visión y compromiso con LarrainVial y todos nosotros en los innumerables proyectos que emprendió con tanto éxito durante todos estos años. Effort was made to improve the quality of our service by matching each client s risk profile with suitable products, and enhancing our compliance criteria with a sales team in which every wealth manager is duly certified. All this with the aim of ensuring the preservation of our clients capital remains our top priority. Key to reaching this objective was the central role played by LarrainVial Estrategia, the investment advisory unit within the division. In Asset Management we have two subsidiaries, LarrainVial Asset Management and Activa. The first had a good year both in results (with a 20% profit increase from 2013) and in assets under management, which reached a record CLP 2.36 trillion. Activa, our private equity arm, continued its expansion in a range of business initiatives, with particular emphasis on the growth of our housing financing funds, as well as the divestment of our first agro industrial fund (Sembrador) through the sale of practically all of its assets to Joyvio, a renowned Chinese company and subsidiary of Legend Holdings. Our commitment to the world of alternative assets is important and Activa is well positioned to be a leading company in this category in Chile, Peru and Colombia. I also wish to highlight that during 2014 we reviewed all our corporate processes and proceedings, which we have made public through our Institutionality and Best Practices Policy. We also strengthened our corporate governance with the addition of two independent directors in our holding company Larraín Vial S.A., Juan Hurtado V. and Francisco León D., who have since also joined several of our committees. Finally, the new position of Executive Chairman I currently hold was created, while Juan Luis Correa G. was named as the company s CEO, vacating the COO position he held until his appointment. I could not end without saying a few words about Mr. Leonidas Vial E., who, as is publicly known, resigned as Chairman of Larraín Vial S.A. after 40 years in the company. I represent our shared feeling in saying that we understand his decision as a great gesture of generosity towards the company, and I can only thank him for his leadership, vision and commitment to LarrainVial and to all of us in the countless projects he successfully carried out during all these years. 12 10 MEMORIA ANUAL / ANNUAL REPORT 80 AÑOS DE HISTORIA 80 YEARS OF HISTORY 1934 Fundada por los hermanos Fernando y Leonidas Larraín Vial, para la década de los 50 LarrainVial ya era una de las corredoras más importantes del país. En 1989 realizó la primera apertura en bolsa de una empresa no estatal, la eléctrica Pilmaiquén. Asimismo, lideró la colocación de un bono de Endesa por USD 110 millones. A comienzos de los 90 se creó formalmente el Departamento de Estudios y el área de Finanzas Corporativas. En este período se inició una ola de aperturas en bolsa, entre las que destacan Falabella, D&S y Santander Chile Holding. Founded by brothers Fernando and Leonidas Larraín Vial, by the 1950s LarrainVial was already one of the country s most important brokerage houses. In 1989, it conducted the first IPO for a private company, electric utility Pilmaiquén. It also led the placement of a USD 110-million Endesa bond. In the early 1990s, the Research and Corporate Finance departments were officially created. This period witnessed an impressive wave of IPOs, including most notably Falabella, D&S and Santander Chile Holding Nace Global Trust, primera iniciativa del mercado nacional en la Bolsa Off-Shore En 2001 se creó la Administradora de Fondos de Inversión, la primera mesa de dólar formal de una empresa no bancaria y se abrieron sucursales en Valparaíso y Concepción. En 2004 LarrainVial inició operaciones en Perú y formó la Administradora General de Fondos en Chile. Global Trust was born, the first local initiative in the Off-Shore Stock Market. In 2001, the Investment Funds Manager was created, oriented to institutional investors. LarrainVial also launched the first official dollar desk at a nonbanking company and opened branches in Valparaíso and Concepción. In 2002, the first Commercial Paper were structured and LarrainVial became the first market maker in the local securities exchange. In 2003, the Third-Party Product Distribution Desk (DP3) was created, representing and distributing funds of prestigious international fund managers. It also opened an office in Chillán. In 2004 LarrainVial began operations in Peru. In Chile, it created the Asset Management and Corporate Risk Management divisions.

This year saw the creation of Gestión Global, a wealth management division focused on high net-worth clients, and LVA Índices, a company dedicated to building indexes for the LatAm market. En 2007 el área de Mercado de Capitales pone en marcha una plataforma transaccional electrónica a través de la cual los clientes pueden acceder desde Chile a las bolsas de Brasil y Estados Unidos, sin necesidad de comunicación verbal. Branches were opened in Viña del Mar and Antofagasta. The family office area was created as part of Gestión Global, dedicated to the management of family fortunes. In 2007, the Capital Markets division launched an electronic trading platform whereby customers could access Brazilian and U.S. securities exchanges from Chile, without any need for oral communications. Además, en Perú LarrainVial incursionó en el negocio de la estructuración de fondos a través de la creación de LarrainVial Sociedad Administradora de Fondos de Inversión (SAFI). En Chile, se inaugura una sucursal en Valdivia. Este mismo año se crea formalmente el área de Mercado de Capitales. Operations began in Colombia through the distribution of international third-party funds to institutional clients. Also, in Peru LarrainVial entered the fund structuring business by creating LarrainVial Sociedad Administradora de Fondos de Inversión (SAFI). In Chile, the firm opened a branch in Valdivia. That same year, the Capital Markets area was officially created.

For the second consecutive year, LarrainVial Corredora de Bolsa closed the year as the number one broker in equities and corporate bond trades in the Santiago Stock Exchange. During 2009, the firm s asset management arm, LarrainVial Administradora General de Fondos S.A., merged with Consorcio Administradora General de Fondos S.A., becoming the industry s fourth-largest player overall and first among the non-banking players Se inauguran dos nuevas oficinas en Chile: Temuco y La Serena. En enero LarrainVial estructuró la mayor operación financiera en cuanto a levantamiento de capital entre terceros, al vender el 40% de E-CL en manos de Codelco en USD millones. Además, LarrainVial Corredora de Bolsa fue número uno en transacciones de acciones en cada mes del año en la Bolsa de Comercio. En Perú, LarrainVial comenzó a operar como corredor en la Bolsa de Valores de Lima bajo el nombre LarrainVial SAB. In January, LarrainVial structured the largest financial operation in terms of raising funds among third parties, with the sale of 40% of E-CL held by Codelco for USD billion. Moreover, LarrainVial Corredora de Bolsa earned the top spot in stock trades in the local securities exchange every single month of the year. In Peru, LarrainVial began operating as a broker dealer in the local stock exchange under the name LarrainVial SAB. LarrainVial concretó una de las mayores operaciones de M&A realizadas desde Chile hacia mercados desarrollados: la compra del 100% de Repsol Chile en manos de Repsol España por USD 540 millones. En noviembre LarrainVial consolidó su presencia regional con la autorización para una corredora de bolsa en Colombia y estructuró el mayor fondo inmobiliario en Perú: Fibra II, por USD 162 millones. La corredora cerró 2012 sumando 24 meses como número uno en transacciones de acciones en el mercado chileno. LarrainVial Administradora General de Fondos lanzó un producto único en el mercado andino: los fondos de inversión SICAV (Sociedad de Inversión de Capital Variable), domiciliados en Luxemburgo.

In November, LarrainVial consolidated its regional presence when it received authorization to establish a stock brokerage firm in Colombia. It also structured the largest real estate fund in Peru, Fibra II, for USD 162 million. LarrainVial Corredora de Bolsa closed 2012 logging 24 straight months as number one in equities trades in the Chilean market. LarrainVial s Asset Management arm launched a unique product for the Andean Market, the Luxembourg-based SICAV investment funds Tras obtener autorización a fines del año anterior, LarrainVial Comisionista de Bolsa debuta en el mercado de Colombia en mayo. After receiving authorization the year before, LarrainVial makes its debut in April as a broker dealer in the Colombian market.in Chile, the company placed the only IPO of the year, by construction company Moller & Pérez-Cotapos, for USD 92 million, and the brokerage house obtains the first place in stock trading for the third consecutive year in the Santiago Stock Exchange. A través de LarrainVial Asset Management se lanzan los nuevos fondos mutuos Ahorro Largo Nominal, España, Europa y Oportunidad Chile. Además, se logran asociaciones con importantes firmas como Falcom Capital, Abante Asesores y EDM Asset Management. Larraín Vial S.A. refuerza su Gobierno Corporativo a través del aumento del número de directores, el ingreso de directores independientes y la creación del cargo de presidente ejecutivo. LarrainVial Corredora de Bolsa hace lo propio aumentando sus directores y modificando su estructura en el área Legal y Cumplimiento. En tanto, Larraín Vial S.A. firma un acuerdo con la autoridad tributaria de Estados Unidos, el Internal Revenue Service (IRS), para adoptar la normativa FATCA (Foreign Account Tax Compliance Act), ley de cumplimiento tributario de cuentas extranjeras. Por su parte, Standard & Poor s ratifica por segundo año consecutivo con la nota más alta, AMP-1 (Muy Fuerte), las Prácticas de Administración de Recursos de Terceros de LarrainVial Asset Management. LarrainVial merged its two areas dedicated to individual clients (Gestión Global and Red de Asesores Financieros) into a single Wealth Management area. LarrainVial Asset Management launched the new Ahorro Largo Nominal, España, Europa and Oportunidad Chile mutual funds. Also, new alliances are set with Falcom Capital, Abante Asesores and EDM Asset Management. LarrainVial S.A. strengthened its Corporate Governance by increasing the number of directors, incorporating independent directors and creating the Executive Chairman position. LarrainVial Corredora de Bolsa did the same by increasing its directors and modifying its structure in the Legal and Compliance area. Meanwhile, LarrainVial S.A. signed an agreement with the Internal Revenue Service (IRS), the US tax authority, to adopt the FATCA (Foreign Account Tax Compliance Act) legislation. Standard & Poor s confirmed for the second year its AMP-1 (Very Strong) classification on LarrainVial Asset Management, regarding its management of third-party resources.

Por esta razón, durante el período se realizaron importantes cambios en las principales instancias de Gobierno Corporativo de la compañía y sus filiales, con un foco especial en proveer a los directorios de LarrainVial, LarrainVial Corredora de Bolsa y LarrainVial Asset Management mayor independencia y capacidad de gestión directa en la toma de decisiones. En el caso de la matriz del Grupo, Larraín Vial S.A., en abril de 2014 se tomó la decisión de aumentar el número de miembros del directorio de tres a cinco, junto con incorporar dos directores independientes a la mesa. El directorio eligió a Fernando Larraín Cruzat, previamente Gerente General de la compañía, como Presidente de Larraín Vial S.A. en calidad de Presidente Ejecutivo, una nueva posición creada con el objetivo de fortalecer la gestión diaria de la compañía. Achieving a more robust Corporate Governance was a key initiative in 2014, along with a continuous effort to attain the highest standards at an international level. For this reason, important changes in key Corporate Governance issues for the company and its subsidiaries were accomplished during the period, with a particular focus on providing greater independence and improved decision-making abilities to the boards of LarrainVial, LarrainVial Corredora de Bolsa, and LarrainVial Asset Management. As for the Group s holding, Larraín Vial S.A., in April 2014 the decision was made to increase the number of board members from three to five, along with the move to bring two independent directors to the table. The board elected Fernando Larraín Cruzat, previously the company s CEO, as Chairman of Larraín Vial S.A., acting as Executive President, a new position created with the objective of strengthening the daily management of the company. Juan Luis Correa was designated as CEO in his place.
