3 Mensaje Message A punto de finalizar el 2014, echamos la vista atrás y hacemos memoria de todos los viajes que hemos realizado durante este último año. Viajamos por Europa rodando lento, pero siempre hacia adelante. Los signos de recuperación del mercado nos han ayudado a alcanzar la Excelencia Operacional en nuestras compañías. Solicitamos parada en Alemania, para centrar nuestros esfuerzos en la viabilidad de MFE. Estamos convencidos de haber puesto las bases para un futuro exitoso. Girando hacia la derecha nos dirigimos a Rusia, a clavar los cimientos de nuestra próxima fábrica de inyección de aluminio. Con el objetivo de consolidar una significativa cuota en el mercado asiático, viajamos en un primer momento al país más poblado del mundo para poner en marcha la primera prensa para cigüeñales en Nanjing. Y después, llegamos a la tierra de la diversidad. Es el momento de potenciar los equipos multinacionales. Es el momento de dar una nueva magnitud a nuestra División de India. Nos embarcamos después en un crucero de última generación que nos llevará a Indonesia, Vietnam y Australia. Crucero de gran atractivo, por su mezcla de modernidad y naturaleza salvaje, perfecta para que desarrolle proyectos de Smart Innovation. Cambiamos el mar por el aire, y volamos a Brasil para celebrar las bodas de oro de Autometal. Queremos agradecer a todos nuestros colaboradores por 50 años de trabajo y dedicación. Continuando hacia el norte está la siguiente y última estación de nuestro viaje. La evolución del mercado NAFTA es verdaderamente optimista y CIE está preparado para afrontar nuevos proyectos. Tres Greenfields en construcción en México, y muchas oportunidades de integración en la primera potencia económica mundial. Y por fin estamos de vuelta en el despacho. Es hora de recoger las maletas y de visualizar tantos buenos momentos. Es momento de celebrar los éxitos, y de reafirmarnos en nuestra estrategia. Porque realmente, el de este año ha sido un viaje al futuro. Un viaje a los pilares de nuestro Plan Estratégico, para convertirnos en uno de los principales grupos de componentes de automoción a nivel mundial. Nos ha permitido adquirir una nueva dimensión, Mio de facturación y trabajadores. We are convinced that we have put the building blocks in place for a successful future. Turning to the right we head towards Russia to set the foundations for our new aluminum die-casting plant. With the aim of consolidating a significant share of the Asian market, we pass through the most populated country in the world to start up the first crankshaft press in Nanjing. And then, we made our way to the land of diversity. This is the moment we began to give priority to multinational teams. This is the moment we began to increase the potential of our Indian division. After this we boarded a state-ofthe-art cruise ship which would take us on to Indonesia, Vietnam and Australia. A fantastic voyage because of its mixture of the modern and the natural; a perfect place for to develop projects of Smart Innovation. Changing from the sea to the air, we flew to Brazil to celebrate the Autometal s golden anniversary. We want to thank all the people involved for their fifty years of hard work and dedication. Continuing towards the north, which is the next and final stop on our journey. The evolution we can see in the NAFTA market is truly optimistic and CIE is ready to develop new projects. Three Greenfields in construction in Mexico and plenty of opportunities to form new alliances in the world leading economic power. And finally we are back in our office. It is time to unpack and reflect on so many good moments. It is time to celebrate successes and to reaffirm our strategy. In actual fact this journey has really been a journey into the future. A journey to the pillars of our Strategic Plan to become one of the main automotive component groups worldwide. It has allowed us to acquire a new dimension: 3000m in revenues and a staff of 25,000. 4 In July, CIE Automotive signed a 70 million financing agreement with the European Investment Bank (EIB) to finance and promote the research and development project of the Group's technology centers in Spain, France and Portugal until Investments will be aimed at developing projects for innovative solutions in the manufacture of lighter and safer automotive components, thus reducing carbon emissions and fuel consumption. Automotive maintains its commitment to sustainability in industrial activity and the target of reducing environmental impact through research and producing greener components and with higher consumption optimization. To do so, work covers the full life cycle of products and the entire value chain, mainly focusing on using alternative materials to those conventionally used today and making lighterweight supplied components. Lowerweight assemblies and vehicles result in a reduction of CO2 emissions, while particular attention is given to the compliance of mechanical, aesthetic and economic requirements demanded by the client. Through these Research & Development investments, the EIB funds will contribute to support sustainable Company growth and generate qualified employment in the research sector. CIE Automotive lanzó el mes de abril una OPA sobre el 25% de las acciones de Autometal que cotizaban en la Bolsa de Sao Paulo. La OPA, que supuso un importe máximo de 200 millones de euros, se financió en un 50% mediante los recursos financieros propios y el otro 50% mediante la emisión de nuevas acciones de la matriz, con exclusión de suscripción preferente, y suscritas en primer lugar por los accionistas de Autometal que lo desearon y en segundo lugar a través de una colocación acelerada en el mercado. El objetivo de la OPA de la matriz sobre las acciones de la filial supone incrementar el resultado neto de CIE Automotive, aumentar tanto la base accionarial como su free float con nuevos accionitas institucionales de USA y Brasil y generar mayor solidez en la estructura accionarial del grupo al fusionar los perímetros de financiación. Last month, CIE Automotive launched a takeover bid on 25% of Autometal shares which are traded on the Sao Paulo Stock Exchange. The takeover bid, amounting to up to 200 million Euro was financed 50% by own financing resources and 50% new shares issued by the parent company, excluding pre-emption right, and subscribed first by Autometal shareholders who wished to do so and secondly through accelerated positioning on the market. The takeover bid by the parent company on the subsidiary shares represents CIE Automotive net result increase in terms of both share base and free float with new institutional shareholders in the USA and Brazil and generating more solvency in the share capital of the group once financing limits have been merged. 4

5 P - Podría hacerme un pequeño resumen de la historia de la empresa? La empresa se funda en el año 1978 y se especializa en la fabricación de piezas estampadas y ensambles de subconjuntos. En el año 2007 se compra la empresa que hasta ahora era familiar a través de una Joint Venture entre CIE Automotive y el grupo mexicano DESC. Finalmente en 2009 Nugar se integra en CIE Automotive al 100% P- En qué productos está especializado? En qué mercado? CIE Nugar está especializada en la producción de componentes estructurales de asiento, refuerzos puerta, componentes de chasis, pilares, pasos de ruedas, barras anti-impacto, etc para clientes OEM como VW, Chrysler y GM y también trabajamos con clientes Tier1 como Faurecia, JCI e Hirotec. Nuestro mercado está centrado básicamente en Nafta pero también enviamos piezas a otros mercados como son Rusia, Sudamérica y Alemania. P- Qué inversiones ha realizado CIE Nugar desde El comienzo? Tiene previsto nuevas inversiones? CIE Nugar siempre ha apostado por la modernización de las instalaciones así como la formación de los trabajadores. Creemos que la inversión no es solo en equipamiento técnico sino también en capital humano. En cuanto al aspecto técnico, la empresa ha invertido en tecnología de estampación y ejemplo de ello es la adquisición de una prensa transfer 2.500tns (2013) y una prensa progresiva 630tns (2009). En el aspecto de capital humano, el Grupo está constantemente invirtiendo en formación para poder generar un valor añadido en sus procesos y ofrecer de esta forma una ventaja competitiva frente a los competidores. P- Cuál es su política de recursos humanos? En las empresas de CIE Automotive en México, contamos con las politicas de RRHH que aseguran la contratación del personal, su capacitación, que la nómina y los beneficios estén establecidos contra las leyes laborales de Seguridad social y fiscal y de la misma forma se realice su pago a travé de los sistemas que tienen las empresas, asegurando así la transparencia de nuestros procesos y la satisfacción del personal, cuidando en todo momento los resultados y la revisión de los mismos por las áreas contables, jurídicas y de auditoría. P- Con qué estrategia cuenta Nugar para afrontar el futuro de la automoción? Queremos ser una empresa líder y de referencia en el mercado Nafta a nivel de estampado y ensamble, donde nuestros productos puedan ser competitivos gracias a un desarrollo tecnológico que actualmente estamos desarrollando a nivel de ingeniería, calidad y medios de producción. Q - Could you summarize the company's history? The company was established in 1978 and is specialized in manufacturing stamped parts and sub-assembly assemblies. Although our market is mainly focused on Nafta we also deliver parts to other markets including Russia, South America and Germany. Q - What investments has CIE Nugar made since it was established? Has it got any other investments planned? CIE Nugar has always been committed to modernizing the premises and training employees. We believe investment should not only be made in technical equipment but also in human resources: regarding technical equipment the company has invested in stamping technology and good examples of this are the 2,500t transfer press (2013) and the 630t progressive stamping press (2009) acquired; in terms of human capital, the Group is continuously investing in training to be able to provide added value to its processes and obtain a competitive advantage over competitors. Q - What is your human resources policy? CIE Automotive companies in Mexico have implemented HR policies to ensure staff hiring, qualification, payroll and benefits comply with the provisions set forth in Social Security and tax regulations, and that payment is made according to the systems in place at the companies. All this is to ensure the transparency of our processes and staff satisfaction, while monitoring results and result review by the accountancy, legal and audit departments. Q - What strategy does Nugar have to face the future of the automotive industry? We would like to be a leading company in the Nafta market in the stamping and assembly sector where our products may compete thanks to a technological breakthrough we are currently creating at engineering, quality and production means levels. 5

6 Entrevista Interview Con presencia en 27 países, formado por más de personas y con una facturación prevista para 2015 de más de 500 MM Euros, constituye el proyecto de Smart Innovation del Grupo CIE Automotive que ofrece soluciones y servicios en el marco de la revolución digital en la que estamos inmersos y que de forma creciente está alcanzando a todos los sectores industriales. P- En qué consiste la revolución digital y cómo va a afectar a la industria? R- La revolución digital se caracteriza por un crecimiento exponencial de la cantidad de datos existentes, de la velocidad a la que se generan y se intercambian y de los dispositivos que se emplean para generarlos y para acceder a los mismos. Aunque son los de carácter personal los que más llaman nuestra atención, la mayoría de estos datos ya hoy provienen de la industria, fruto de un proceso imparable de sensorización que no ha hecho más que empezar y que va a alcanzar proporciones descomunales en los próximos años (Big Data). En la nueva etapa de darwinismo industrial en la que estamos entrando, sobrevivirán las empresas que sean capaces de generar y aprovechar esta información haciendo más eficientes sus procesos productivos (Smart Data). En los próximos años vamos a asistir en todos y cada uno de los sectores industriales a un profundo cambio del status quo que hemos conocido. Esto es la Revolución Digital. P- Cuál va a ser el papel de en la misma? R- lidera este proceso, utilizando la innovación inteligente (Smart Innovation) para hacer más eficientes los procesos productivos de nuestros clientes. Convertimos datos en Inteligencia. Lo logramos a través de las dos aproximaciones diferentes que definen nuestra oferta: En primer lugar, a través de la prestación de Servicios, bajo un esquema de outsourcing que permite eficientar los procesos que gestionamos y trasladar a nuestro cliente ese ahorro. Nuestras raíces están en el sector de las telecomunicaciones, quizá el sector más deflacionario que existe y que, por ello mismo, requiere mejoras continuas de eficiencia. Esta experiencia es perfectamente extensible a otros sectores. En segundo lugar, como proveedores de Soluciones tecnológicamente innovadoras diseñadas para hacer más eficientes los procesos productivos de nuestros clientes. Las claves en este ámbito, además de un profundo conocimiento tecnológico, radican en comprender las necesidades del cliente, contar con capacidad y conocimiento de las alternativas de financiación y aportar una contrastada experiencia en la ejecución de complejos proyectos EPC (Engineering, Procurement and Construction) en todo el mundo. P- Cuáles son los puntos fuertes de frente a sus competidores? R- tiene evidentemente competencia en cada uno de sus ámbitos de actividad. Sin embargo, y es aquí donde radica una de nuestras principales fortalezas, nuestro modelo es único. Por un lado, nuestro perfil multisectorial y presencia en los cinco continentes nos permite plantear a nuestros clientes una oferta adaptada localmente soportada por una misma base tecnológica global de conocimiento. In forthcoming years we are going to see a dramatic change in the status quo we have known until now in each and every industrial sector. This is the Digital Revolution. Q - What is the role of in the Digital Revolution? R - leads this process, using Smart Innovation to boost the efficiency of the production processes of our clients. We make data Smart. To achieve this, we use two different approaches which define our offer: First, through Service rendering under an outsourcing scheme, thereby increasing the efficiency of the processes we manage and transferring this efficiency to our clients. De entre las muchas lecciones aprendidas y aplicadas, destacaría las siguientes: Una estructura lean, evitando costosas estructuras centrales, apalancándonos en personas de alta confianza y valía en cada uno de los países en los que estamos presentes. Las minifábricas, gestionadas por empresarios, por el concepto de responsabilidad que lleva implícito y que comparto plenamente. El foco en la diversificación de cliente, para poder decir no o para poder ser objetivos a la hora de tomar una decisión de inversión, y en la diversificación tecnológica, para no perder nunca la vitalidad innovadora a la que antes hacía referencia. El concepto de portaviones, de gran plataforma y cultura común, diseñada y preparada para integrar continuamente nuevas empresas y actividades que enriquezcan la oferta de nuestra compañía y nos permitan adaptarnos a las necesidades. The focus on client diversification, that allows to say "no" and to be objective in times of investment decision making, and on technological diversification, to never lose the abovementioned innovation vitality. The aircraft carrier concept of a large common platform and culture which is designed and prepared to continuously integrate new firms and activities that enrich our company offer and enable us to adapt to incoming needs. INTEGRACIÓN DE BEROA En una operación estructurada en dos etapas, una primera en diciembre de 2013 y otra el pasado Julio, ha culminado la adquisición íntegra del Grupo Beroa, que a partir de este momento, pasa a formar parte del proyecto de en el ámbito de la Smart Innovation. Beroa ha tenido siempre por objeto aportar a sus clientes soluciones y servicios en el ámbito industrial y es de hecho líder mundial en algunos ámbitos concretos, como los de refractario, construcción y mantenimiento de hornos industriales o diseño y construcción de torres solares, entre otros. El grupo cerró el ejercicio 2013 con una facturación de 224 millones de y una plantilla de profesionales en 18 países. Al igual que, Beroa nació de la mano de INSSEC en 1997, y desde su inicio ha incorporado a su proyecto a empresas líderes en tecnología y conocimiento, como Karrena, con más de 100 años de experiencia y Burwitz, con más de 65, hasta conformar un Grupo referente en el sector, que aporta a sus clientes una capacidad de respuesta local con tecnología y estándares globales. Entre sus clientes se encuentran todos los grandes grupos de los sectores industriales a los que dirige su oferta: acero, vidrio, cemento, energía, química y petroquímica y metalurgia no férrica. 8 CIE Automotive forma parte de un consorcio Europeo que está llevando a cabo el proyecto de FP7 llamado Odin. El objetivo del proyecto es desarrollar un powertrain altamente integrado, compacto y eficiente para vehículos eléctricos. Para ello, se pretende alcanzar una integración óptima de un motor eléctrico de alta velocidad con una caja de cambios de alta velocidad mediante carcasas comunes que alberguen a su vez la electrónica de potencia. El resultado debe ser un producto compacto y ligero con posibilidad de integrarse en un vehículo urbano y debe demostrar un importante potencial de reducción de costes debido a la integración de las mencionadas soluciones. Los principales objetivos del proyecto son: - Un motor de alta velocidad robusto y eficiente en coste integrado en la carcasa de la transmisión - Una nueva transmisión de alta velocidad con un número menor de interfaces, cojinetes de alta velocidad y una tecnología de refrigeración y lubrificación mejorada. - Electrónica de potencia altamente integrada para operar el motor a alta velocidad con un control en tiempo real. - Nuevos conceptos de carcasas capaces de aunar las necesidades específicas y diferentes del motor eléctrico, la transmisión y la electrónica de potencia. - Un solo circuito de refrigeración para el conjunto usando un mismo fluido para la refrigeración y la lubrificación. - Integración de todos los componentes teniendo en cuenta las necesidades de industrialización; lo cual lleva a un diseño eficiente en coste y orientado a la producción en serie. - Demostración de la capacidad del sistema en banco de ensayos y en un vehículo demostrador (Renault Zoe) CIE Automotive a través de la ingeniería central está trabajando en la integración de un mayor número de funciones en las carcasas del citado powertrain, buscando un solo sistema de lubrificación y refrigeración, garantizando un comportamiento óptimo en términos de NVH y resistencia, añadiendo más valor a estos componentes. Todo este proceso está suponiendo nuevos desarrollos en materiales y en arquitecturas de las carcasas, que a su vez garanticen la mayor eficiencia en coste y robustez en sus procesos de fabricación en serie. El consorcio está formado por: Bosch, CIE Automotive, Fuchs, GKN Driveline, ISEA de la Universidad RWTH de Aachen, Renault y Romax. The main aims of the projects are: - A high-speed cost-effective robust and efficient engine integrated in the transmission housing; - A new high-speed transmission with a reduced number of interfaces, highspeed bearings and improved cooling and lubrication technology; - Highly-integrated power electronics to operate the high-speed motor with real-time monitoring; - New housingdesigns capable of meeting both specific and different needs of the electric motor, transmission and power electronics; - A single cooling circuit for the assembly using the same fluid for cooling and lubrication; - Integration of all components taking into account industrialization needs; which implies a cost-effective design oriented to mass production; and - Demonstration of the system capacity in the workbench and in a demonstration vehicle (Renault Zoe) Through central engineering, CIE Automotive works to integrate a higher number of functions in the abovem entioned powertrain chousing, aiming to achieve a single cooling and lubrication system guaranteeing optimal behavior in terms of NVH and resistance which result in added value components. This process implies developing new materials and architectures for chousins which must also guarantee the highest cost efficiency and robustness in mass manufacturing processes. The consortium consists of: Bosch, CIE Automotive, Fuchs, GKN Driveline, ISEA University RWTH of Aachen, Renault and Romax. 9 CIE Automotive ha estado presente en los principales foros y congresos de automoción europeos durante el año En Febrero acudimos al Daimler Supplier day donde pudimos intercambiar experiencias con diferentes profesionales de Daimler En Abril participamos en el FIZ de BMW Munich en el Basque Supplier Day, un encuentro organizado por ACICAE-Cluster de Automoción de Euskadi. Este evento tuvo tanto éxito entre los departamentos de ingeniería y compras del fabricante alemán, que el 12 de Noviembre visitaron nuestras instalaciones del AIC en Amorebieta para profundizar más en nuestras relaciones comerciales. The congress, organized by Euroforge (European Association) and chaired by Jose Yudego, President of Euroforge and CIE Automotive Commercial Director for Europe and Asia, was a huge participation success with over 750 delegates from 30 different countries. 9

10 Jaguar-Land Rover visita CIE Gameko y CIE Inyectametal Jaguar-Land Rover visits CIE Gameko & CIE Inyectametal El pasado mes de mayo, los responsables de compras de Powertrain, Motor y Chasis de Jaguar Land Rover, visitaron las plantas de CIE Gameko y CIE Inyectametal (Bizkaia) para conocer en detalle CIE Automotive y ver in situ sus procesos productivos. La visita se realizó tras el encuentro de automoción que tuvo lugar en el AIC (Automotive Intelligence Center) de Bizkaia en el que se explicaron la política de compras y los pilares del del actual éxito comercial del grupo constructor así como sus ambiciosos planes de futuro. El acto estuvo presidido por el Embajador británico en España y el Cónsul británico en Bilbao y contó con la presencia de representantes del Automotive Investment Organization que invitaron a todas las empresas a explorar su implantación en las islas En la actualidad CIE Automotive es proveedor de Cigüeñales forjados para JLR, y CIE Gameko está instalando su primera línea de mecanizado de Cubos de Rueda para las plataformas D7a y D7u de JLR. Encuentro VW Autoeuropa-CIE Plasfil y CIE Apolo blue VW Autoeuropa-CIE Plasfil & CIE Apolo Blue Meeting VW Autoeuropa invitó a CIE Plasfil y CIE Apolo Blue, el pasado 30 de abril de 2014, a participar en la firma del acuerdo entre el Gobierno portugués y VW, para la nueva ampliación de la planta del grupo VW en Portugal. VW Autoeuropa ha anunciado una inversión global de 677 millones de euros, lo que permitirá a la planta duplicar la producción actual y crear 600 nuevos puestos de trabajos directos en la planta de VW. Actualmente, la planta es responsable de la producción de los vehículos VW Sharan, VW EOS y VW Scirocco en Portugal. El evento, organizado conjuntamente por Autoeuropa y AICEP (Agencia Investimento e Comercio Externo de Portugal) supuso además un fuerte impulso y un gran punto de encuentro para los diferentes proveedores portugueses del sector de la automoción. IVECO visita CIE Galfor IVECO visits CIE Galfor El fabricante de camiones IVECO visitó las instalaciones de CIE Galfor (España) el pasado mes de octubre con el objetivo de auditar el proceso de fabricación de los ejes delanteros que la forja producirá para el grupo italiano. Se prevé que los ejes delanteros estarán homologados para principios de 2015, comenzando el suministro de forma inmediata. Este nuevo proyecto supondrá a la planta gallega una facturación de 4,4 millones de euros. The truck manufacturer IVECO visited the premises of CIE Galfor (Spain) last October with the aim of auditing the manufacture process of front axles which the forging firm will produce for the Italian group. Front axles are expected to be officially approved by the beginning of 2015 and start of production is set to start immediately afterwards. This new project will represent a 4.4 million turnover for the plant based in Galicia. 10
