1 CONTRATO DE LICENCIA DE USUARIO FINAL NB: ESTA VERSIÓN SE OFRECE ÚNICAMENTE A EFECTOS INFORMATIVOS. EN CASO DE CONFLICTO ENTRE ESTA Y LA VERSIÓN EN INGLÉS DEL CONTRATO, PREVALECERÁ LA VERSIÓN EN INGLÉS. Este Contrato de Licencia de Usuario Final (la Licencia o Contrato ) se realiza entre Uniblue Systems Ltd (C32567), sociedad de responsabilidad limitada registrada en Malta y con domicilio social en Orange Point, Dun Karm Street, B Kara By-Pass, Birkirkara BKR9037, Malta, Europa (en adelante, Uniblue ) y el usuario final ( Usted ). 1. Consentimiento Al instalar el Software de Uniblue y marcar la casilla Acepto los términos del Contrato de Licencia, se considera que acepta convertirse en parte de la presente Licencia y admite tener la capacidad para concluir el presente Contrato. Uniblue le recomienda que conserve una copia de este Contrato de Licencia para su información. Si no acepta su adhesión a todos los términos del presente Contrato, haga clic en el botón Cancelar y no instale el Software de Uniblue. 2. Otorgamiento de la Licencia De acuerdo con los términos y condiciones de este Contrato de Licencia, Uniblue le otorga una licencia limitada, personal, no exclusiva, no transferible, no sublicenciable, revocable y gratuita para instalar únicamente para su uso privado tres (3) Copias del Software de Uniblue y los materiales escritos relacionados (la Documentación ). Queda prohibido el uso de más copias del Software de Uniblue de las incluidas en la licencia. La licencia para el Software de Uniblue no podrá compartirse mediante el uso alternativo del Software de Uniblue entre diferentes ordenadores. Estas limitaciones se aplicarán incluso si recibe el Software de Uniblue a través de múltiples medios (p.e. descarga electrónica y CD). A efectos del presente Contrato, Copia incluirá la instalación original del Software de Uniblue. Usted no permitirá y deberá impedir que otras personas realicen u obtengan copias del Software de Uniblue. 3. Limitaciones de la Licencia A menos que así se indique específicamente en los términos del presente Contrato, no podrá (i) copiar, reproducir, cambiar, modificar, crear un trabajo derivado a partir del mismo, realizar una compilación inversa o ingeniería inversa, desmontar, descompilar o intentar extraer de cualquier otra forma el código fuente o datos internos del software Uniblue o de cualquier parte del mismo; (ii) eliminar o borrar de cualquier forma el aviso de propiedad o información sobre marcas del Software de Uniblue; (iii) sublicenciar, vender, alquilar, transferir, ceder, mostrar, alojar, subcontratar, revelar, distribuir o explotar comercialmente de cualquier otra forma el software Uniblue; (iv) burlar cualquier número de serie o cualquier otro mecanismo usado o implantado por Uniblue para proteger el software Uniblue contra el uso, copia o distribución sin licencia; (v) publicar o poner a disposición de cualquier otra forma el software Uniblue o cualquier parte del mismo, incluyendo el número de serie, en Internet o en cualquier otro foro disponible al público; (vi) exportar o reexportar el software de Uniblue o cualquier información o tecnología subyacente de éste en violación de las leyes de exportación de los Estados Unidos, la Comunidad Europea o cualquier otra ley o regulación aplicable; o (vii) usar dicho software de cualquier forma que infrinja cualquier ley aplicable. 4. Copias y redes con licencia Queda terminantemente prohibido cualquier almacenamiento, mantenimiento o uso simultáneo del Software de Uniblue y Usted acepta implementar mecanismos de seguridad en los accesos para evitar el uso simultáneo.

2 5. Activación y otras medidas tecnológicas Al comprar una licencia, se le proporcionará un número de serie que deberá introducir cuando el software se lo solicite para activar el Software de Uniblue. Pueden existir otras medidas tecnológicas en el Software de Uniblue, incluyendo tecnología de vigilancia, diseñadas para impedir el uso sin licencia o ilegal. Usted acepta que Uniblue pueda usar estas medidas de forma razonable cuando lo considere oportuno. 6. Protección de la Propiedad Intelectual El Software de Uniblue se encuentra protegido por derechos de autor así como otras leyes sobre la propiedad intelectual de acuerdo con las disposiciones de los tratados tanto nacionales como internacionales. Este Contrato de Licencia no le aporta ningún derecho sobre la propiedad intelectual del Software de Uniblue o cualquier Software de Terceros y no le garantiza ninguna licencia, derecho o interés en cualquier marca registrada, nombre comercial o marca de servicio de Uniblue o cualquier otro tercero. Uniblue es propietario y se reserva todos los derechos, títulos e intereses sobre y para el Software de Uniblue, todas las Copias o porciones del Software de Uniblue y cualquier trabajo derivado del mismo. 7. Garantía Limitada El Software de Uniblue se le ha suministrado bajo esta licencia tal cual, sin ninguna garantía o representación de ningún tipo. El Software de Uniblue se suministra como software de propósito general y no para su uso particular. Usted acepta que Uniblue y sus proveedores no declaren ni garanticen que el Software de Uniblue satisfará sus requisitos o se encuentre libre de error o defecto, o que se corregirá cualquier defecto operativo o funcional del Software de Uniblue. Uniblue más expresamente renuncia a toda garantía o condición de ningún tipo, ya sea expresa o implícita, incluyendo pero no limitado a, las garantías implícitas de comercialización, idoneidad para un propósito particular y no violación de los derechos de propiedad intelectual. Cualquier garantía implícita que no pueda ser excluida está limitada a treinta (30) días o al periodo más breve permitido por la ley aplicable, no importando cuál fuese el mayor. La utilización del Software de Uniblue es bajo su propio riesgo y usted es responsable de las decisiones y acciones tomadas a partir del Software de Uniblue, con independencia de las recomendaciones proferidas por dicho Software. Uniblue no se manifiesta sobre el Software de Terceros al que pueda accederse o estar incluido con el Software de Uniblue. 8. Limitación de la Responsabilidad EN LA MEDIDA APLICABLE POR LA LEGISLACIÓN VIGENTE, BAJO NINGUNA CIRCUNSTANCIA Y CON INDEPENDENCIA DE LOS FUNDAMENTOS LEGALES TEÓRICOS O INSTITUCIÓN JURÍDICA, YA SEA POR AGRAVIO, CONTRATO U OTRO MODO, SERÁ UNIBLUE NI SUS PROVEEDORES RESPONSABLES ANTES USTED O CUALQUIER TERCERO POR CUALQUIER DAÑO DIRECTO, INDIRECTO, ESPECIAL, INCIDENTAL, EJEMPLAR, PUNITIVO O CONSECUENTE (INCLUIDOS PERO NO LIMITADOS A CUALQUIER DAÑO RELACIONADO CON LA PÉRDIDA DE OPORTUNIDADES DE NEGOCIO, PÉRDIDA DE BENEFICIOS, PÉRDIDA DE DATOS, PÉRDIDA DE PRIVACIDAD, PÉRDIDA DE CONFIDENCIALIDAD U OTRA INFORMACIÓN, FALLOS EN LOS ORDENADORES O MAL FUNCIONAMIENTO Y POR CUALQUIER OTRO TIPO DE PÉRDIDA PECUNIARIA O DEL TIPO QUE SEA) QUE SURJA DE, O SE ENCUENTRE DE ALGÚN MODO RELACIONADO CON EL USO O LA IMPOSIBILIDAD DE USO DEL SOFTWARE DE UNIBLUE, LA PRESTACIÓN O NO PRESTACIÓN DE SERVICIOS DE SOPORTE EN CONEXIÓN CON CUALQUIER ASPECTO DE, ESTE SOFTWARE, INCLUSO EN EL CASO DE FALLA, AGRAVIO (INCLUYENDO NEGLIGENCIA), RESPONSABILIDAD OBJETIVA, INCUMPLIMIENTO DE CONTRATO O INCUMPLIMIENTO DE LA GARANTÍA, AÚN CUANDO UNIBLUE Y SUS PROVEEDORES HAN SIDO NOTIFICIADOS SOBRE LA POSIBILIDAD DE TALES DAÑOS.

3 EN NINGÚN CASO LA RESPONSABILIDAD TOTAL DE UNIBLUE O SUS PROVEEDORES, YA SEA P OR AGRAV IO, CONTRATO O DE OTRA MANE RA, S UP E RARÁ CIEN DÓLARE S ESTADOUNIDENSES ($100). USTED RECONOCE QUE LA LIMITACIÓN ESTABLECIDA EN ESTA SECCIÓN ES UN ELEMENTO ESENCIAL DEL ACUERDO ENTRE LAS PARTES. Algunas jurisdicciones no permiten la exclusión o limitación de responsabilidad, por lo que las limitaciones anteriores pueden no ser aplicables a usted. 9. Indemnización Usted deberá indemnizar y eximir de toda responsabilidad a Uniblue y sus proveedores ante cualquier y todas las reclamaciones, pérdidas, responsabilidades, daños, multas, penalizaciones, costos y gastos (incluyendo honorarios de abogados) derivados de o relacionados con el uso del Software de Uniblue. Sus obligaciones descritas bajo esta sección seguirán vigentes tras la expiración o terminación del presente Contrato. 10. Privacidad Usted acepta que Uniblue pueda recopilar y usar la información transmitida a través del Software de Uniblue para mejorar sus productos y servicios. Cualquier información personal que le pertenezca, que pueda estar en manos de Uniblue (p.e. para dar soporte a los servicios que se le ofrecen) será procesada de acuerdo con la Política de Privacidad de Uniblue, en la versión existente en el momento concreto. Puede acceder a nuestra Política de Privacidad en cualquier momento a través de la página Software de Terceros Otro software de terceros puede ser distribuido junto con el Software de Uniblue (el Software de Terceros ). Todos y cada uno de tales Software de Terceros pueden requerir avisos o estar sujeto a términos de licencia diferentes. Tales notificaciones y términos de licencia de Software de Terceros, en su caso, pueden encontrarse en la carpeta Third Party Terms ubicada en el directorio de la aplicación del Software de Uniblue o a través del mismo Software de Terceros. Al aceptar este Contrato, Usted también está aceptando los términos de la licencia, en su caso, bajo los cuales se ofrece el Software de Terceros. Usted no entrará en una relación contractual con Uniblue respecto a tales Software de Terceros y Uniblue no acepta ninguna responsabilidad por el uso que Usted haga del mismo. 12. Resolución La licencia se resolverá automáticamente si usted no cumple con cualquiera de sus términos, sin perjuicio de los derechos de Uniblue a ser indemnizado por daños y perjuicios en términos de la legislación aplicable. Inmediatamente después de dicha resolución, Usted deberá devolver inmediatamente a Uniblue o destruir todas las Copias del Software de Uniblue que tenga en su poder. Los términos de este Contrato que así lo indiquen, seguirán en vigor después de la conclusión o resolución. 13. Disposiciones Generales Todos los derechos no expresamente concedidos en virtud del presente Contrato de Licencia quedan reservados. Esta licencia es el contrato completo entre Usted y Uniblue con respecto a la materia objeto del mismo y reemplaza cualquier contrato anterior o actual, oral o escrito, las representaciones, las negociaciones, los términos adicionales u otra comunicación similar entre las partes. Si alguna parte de este Contrato de Licencia resulta ser nula, inválida o inejecutable, esa parte se considerará condenada y no afectará la validez de las demás disposiciones de licencia. El

4 incumplimiento por cualquiera de las partes para hacer cumplir cualquier disposición de esta Licencia no se considerará una renuncia a la aplicación futura de esa o cualquier otra disposición. 14. Legislación aplicable El presente Contrato de licencia se regirá e interpretará en virtud de la legislación de Malta, Europa, excluyendo cualquier discrepancia referente a los principios de derecho. 15. Arbitraje vinculante SI EL USUARIO ES CIUDADANO DE LOS ESTADOS UNIDOS, ACEPTA QUE LOS CONFLICTOS QUE PUDIERAN SURGIR CON UNIBLUE SE ARBITREN TAL Y COMO SE ESTABLECE A CONTINUACIÓN: A. Objeto. Si el usuario se encuentra ante un Conflicto (tal y como se define a continuación) con Uniblue que no puede resolverse mediante un procedimiento informal con Uniblue, el usuario o Uniblue pueden optar por el arbitraje de dicho Conflicto de conformidad con los términos de esta Cláusula de Arbitraje, en lugar de litigar el Conflicto en los tribunales. Por arbitraje se entiende que el usuario se someterá a una vista ante un árbitro neutral, y no deberá acudir a un tribunal ante un juez o un jurado. B. Definiciones. Por Conflicto se entiende cualquier conflicto, reclamación o controversia entre el usuario y Uniblue en relación con cualquier aspecto de la relación de aquel con Uniblue, ya sea basado en contrato, ley, reglamento, ordenanza, agravio (incluyendo, entre otros, fraude, falsificación, inducción fraudulenta, negligencia, o cualquier otro acto ilícito intencionado o no intencionado) o en cualquier otra teoría legal o de equidad, e incluye la validez, aplicabilidad o alcance de esta Cláusula de Arbitraje. El término Conflicto deberá interpretarse en el sentido más amplio posible de aplicación. Según lo utilizado en esta Cláusula de Arbitraje, el término Uniblue engloba a Uniblue y a sus compañías matrices, subsidiarias y afiliadas, así como a cada uno de sus respectivos directivos, empleados y agentes. C. Derecho de exclusión. SI EL USUARIO NO DESEA REGIRSE POR ESTA CLÁUSULA DE ARBITRAJE, DEBERÁ NOTIFICÁRSELO A UNIBLUE POR ESCRITO EN UN PLAZO DE 30 DÍAS A PARTIR DE LA FECHA DE SU PEDIDO DEL PRODUCTO, DESDE LA PÁGINA support/ticket O MEDIANTE CORREO POSTAL A LA DIRECCIÓN DE UNIBLUE: ORANGE POINT, DUN KARM STREET, B'KARA BY-PASS, BIRKIRKARA BKR9037, MALTA (EUROPA), ATTN: LEGAL DEPARTMENT. LA NOTIFICACIÓN POR ESCRITO DEL USUARIO A UNIBLUE DEBE INCLUIR SU NOMBRE, DIRECCIÓN Y NÚMERO DE PEDIDO DE UNIBLUE, ASÍ COMO UNA DECLARACIÓN EXPLÍCITA DE QUE NO DESEA RESOLVER LOS CONFLICTOS CON UNIBLUE MEDIANTE ARBITRAJE. LA DECISIÓN POR PARTE DEL USUARIO DE EXCLUSIÓN DE ESTA CLÁUSULA DE ARBITRAJE NO AFECTARÁ DE FORMA NEGATIVA A SU RELACIÓN CON UNIBLUE NI A LA ENTREGA DE PRODUCTOS O SERVICIOS AL USUARIO POR PARTE DE UNIBLUE. D. Inicio del arbitraje/elección del árbitro. Si el usuario o Uniblue optan por resolver el conflicto mediante arbitraje de conformidad con esta Cláusula de Arbitraje, la parte que incoa el procedimiento de arbitraje puede recurrir a los servicios de tramitación de expedientes judiciales de la Asociación Americana de Arbitraje (American Arbitration Association, AAA), sita en 1101 Laurel Oak Road, Suite 100, Voorhees, NJ 08043, , conforme a las normas de arbitraje comercial de dicha asociación. E. Procedimientos de arbitraje: 1. Dado que las licencias, productos o servicios que Uniblue ha proporcionado al usuario pertenecen al ámbito del comercio interestatal o internacional, el arbitraje de todos los Conflictos se regirá por la Ley Federal de Arbitraje (Federal Arbitration Act, FAA), y no por las leyes de arbitraje estatales. No obstante, la ley federal o la ley del estado donde el usuario recibe el producto o servicio de Uniblue

5 podría aplicarse y regir los Conflictos si, por alguna razón, no se aplicase la disposición de elección de legislación de este Acuerdo. Ninguna ley estatal sobre arbitraje será de aplicación en virtud de esta Cláusula de Arbitraje. En caso de conflicto entre esta Cláusula de Arbitraje y las normas del organismo de arbitraje elegido, se aplicará esta Cláusula de Arbitraje. Si la AAA no aplicase esta Cláusula de Arbitraje según lo escrito, no podrá actuar como organismo de arbitraje para resolver el conflicto del usuario con Uniblue. Ante esta situación, las partes deberán ponerse de acuerdo para establecer un organismo de arbitraje alternativo. Si las partes no consiguen llegar a un acuerdo, solicitarán mutuamente un tribunal de jurisdicción competente para que designe un organismo de arbitraje que aplicará esta Cláusula de Arbitraje según lo escrito. En caso de conflicto entre esta Cláusula de Arbitraje y el resto del Acuerdo con Uniblue, se aplicará esta Cláusula de Arbitraje. 2. Un solo árbitro resolverá el Conflicto. El árbitro también tendrá la facultad exclusiva de determinar si el Conflicto se someterá a arbitraje de acuerdo con esta Cláusula de Arbitraje. El usuario debe saber que la participación en el arbitraje puede acarrear la revelación parcial de hechos o documentos, en función de las normas del organismo de arbitraje elegido para resolver el Conflicto. El árbitro aceptará reclamaciones de privilegios reconocidos por ley, y tomará medidas razonables para proteger la información de cuenta del cliente y otros datos confidenciales o sujetos a derecho de propiedad. 3. El árbitro redactará un laudo por escrito, pero no estará obligado a presentar una exposición de motivos salvo que así lo solicite una de las partes. El laudo dictado por el árbitro podrá presentarse en cualquier tribunal que tenga jurisdicción sobre las partes con el fin de su aplicación. 4. Si un laudo dictado por el árbitro supera los dólares estadounidenses, cualquiera de las partes puede apelar dicho laudo ante un grupo de tres árbitros administrado por el mismo organismo de arbitraje mediante notificación por escrito de recurso de apelación interpuesta en un plazo de treinta (30) días a partir de la fecha de entrada del laudo de arbitraje por escrito. Los miembros del grupo de tres árbitros serán seleccionados conforme a las normas del organismo de arbitraje. A continuación, el organismo de arbitraje notificará a la otra parte que el laudo ha sido objeto de recurso. El grupo de tres árbitros dictará su decisión en un plazo de ciento veinte (120) días a partir de la fecha de notificación de la parte apelante. La decisión del grupo de tres árbitros será definitiva y vinculante, con excepción de cualquier derecho de apelación establecido por la FAA. F. Restricciones: 1. EL USUARIO DEBERÁ PONERSE EN CONTACTO CON UNIBLUE EN EL PLAZO DE UN (1) AÑO A PARTIR DE LA FECHA EN QUE SE HAYA PRODUCIDO LA SITUACIÓN O EL HECHO QUE HAYAN DADO ORIGEN A UN CONFLICTO, O RENUNCIARÁ AL DERECHO A EJERCER CUALQUIER RECLAMACIÓN BASADA EN DICHA SITUACIÓN, HECHO O CONFLICTO. 2. TODAS LAS PARTES DEL ARBITRAJE DEBERÁN MENCIONARSE DE FORMA INDIVIDUAL. NINGUNA DE LAS PARTES TENDRÁ DERECHO NI AUTORIDAD PARA EL ARBITRAJE O LITIGIO DE RECLAMACIONES DE FORMA COLECTIVA O CONSOLIDADA O BASÁNDOSE EN DEMANDAS PRESENTADAS EN CALIDAD DE PRESUNTO REPRESENTANTE DEL PÚBLICO GENERAL (UN FISCAL GENERAL, POR EJEMPLO), DE OTROS CLIENTES DE UNIBLUE O DE OTRAS PERSONAS EN UNA SITUACIÓN SIMILAR. G. Ubicación del arbitraje. El arbitraje se llevará a cabo en un lugar cercano para el usuario, en la zona donde este último haya adquirido el producto o servicio de Uniblue. H. Pago de los honorarios y costas del arbitraje. UNIBLUE ADELANTARÁ TODOS LOS HONORARIOS DERIVADOS DEL PROCEDIMIENTO DE ARBITRAJE, ASÍ COMO LAS COSTAS Y GASTOS DE ARBITRAJE, SIEMPRE QUE EL USUARIO LO SOLICITE POR ESCRITO ANTES DE QUE SE INICIE EL ARBITRAJE. EL USUARIO ES RESPONSABLE DE TODOS LOS GASTOS ADICIONALES EN LOS QUE INCURRA EN EL ARBITRAJE, INCLUYENDO LOS HONORARIOS DE ABOGADOS O PERITOS, ENTRE OTROS. SI EL PROCEDIMIENTO DE ARBITRAJE FALLA A FAVOR DE UNIBLUE, EL USUARIO DEBERÁ REEMBOLSAR A UNIBLUE LOS HONORARIOS Y GASTOS QUE LE HAYA ADELANTADO UNIBLUE, HASTA EL LÍMITE ADJUDICABLE EN UN PROCEDIMIENTO JUDICIAL. SI EL PROCEDIMIENTO DE ARBITRAJE FALLA A FAVOR DEL USUARIO, ESTE NO ESTARÁ OBLIGADO A REEMBOLSAR A UNIBLUE LOS HONORARIOS Y

6 GASTOS ADELANTADOS POR ESTA ÚLTIMA. SI UNA DE LAS PARTES DECIDE APELAR UN LAUDO ANTE UN GRUPO DE TRES ÁRBITROS, LA PARTE GANADORA EN LA APELACIÓN TENDRÁ DERECHO A RECUPERAR TODOS LOS HONORARIOS Y COSTAS RAZONABLES DE ABOGADOS QUE SE DERIVEN DEL RECURSO. CON INDEPENDENCIA DE CUALQUIER DISPOSICIÓN QUE ESTABLEZCA LO CONTRARIO EN ESTA CLÁUSULA DE ARBITRAJE, UNIBLUE PAGARÁ TODOS LOS HONORARIOS Y COSTAS QUE DETERMINE LA LEY. I. Nulidad parcial. Si cualquier disposición de esta Cláusula de Arbitraje se considerase ilegal o inaplicable, dicha disposición será excluida de esta Cláusula de Arbitraje. No obstante, el resto de esta Cláusula de Arbitraje seguirá teniendo plena vigencia y efecto. Si la disposición de renuncia a demandas colectivas se considerase ilegal o inaplicable, la totalidad de esta Cláusula de Arbitraje carecerá de aplicabilidad, y un tribunal deberá resolver el conflicto. Si se determinase que la totalidad de esta Cláusula de Arbitraje es ilegal o inaplicable por cualquier motivo, o si se presentase una demanda en un Conflicto considerado por un tribunal como excluido del ámbito de aplicación de esta Cláusula de Arbitraje, el usuario y Uniblue acuerdan renunciar, dentro de los límites permitidos por la ley, a cualquier juicio ante jurado. J. Exclusiones de arbitraje. EL USUARIO Y UNIBLUE MANIFIESTAN QUE LOS SIGUIENTES ELEMENTOS NO ESTARÁN SUJETOS A ARBITRAJE: (1) CUALQUIER RECLAMACIÓN PRESENTADA POR EL USUARIO O POR UNIBLUE QUE NO SE AGREGUE A LA DEMANDA DE CUALQUIER OTRO CLIENTE Y CUYO IMPORTE EN CONTROVERSIA ESTÉ DEBIDAMENTE DENTRO DE LA JURISDICCIÓN DE UN TRIBUNAL LIMITADO A ADJUDICAR RECLAMACIONES PEQUEÑAS, (2) CUALQUIER CONFLICTO SOBRE LA VALIDEZ DE LOS DERECHOS DE PROPIEDAD INTELECTUAL DE CUALQUIERA DE LAS PARTES, Y (3) CUALQUIER CONFLICTO RELACIONADO CON ALEGACIONES RELATIVAS AL USO O RECEPCIÓN NO AUTORIZADOS DE PRODUCTOS O SERVICIOS, O DERIVADO DE DICHAS ALEGACIONES. K. Continuación. Esta Cláusula de Arbitraje seguirá teniendo vigencia tras la extinción del contrato del usuario con Uniblue, o tras la finalización de cualquier servicio o servicios que el usuario haya contratado con dicha empresa. 16. Lugar de celebración de todos los demás litigios Todos los conflictos derivados de este Acuerdo, o relacionados con el mismo, que (a) no incluyan a un ciudadano de los Estados Unidos como una de las partes, o que (b) impliquen una reclamación no sujeta a las disposiciones de arbitraje del apartado 15 por cualquier motivo, incluyendo, entre otros, la declaración oportuna del usuario de no someterse a arbitraje de conformidad con el apartado 15 (C) anterior, se someterán a la jurisdicción exclusiva de los tribunales de Malta. V END USER LICENSE AGREEMENT This End-User License Agreement (the "License" or Agreement ) is between Uniblue Systems Ltd (C32567), a limited liability company registered in Malta and having its registered address at Orange Point, Dun Karm Street, B Kara By-Pass, Birkirkara BKR9037, Malta, Europe (hereinafter Uniblue ) and the end user ("You"). 1. Consent By installing the Uniblue Software and by marking the I accept the terms of the License Agreement checkbox, you are deemed to and do consent to be bound by and become a party

7 to this License and you represent that you have the authority to enter into this Agreement. Uniblue recommends that You keep a copy of this License Agreement for your records. If you do not agree to be bound by all of the terms of this Agreement click the Cancel button and do not install the Uniblue Software. 2. Grant of the License. Subject to the terms and conditions of this License Agreement, Uniblue grants You a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable, free of charge license to install solely for your own private use, three (3) Copies of the Uniblue Software and related written materials (the Documentation ). Any use of more copies of the Uniblue Software than are licensed is prohibited. The license for the Uniblue Software may not be shared by alternating use of the Uniblue Software between different computers. These limitations apply even if you receive the Uniblue Software on multiple media (e.g. electronic download and CD). For the purposes of this Agreement, Copy shall include the original installation of the Uniblue Software. You shall not allow and shall prevent others from making or obtaining any copies of the Uniblue Software. 3. License Restrictions Unless specifically permitted in terms of this Agreement, You may not (i) copy, reproduce, change, modify, create a derivative work thereof, reverse compile or reverse engineer, disassemble, decompile or otherwise attempt to extract the source code or internal data of the Uniblue Software or any part thereof; (ii) remove or in any way obscure any ownership or trademark notices on the Uniblue Software; (iii) sublicense, sell, rent, lease, transfer, assign, display, host, outsource, disclose, distribute or otherwise commercially exploit the Uniblue Software; (iv) circumvent any serial number or any other mechanism used or deployed by Uniblue to protect the Uniblue Software against unlicensed use, copying or distribution; (v) post or otherwise make available, the Uniblue Software or any portion thereof, including the serial number, on the Internet or other publicly available forum; (vi) export or re-export the Uniblue Software or any underlying information or technology in violation of the export laws of the U.S., the European Community or any applicable laws or regulations; or (vii) make any use of such Uniblue Software in any way that violates any applicable law. 4. Licensed Copies and Networks Any simultaneous storage, maintenance, or use of the Uniblue Software is prohibited and you agree to implement access security mechanisms to prevent such simultaneous use. 5. Activation and other Technological Measures The Uniblue Software may need to be activated by entering the serial code which may be provided to You, as prompted by the Uniblue Software. There may be other technological measures, including enforcement technology, in the Uniblue Software that are designed to prevent unlicensed or illegal use. You agree that Uniblue may use these measures in its reasonable discretion. 6. Intellectual Property Protection The Uniblue Software is protected by copyright, as well as other intellectual property laws both nationally and under international treaty provisions. This License Agreement does not give You any intellectual property rights in the Uniblue Software or any Third Party Software and does not grant You any license, right or interest in any trade mark, trade name or service mark of Uniblue or any other third party. Uniblue owns and retains all right, title and interest in and to the Uniblue Software, all Copies or portions of the Uniblue Software, and any derivative works thereof. 7. Limited Warranty

8 The Uniblue Software is provided to You under this License on an as is basis, without warranty or representation of any kind. Nothwitstanding anything else, the Uniblue Software is provided as general purpose software and not for your particular use. You accept that Uniblue and its suppliers do not represent or warrant that the Uniblue Software will meet your requirements or be error or defect free or that any defects in the operation or functionality of the Uniblue Software will be corrected. Uniblue further expressly disclaims all warranties and conditions of any kind, whether express or implied, including, but not limited to, the implied warranties of merchantability, fitness for a particular purpose and non-infringement of intellectual property rights. Any implied warranties that cannot be excluded are limited to thirty (30) days or to the shortest period permitted by applicable law, whichever is the greater. Your use of the Uniblue Software is at your sole risk and You are responsible for any decisions made and actions taken based on the Uniblue Software, irrespective of any recommendations proferred by such Software. Uniblue makes no representation regarding Third Party Software which may be accessed through or included with the Uniblue Software. 8. Limitation of Liability. TO THE MAXIMUM EXTENT PERMITTED BY LAW, UNDER NO CIRCUMSTANCE AND UNDER NO LEGAL THEORY/INSTITUTE, WHETHER IN TORT, CONTRACT OR OTHERWISE, WILL UNIBLUE OR ITS SUPPLIERS, BE LIABLE TO YOU OR ANY THIRD PARTY BENEFICIARY FOR ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, EXEMPLARY, PUNITIVE OR CONSEQUENTIAL DAMAGES (INCLUDING BUT NOT LIMITED TO ANY DAMAGE FOR LOSS OF BUSINESS, LOSS OF PROFITS, LOSS OF DATA, LOSS OF PRIVACY, LOSS OF CONFIDENTIAL OR OTHER INFORMATION, COMPUTER FAILURE OR MALFUNCTION AND FOR ANY OTHER PECUNIARY OR OTHER LOSS WHATSOEVER) ARISING OUT OF, OR IN ANY WAY RELATED TO, THE USE OR THE INABILITY TO USE THE UNIBLUE SOFTWARE, THE PROVISION OF OR FAILURE TO PROVIDE SUPPORT SERVICES, OR OTHERWISE IN CONNECTION WITH ANY ASPECT OF, THIS SOFTWARE, EVEN IN THE EVENT OF THE FAULT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, BREACH OF CONTRACT OR BREACH OF WARRANTY, AND EVEN IF UNIBLUE OR ITS SUPPLIERS HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT WILL THE TOTAL LIABILITY OF UNIBLUE OR ITS SUPPLIERS WHETHER IN TORT, CONTRACT OR OTHERWISE, EXCEED ONE HUNDRED U.S. DOLLARS ($100). YOU ACKNOWLEDGE THAT THE LIMITATION SET FORTH IN THIS SECTION IS AN ESSENTIAL ELEMENT OF THE AGREEMENT BETWEEN THE PARTIES. Some jurisdictions do not allow the exclusion or limitation of liability, so the above limitations might not apply to You. 9. Indemnity You will indemnify and hold Uniblue and its suppliers harmless from any and all claims, losses, liabilities, damages, fines, penalties, costs and expenses (including attorney s fees) arising from or relating to your use of the Uniblue Software. Your obligations under this section shall survive the expiration or termination of this Agreement. 10. Privacy You agree that Uniblue may collect and use information through the Uniblue Software to improve its products and services. Any personal information pertaining to You, which may be held by Uniblue (e.g. further to support services provided to You) shall be processed in accordance with the Uniblue Privacy Policy, as it exists at any relevant time. You may access our Privacy Policy at any time at Third Party Software

9 Other third party software may be distributed together with the Uniblue Software (the Third Party Software ). Any and all such Third Party Software may require notices and/or be subject to different license terms. Such required Third Party Software notices and license terms, if any, may be accessed in the folder titled "Third Party Terms" located in the application directory of the Uniblue Software, or through the Third Party Software itself. By accepting this Agreement, You are also accepting the license terms, if any, under which the Third Party Software is made available. You will not enter into a contractual relationship with Uniblue regarding such Third Party Software and Uniblue accepts no responsibility for Your use of same. 12. Termination The License shall automatically terminate if You fail to comply with any of its terms, without prejudice to the rights of Uniblue to compensation for damages in terms of the applicable law. Immediately upon such termination, You shall immediately return to Uniblue or destroy all Copies of the Uniblue Software in Your possession. The terms of this Agreement which are intended to survive expiration or termination shall remain in effect. 13. General Provisions Any rights not expressly granted under this License Agreement are being reserved. This License is the entire agreement between You and Uniblue with respect to the subject matter hereof and supersedes any and all prior or contemporaneous oral or written agreements, representations, negotiations, any additional terms or other similar communication between the parties. If any part of this License Agreement is found to be void, unenforceable or invalid, that part will be deemed stricken and will not affect the validity of the other License provisions. Failure by either party to enforce any provision of this License will not be deemed a waiver of future enforcement of that or any other provision. 14. Choice of Law This Agreement will be governed by and construed under the Laws of Malta, Europe excluding any conflict of rules of law. 15. Binding Arbitration IF YOU ARE A UNITED STATES CITIZEN, YOU AGREE TO ARBITRATE DISPUTES WITH UNIBLUE AS FOLLOWS: A. Purpose. If You have a Dispute (as defined below) with Uniblue that cannot be resolved through an informal dispute resolution with Uniblue, You or Uniblue may elect to arbitrate that Dispute in accordance with the terms of this Arbitration Provision rather than litigate the Dispute in court. Arbitration means You will have a fair hearing before a neutral arbitrator instead of in a court by a judge or jury. B. Definitions. The term Dispute means any dispute, claim, or controversy between You and Uniblue regarding any aspect of Your relationship with Uniblue, whether based in contract, statute, regulation, ordinance, tort (including, but not limited to, fraud, misrepresentation, fraudulent inducement, negligence, or any other intentional or non-intentional tort), or any other legal or equitable theory, and includes the validity, enforceability or scope of this Arbitration Provision. Dispute is to be given the broadest possible meaning that will be enforced. As used in this Arbitration Provision, Uniblue means Uniblue and its parents, subsidiaries and affiliated companies and each of their respective officers, directors, employees and agents. C. Right to Opt Out. IF YOU DO NOT WISH TO BE BOUND BY THIS ARBITRATION PROVISION, YOU MUST NOTIFY UNIBLUE IN WRITING WITHIN 30 DAYS OF THE DATE OF YOUR

10 PRODUCT ORDER BY VISITING OR BY MAIL TO UNIBLUE AT ORANGE POINT, DUN KARM STREET, B'KARA BY-PASS, BIRKIRKARA BKR9037, MALTA (EUROPE), ATTN: LEGAL DEPARTMENT. YOUR WRITTEN NOTIFICATION TO UNIBLUE MUST INCLUDE YOUR NAME, ADDRESS AND UNIBLUE ORDER NUMBER AS WELL AS A CLEAR STATEMENT THAT YOU DO NOT WISH TO RESOLVE DISPUTES WITH UNIBLUE THROUGH ARBITRATION. YOUR DECISION TO OPT OUT OF THIS ARBITRATION PROVISION WILL HAVE NO ADVERSE EFFECT ON YOUR RELATIONSHIP WITH UNIBLUE OR THE DELIVERY OF PRODUCTS OR SERVICES TO YOU BY UNIBLUE. D. Initiation of Arbitration Proceeding/Selection of Arbitrator. If You or Uniblue elect to resolve Your Dispute through arbitration pursuant to this Arbitration Provision, the party initiating the arbitration proceeding may open a case with the American Arbitration Association - Case Filing Services, 1101 Laurel Oak Road, Suite 100, Voorhees, NJ 08043, , under the Commercial Arbitration Rules of the AAA. E. Arbitration Procedures: 1. Because the License(s), product(s) and/or service(s) provided to You by Uniblue concern interstate and/or international commerce, the Federal Arbitration Act ( FAA ), not state arbitration law, shall govern the arbitrability of all Disputes. However, applicable federal law or the law of the state where You receive the product or service from Uniblue may apply to and govern the substance of any Disputes if for any reason the Choice of Law Provision of this Agreement does not apply. No state statute pertaining to arbitration shall be applicable under this Arbitration Provision. If there is a conflict between this Arbitration Provision and the rules of the arbitration organization chosen, this Arbitration Provision shall govern. If AAA will not enforce this Arbitration Provision as written, it cannot serve as the arbitration organization to resolve Your dispute with Uniblue. If this situation arises, the parties shall agree on a substitute arbitration organization. If the parties are unable to agree, the parties shall mutually petition a court of appropriate jurisdiction to appoint an arbitration organization that will enforce this Arbitration Provision as written. If there is a conflict between this Arbitration Provision and the rest of the Agreement with Uniblue, this Arbitration Provision shall govern. 2. A single arbitrator will resolve the Dispute. The Arbitrator shall also have the sole authority to determine whether a Dispute is subject to arbitration in accordance with this Arbitration Provision. You should know that participating in arbitration may result in limited discovery depending on the rules of the arbitration organization that is chosen to resolve the Dispute. The arbitrator will honor claims of privilege recognized by law and will take reasonable steps to protect customer account information and other confidential or proprietary information. 3. The arbitrator will make any award in writing but need not provide a statement of reasons unless requested by a party. An award rendered by the arbitrator may be entered in any court having jurisdiction over the parties for purposes of enforcement. 4. If an award granted by the arbitrator exceeds $25,000, either party can appeal that award to a three-arbitrator panel administered by the same arbitration organization by a written notice of appeal filed within thirty (30) days from the date of entry of the written arbitration award. The members of the three-arbitrator panel will be selected according to the rules of the arbitration organization. The arbitration organization will then notify the other party that the award has been appealed. The three-arbitrator panel will issue its decision within one hundred and twenty (120) days of the date of the appealing party s notice of appeal. The decision of the three-arbitrator panel shall be final and binding, except for any appellate right which exists under the FAA. F. Restrictions: 1. YOU MUST CONTACT US WITHIN ONE (1) YEAR OF THE DATE OF THE OCCURRENCE OF THE EVENT OR FACTS GIVING RISE TO A DISPUTE, OR YOU WAIVE THE RIGHT TO PURSUE ANY CLAIM BASED UPON SUCH EVENT, FACTS, OR DISPUTE. 2. ALL PARTIES TO THE ARBITRATION MUST BE INDIVIDUALLY NAMED. THERE SHALL BE NO RIGHT OR AUTHORITY FOR ANY CLAIMS TO BE ARBITRATED OR LITIGATED ON A CLASS ACTION OR CONSOLIDATED BASIS OR ON BASES INVOLVING CLAIMS BROUGHT IN A PURPORTED REPRESENTATIVE CAPACITY ON BEHALF OF THE GENERAL PUBLIC (SUCH AS

11 A PRIVATE ATTORNEY GENERAL), OTHER UNIBLUE CUSTOMERS, OR OTHER PERSONS SIMILARLY SITUATED. G. Location of Arbitration. The arbitration will take place at a location convenient to You in the area where You purchased the product or service from us. H. Payment of Arbitration Fees and Costs. UNIBLUE WILL ADVANCE ALL ARBITRATION FILING FEES AND ARBITRATOR S COSTS AND EXPENSES UPON YOUR WRITTEN REQUEST GIVEN PRIOR TO THE COMMENCEMENT OF THE ARBITRATION. YOU ARE RESPONSIBLE FOR ALL ADDITIONAL COSTS THAT YOU INCUR IN THE ARBITRATION, INCLUDING, BUT NOT LIMITED TO, FEES FOR ATTORNEYS OR EXPERT WITNESSES. IF THE ARBITRATION PROCEEDING IS DECIDED IN UNIBLUE S FAVOR, YOU SHALL REIMBURSE UNIBLUE FOR THE FEES AND COSTS ADVANCED TO YOU ONLY UP TO THE EXTENT AWARDABLE IN A JUDICIAL PROCEEDING. IF THE ARBITRATION PROCEEDING IS DETERMINED IN YOUR FAVOR, YOU WILL NOT BE REQUIRED TO REIMBURSE UNIBLUE FOR ANY OF THE FEES AND COSTS ADVANCED BY UNIBLUE. IF A PARTY ELECTS TO APPEAL AN AWARD TO A THREE-ARBITRATOR PANEL, THE PREVAILING PARTY IN THE APPEAL SHALL BE ENTITLED TO RECOVER ALL RE A S O NA B L E A TTO RNE Y S FE E S A ND CO S TS I NCURRE D I N THA T A P P E A L. NOTWITHSTANDING ANYTHING TO THE CONTRARY IN THIS ARBITRATION PROVISION, UNIBLUE WILL PAY ALL FEES AND COSTS THAT IT IS REQUIRED BY LAW TO PAY. I. Severability. If any clause within this Arbitration Provision is found to be illegal or unenforceable, that clause will be severed from this Arbitration Provision, and the remainder of this Arbitration Provision will be given full force and effect. If the class action waiver clause is found to be illegal or unenforceable, the entire Arbitration Provision will be unenforceable, and the dispute will be decided by a court. In the event this entire Arbitration Provision is determined to be illegal or unenforceable for any reason, or if a claim is brought in a Dispute that is found by a court to be excluded from the scope of this Arbitration Provision, You and Uniblue have each agreed to waive, to the fullest extent allowed by law, any trial by jury. J. Exclusions from Arbitration. YOU AND UNIBLUE AGREE THAT THE FOLLOWING WILL NOT BE SUBJECT TO ARBITRATION: (1) ANY CLAIM FILED BY YOU OR BY UNIBLUE THAT IS NOT AGGREGATED WITH THE CLAIM OF ANY OTHER CUSTOMER AND WHOSE AMOUNT IN CONTROVERSY IS PROPERLY WITHIN THE JURISDICTION OF A COURT THAT IS LIMITED TO ADJUDICATING SMALL CLAIMS; (2) ANY DISPUTE OVER THE VALIDITY OF ANY PARTY S INTELLECTUAL PROPERTY RIGHTS; AND (3) ANY DISPUTE RELATED TO OR ARISING FROM ALLEGATIONS ASSOCIATED WITH UNAUTHORIZED USE OR RECEIPT OF PRODUCTS OR SERVICE. K. Continuation. This Arbitration Provision shall survive the termination of Your Agreement and/or any Service(s) with Uniblue. 16. Venue For All Other Litigation All disputes arising out of or in relation to this Agreement that (a) do not include a United States citizen as party or (b) involve any claim that is not subject to the arbitration provisions of Section 15 for any reason, including, but not limited to, Your timely notice opting out of Arbitration in accordance with Section 15(C) above, shall be submitted to the exclusive jurisdiction of the Courts of Malta, provided however, that Uniblue retains the right, at its option, to pursue any litigation arising from Your use of the Uniblue Software in Your national Courts if You are not a citizen of Malta.
