2 One company, one focus by: Gregg Schmidt, President Murphy-Brown LLC We are all aware that the recent announcement to reorganize Murphy-Brown has some people worried. Our main objective in this reorganization is to decentralize or flatten the organizational structure, thereby eliminating duplication of efforts and pushing more responsibility out to the regional management teams. Within any organization, there are various potential management structures. One is the pyramid organization in which most of the decision-making ultimately is made by the president who manages most aspects of the business. Alternatively, there is the decentralized organization which encourages managers to make their own operational decisions and holds them accountable for their successes and failures. As we go forward there will not be Murphy-Brown East or Murphy-Brown West. Rather, we will have one central management structure supporting the operating divisions, providing best in class support in order for them to succeed and achieve our goals. We are all Murphy- Brown, one company with one focus. That focus is to be the undisputed pork industry leader and to help Smithfield continue as the company that produces Good Food Responsibly. This move is about increasing efficiency and creating ownership. We have a lot of talented people at Murphy-Brown and we need to have us all focused on one agenda. It s normal for people to have anxiety about change, but fortunately, everyone sees the value in the direction we are taking the organization. To be the best at producing high quality, low cost pigs, we must attract and retain talented employees, the farms have to operate well, the feed mills have to operate well, the truck fleet has to run efficiently, and we have to have great technical services. All of these areas have to work together so that rather than our size being a disadvantage, our diverse business scope becomes our main strength. Our business is too big to remove responsibility from the people that are close to the work by creating multiple layers of administrative overhead. We want to create an atmosphere where our people own the results at the operating level. The rest of us are here to make sure we take down every barrier for them to be successful. While we have had significant growth outside the US over the years, the pending merger with Shuanghui highlights the fact that we are becoming a more global business with continued opportunity to expand into new markets. At some point we may have a significant project in China. Development projects in foreign countries take a lot of resources and a lot of efforts by the people involved. Our current reorganization will get us better prepared to manage a large project and access the great depth of talent that we have in our organization. By consolidating the resources for operational support we will be better able to support new projects without detracting from our core business units. At the same time, we will create better opportunities for our employees, offering rewarding career opportunities by committing to more training and aligning people in the right roles. Fortunately, we are beginning to see the change when you walk into the regional offices or other operating locations today. We are beginning to embrace the one company one focus initiative. Everyone has the same focus and wants to be the best at what they do. I appreciate all the efforts and all the progress that has been made throughout the company in the past 18 months. We began the decentralization of the operations in the East two years ago and it has made a tremendous difference in our results and in the ownership of these results. We should use this transition period to learn more about the company and what s right for us in the long term. We all want to be a part of something successful. By maintaining our focus, working hard and working together, we will insure that Murphy-Brown continues to lead the global swine industry. 2

3 The same old At the end of May, Smithfield entered into a merger agreement with Shuanghui International Holdings Limited. Under the terms of the agreement, Shuanghui will acquire all of the outstanding shares of Smithfield for $34.00 a share. Upon closing, Smithfield will be a wholly owned independent subsidiary of Shuanghui International Holdings Limited, operating as Smithfield Foods. Smithfield will cease to be a publically traded company. In August, Larry Pope, president and chief executive officer of Smithfield Foods, met with the management team at Murphy-Brown for an update on the status of the transition and what it will mean for the company. They do not want this organization to change, he said. They are committed to maintaining our operations and they feel very strongly about that. They believe all they re going to do to this organization is bring us opportunities. This acquisition will allow Smithfield to expand its offering of products to China through Shuanghui s distribution network while allowing Shuanghui access to high quality competitively priced, and safe U.S. pork products. Good Global Citizens Maintaining our brand excellence, community involvement, and our commitment to environmental stewardship and animal welfare are absolute mandatory requirements from Shuanghui, Larry said. They know this is the largest transaction ever between China and the U.S. They know the U.S. government is looking at them. They know the American population is looking but better at them. They want to be seen as a good global business coming into the U.S. We are gaining access to a whole new world where 1.3 billion people love our product, Larry said. There s another 700 million people in that region and 60 to 70 percent of their protein consumption is pork. And it s growing! Upon closing of the transaction, which is expected to happen in the second half of 2013, Smithfield s common stock will cease to be publically traded. Larry Pope will continue as president and chief executive officer of Smithfield and the management teams and workforces of Smithfield s Independent Operating Companies will continue in place after the transaction. Shuanghui will honor the collective bargaining agreements in place with Smithfield s represented employees, as well as existing wage and benefit packages for non-represented employees. Under the agreement, there will be no closures at Smithfield s facilities and locations, and Smithfield existing management team will remain in place. Understanding the importance of preserving Smithfield s heritage, values and connections with the communities it serves, and because it also is an engaged member of the communities it serves, Shuanghui had pledged to maintain Smithfield headquarters in Smithfield, Virginia and to continue Smithfield s philanthropic support of community initiatives and investments in sustainability. The transaction will be financed through a combination of cash provided by Shuanghui, rollover of existing Smithfield debt, as well as debt This acquisition will allow --C. Larry Pope financing that has been committed by Morgan Stanley Senior Funding, Inc. and a syndicate of banks. The closing of the transaction is subject to certain conditions, including, among others, approval by Smithfield s shareholders, the receipt of approval under applicable U.S. and specified foreign antitrust and anti-competition laws, The Committee on Foreign Investment in the United States and other customer closing conditions. Shuanghui International Holdings Limited is a Hong Kong-based holding company, which owns a variety of global businesses that include foods, logistics and flavoring products. Shuanghui International and its subsidiaries are the majority shareholders of China s largest meat processing enterprise, which is publicly traded as Henan Shuanghui Investment & Development on the Shenzhen Stock Exchange. 4 energy crops Murphy-Brown to begin growing Company announces long term biomass supply agreement C hemtex International, Inc. of Wilmington North Carolina and Murphy Brown LLC of Warsaw North Carolina signed today a long term agreement for the supply of purpose grown energy crops and residues to be used as cellulosic feedstock in Project Alpha, Chemtex s Cellulosic Ethanol facility planned for Clinton, North Carolina. The agreement covers a number of feedstocks to be grown on approximately six thousand acres of land owned or controlled by Murphy Brown. The proposed crops will be grown on acreage that is not typically used for grain production and will represent the backbone of the supply chain for the planned Chemtex biorefinery. Final execution of the agreement is contingent upon achieving financial closure for the project. Don Butler, Vice President of Government Relations and Public Affairs with Murphy Brown commented We are excited to be working with Chemtex to bring Cellulosic Ethanol to Eastern North Carolina. The production of these feed- stocks will be a natural complement to livestock production in the state and will bring new opportunities for farmers large and small. This project will demonstrate to policymakers that their focus should be on encouraging these American-made next-generation biofuels that are produced without consuming foodstuffs. Although the agreement represents a substantial portion of the feedstock required to operate the facility, additional acreage will be contracted in the coming months. It s a privilege to be working with Murphy Brown and is representative of the support we have received in North Carolina. It s a great first step in filling out our supply needs and we are looking forward to contracting with additional farmers in the area, said Matt Harrod, Director of Supply Chain Development for Chemtex. A significant part of the supply chain will be met through the use of new cellulosic ethanol feedstocks recently approved by the U.S. Environmental Protection Agency. Senator Kay Hagan and Representative s G.K. Butterfield and Mike McIntyre were instrumental in get- ting the administration to work with the federal resource agencies on establishing a pathway for their approval. Project Alpha will produce twenty million gallons of environmentally friendlier cellulosic ethanol annually using Beta Renewables market leading PROESA Technology. It is expected to create approximately 65 direct and at least 250 indirect jobs excluding those relating to the construction of the plant and is expected to be the foundation for the further expansion and development of a significant green industry in North Carolina. 5 Science & Technology Update Pellet quality has a significant effect on feed efficiency in swine. Better pellets result in a decreased feed to gain ratio, or less pounds of feed necessary to put on a pound of gain in a pig. Many factors affect pellet quality including type and inclusion of ingredients, fineness of grind of the grain, steam conditioning, pellet mill die selection, and the cooling/ drying process. The combined influences of formulation and grind determine 60% of the potential pellet quality before the feed mash even reaches the pellet mill. For example, a formulation with a certain percentage of wheat tends to produce a better pellet than one without wheat. However, since feed cost is more than 70% of the cost of raising a pig, the mills are tasked with using the ingredients and formulations they are supplied. This may not always be the best combination of ingredients to produce the best pellet. Therefore, pellet quality problems cannot always be solved by modifying the conditioning process or using a thicker die in the pellet mill. However, within the pelleting system, conditioning is the most important factor that influences quality. Steam conditioning of the feed mash activates natural adhesives found in ingredients and softens the feed particles for increased surface binding during compression in the pellet mill. If done correctly, conditioning allows the use of the thinnest possible pellet mill die, and therefore the greatest potential throughput resulting in a good quality pellet. Water is a critical component in the bonding that takes place during pellet formation. Typically, the only water added in the pelleting process is in the form of steam in the conditioner. There are times, when the grain is dry and warm, such as late in the crop, that enough steam cannot be introduced into the feed mash. One way to overcome this issue is to add water in the mixer to improve pellet quality. But, how much water should be added to get an improvement in pellet quality without making feed that will mold due to increased moisture? These questions and their potential economic benefit to MB lead us to design and execute a trial at The Chief in late April of this year. This trial was designed to evaluate three different diet formulations with different inclusions of water in the mixer (0%, 2%, and 3%). Results indicated that the addition of water significantly improved pellet durability depending on formulation of the diet under specific conditions. This improvement in pellet durability resulted in a potential $2 million/year opportunity for MB due to the improved pellet quality and subsequent improved feed efficiency in swine. This trial will be repeated in the summer to understand the impact of adding water during warmer conditions with new crop corn. The refinement of feed mill manufacturing processes remains a research focus area of the MB Science and Technology team due to its potential economic impact on the profitability of MB. The project is a unique and innovative model for sustainability that will demonstrate how underutilized agricultural resources can create renewable fuel, benefit the ecosystem and generate economic opportunity. The joint venture envisions combining technology and animal waste to optimize alternative energy production for regional distribution. Biogas, also called renewable natural gas, is created when organic matter decomposes without oxygen present. Biogas will be harvested from MBM finishing farms in northern Missouri using stateof-the-art anaerobic digestion technol6 ogy developed and installed by Roeslein Alternative Energy LLC and provided by Veolia Water Solutions & Technologies. Construction is scheduled to begin in early fall 2013 with an estimated completion date of summer Impermeable synthetic covers will be placed on existing nutrient treatment lagoons, and barn scraper technology will be utilized to deliver raw nutrients of livestock waste to covered lagoons. Alternative fuel equipment will then harvest and commercialize biogas produced inside the lagoons. The biogas will then be utilized as a renewable, green energy resource. Utilizing Biothane, Veolia s proven anaerobic digestion technology and project development assistance, we expect to achieve reduced greenhouse gas emissions, shrink MBM s carbon footprint, eliminate rainfall effects on treatment systems, and reduce odor emissions from barns and lagoons, all while capturing a valuable and renewable biogas energy resource, said Rudi Roeslein, president of Roeslein Alternative Energy and CEO of Roeslein & Associates, a global leader in systems integration specializing in sophisticated modular construction. This is an important sustainability project for Murphy-Brown of Missouri. 7 ...Environmental Benefits threshold of producing electricity via two methane digesters that Alpental put into operations in November of 2012 at the Circle 4 facility just outside Milford. The two methane digesters are operational and have begun to produce renewable energy. In 2012 Circle 4 Farms and Alpental Energy partners entered into a strategic partnership to take hog manure from Circle 4 Farms and convert it to electrical energy, which will be placed on the power grid to provide electricity for residential and commercial customers in Utah. Murphy-Brown is excited to be the engine driving the latest form of renewable energy that will allow citizens to turn on the lights in the Utah homes, while at the same time protecting the environment from greenhouse gases such as methane, said Jim Webb, director of environmental and public affairs for Circle 4 Farms. Webb explained that the two methane digesters installed at Milford will convert some of Circle 4 s hog manure to energy, providing enough electricity to power about 3,000 homes and businesses. On a personal note, our Milford project is very gratifying for all of us at Smithfield Foods, Murphy-Brown and Circle 4 Farms. Anyone who has observed our actions during the past decade is familiar with our commitment to sustainability, Webb said. Alpental Energy Partners is a privateequity backed developer of alternative energy projects. Smithfield s Commitment During the past several years, Smithfield Foods, Inc. has been closely monitoring scientific advancements that have gradually eliminated economic and technological barriers to efficiently and sustainably create renewable energy from agricultural waste. In recent years, multi-disciplinary cooperation in microbiology, biochemistry and engineering science has given way to sophisticated and highly efficient anaerobic digestion processes that convert decomposing organic matter, like hog manure, into renewable energy sources. The bottom line is that our company s commitment to creating renewable energy is about to produce some very tangible and beneficial results, said C. 8 Milford, Utah Farm Murphy-Brown facilities awarded for outstanding environmental management Smithfield Foods has honored several of its facilities and employees for their successful sustainability efforts during fiscal year 2013 through a number of innovative environmental projects. The bottom-line impact of these projects was significant, with Smithfield Foods saving more than 592 million gallons of water, nearly 12 million kilowatts of electricity and about 721,000 gallons of fuel oil. These reductions, along with other sustainability achievements resulting from various projects implemented by Smithfield s family of companies, produced an annual cost savings of more than $8 million. Smithfield recognized the environmental achievements of the past fiscal year during its annual Environmental Excellence Awards banquet on July 17, Smithfield executives presented one President s Award and 12 Environmental Excellence Awards for a variety of project categories that represent a companywide commitment to sustainability: wastewater handling and treatment; environmental training and/or ISO 14001; resource conservation-waste reduction; packaging reduction; best recycling of a previous year s project; community outreach and innovative solution to a compliance issue. The President s Award was presented to John Morrell, of Peru, Indiana, for its resource conservation/waste reduction project. John Morrell s Peru plant became the first Smithfield Foods facility to achieve zero-waste-to-landfill, reducing solid waste from 999 tons in fiscal year 2008 down to less than 25 tons during fiscal year The John Morrell facility also won an Environmental Excellence Award in the wastewater handling and treatment category for saving 3.5 million gallons of water and more than 5,000 pounds of chemicals. We re very proud of our employees, who continue to find innovative ways to promote our sustainability efforts by enhancing our environmental management processes. Clearly, their ongoing efforts are producing measurable sustainability results that create value for our businesses and communities, said Dennis H. 13 La calidad de los gránulos de alimento tiene un efecto significativo en la eficiencia del alimento en los cerdos. Mejores gránulos resultan en un menor radio de alimento y ganancia, o menos libras de alimento necesarias para que un cerdo gane una libra de peso. Muchos factores afectan la calidad de los gránulos incluyendo el tipo e inclusión de ingredientes, fineza de molido de los granos, condiciones de vaporación, selección del dado para moler el grano y el proceso de enfriamiento y secado. La influencia combinada de formulación y molido determina el 60% del potencial de calidad del gránulo aún antes de que la comida a granel siquiera llegue al Molino de gránulos. Hay veces, cuando el grano está seco y caliente, tales como al final de la cosecha, que no se puede introducir suficiente vapor en el alimento a granel. Una forma de solucionar este problema es agregar agua en la mezcladora para mejorar la calidad del gránulo. Pero, cuánta agua debe agregarse para lograr mejorar la calidad del gránulo sin fabricar alimento que se llenará de hongos debido a una mayor humedad? Estas preguntas y su potencial beneficio económico para MB nos condujeron a diseñar y ejecutar una prueba en el molino El Chief a finales de abril de este año.
