As we discussed recently, LifeLock is interested in the knowledge that you have acquired about Lemon s business as an independent consultant to Lemon, Inc. In that context, exclusively as a result of the new focus and business model within a different organization where you will now start to have operative functions and receive instructions and directions, we would like to invite you to join the LifeLock family as an employee of Lemon Argentina S.R.L. ( Lemon Argentina ), a subsidiary of Lemon, Inc. We are confident that you will find your role within the LifeLock family to be one in which you can make significant contributions. The following represents our conditional offer to you for employment beginning December 12, 2013, as Director, Mobile Engineering for Lemon Argentina, reporting to Federico Murrone, Chief Operating Officer Argentina. This offer is specifically conditioned on the closing of the transaction currently in negotiation between LifeLock, Lemon, Inc. and Finnet S.A. If the transaction closes and this offer becomes effective, you will be notified in writing. Therefore, this conditional offer may not, until closing of the transaction, be considered a promise of employment or otherwise an acquired right for you to be hired by LifeLock, Lemon Argentina or otherwise. Assuming that occurs when expected, the offer is as follows: Compensation Your gross monthly salary will be ARS$134, (One Hundred and Thirty-Four Thousand Six Hundred and Fifteen Argentine Pesos with 38/100) and will be paid in arrears each month. O ffer Requirements This offer is also contingent upon: Satisfactory results of a criminal background provided by you as well as a general background conducted by either LifeLock or an outside agency. Proper and complete submission of Proprietary Rights and Restrictive Covenant Agreement. On or before your first day you will receive and must sign this agreement. This offer and your subsequent employment are also contingent upon you accurately completing and submitting all requested information, as well as meeting all necessary requirements for employment. Should you not, this employment offer could be considered null and void, and LifeLock would be under no obligation to hire you for this or any other position. LifeLock and its subsidiaries maintain employment-at-will relationships with their respective employees, which may be terminated at any time by either party by means of appropriate notice and severance, if applicable. All compensation and benefits referred to in this letter are subject to your continued employment and satisfactory job performance. All salary and allowances referred to in this letter will be considered ordinary income and will be subject to applicable state and federal withholdings, including, without limitation, income taxes and social security. This offer letter constitutes our complete offer package to recognize your responsibilities. Any promises or representations, either oral or written, which are not contained in this letter are not valid and are not binding on LifeLock.

Conforme lo conversado recientemente, LifeLock está interesada en el conocimiento que Ud. adquirió de los negocios de Lemon como consultor independiente de Lemon, Inc. En ese contexto y exclusivamente como resultado del nuevo enfoque y modelo de negocio dentro de una organización distinta, donde Ud. comenzará ahora a tener funciones operativas, recibir instrucciones y directivas; nos gustaría invitarlo a formar parte de la familia LifeLock como empleado de Lemon Argentina S.R.L ( Lemon Argentina ), subsidiaria de Lemon, Inc. Estamos seguros que Ud. encontrará su rol dentro de la familia LifeLock de modo que pueda brindar significantes contribuciones. Lo que expondremos a continuación representa nuestra oferta condicional referida a su empleo que comenzará el 12 de diciembre de 2013 como Director de Ingeniería Móvil, respondiendo a Federico Murrone, Director de Operaciones de Argentina. Esta oferta estará específicamente condicionada al cierre de la transacción que se encuentra en plena negociación entre LifeLock, Lemon, Inc. y Finnet S.A. Si la transacción se realiza y esta oferta se efectiviza Ud. será notificado por escrito. Por lo expuesto, esta oferta condicional no debe ser considerada, hasta el cierre de la transacción, una promesa de empleo o un derecho adquir ido por Ud. a ser contratado por LikeLock, Lemon Argentina u otra. Asumiendo que ocurra lo esperado, la oferta consiste en lo siguiente: Remuneración Su salario bruto mensual será de AR$ ,38 (Pesos Ciento Treinta y Cuatro Mil Seiscientos Quince con 38/100) y será abonado a mes vencido. Requisitos para la oferta La presente oferta está supeditada a: La obtención de resultados satisfactorios respecto de sus antecedentes penales, que serán provistos por Ud., así como sus antecedentes generales a ser proporcionados por LifeLock u otra agencia externa. El completo y debido cumplimiento del acuerdo de Derechos de Propiedad y Cláusulas Restrictivas. Previamente o en su primer día de trabajo Ud. recibirá dicho acuerdo que deberá firmar. Esta oferta y el subsiguiente contrato de trabajo estarán asimismo supeditados a que Ud. complete y presente en forma precisa toda la información que le sea requerida y, a que Ud. reúna los requisitos necesarios para el empleo. Si Ud. no cumple, esta oferta de trabajo podrá ser considerada nula o inválida, y LifeLock no estará obligada a emplearlo para éste o cualquier otro puesto. LifeLock y sus subsidiarias mantienen una relación de trabajo por tiempo indeterminado con sus empleados que cualquiera de la s partes puede extinguir en cualquier momento otorgando el preaviso e indemnizaciones legales, de corresponder. Toda compensación y beneficios previstos en esta carta están sujetos a su continuidad y desempeño laboral satisfactorios. Todo salario y prestación previstos en esta oferta serán considerados parte de su ingreso ordinario y, como tal, sujeto a las retenciones estatales y federales legales incluyendo, sin limitación, impuestos, aportes y contribuciones a los organismos de la seguridad social.
