1 ORDER CALLING A BOND ELECTION AND PROVIDING NOTICE OF ELECTION THE STATE OF TEXAS ANDERSON, HENDERSON AND VAN ZANDT COUNTIES ATHENS INDEPENDENT SCHOOL DISTRICT WHEREAS, the Board of Trustees of the Athens Independent School District (the "District" deems it advisable to call the bond election hereinafter ordered (the "Election"; and WHEREAS, the District is conducting the Election as a joint election with Anderson County, Henderson County and Van Zandt County (collectively, the "Counties" and is contracting with the Counties for certain administrative services for the Election pursuant to interlocal agreements between the District and each County (collectively, the "Election Contract"; and WHEREAS, the Counties, acting through their respective County Election Administrators (collectively, the "Elections Coordinator", will provide for the administration of the Election on Election Day to serve voters of the District that reside in each respective County; and WHEREAS, the Henderson County Election Administrator (the "Henderson Administrator" will additionally contract with the District for the administration of early voting for all residents of the District; and WHEREAS, it is hereby officially found and determined that the meeting at which this Order was adopted was open to the public, and public notice of the time, place, and purpose of the meeting was given, all as required by the Texas Government Code, Chapter 551. THEREFORE, BE IT ORDERED BY THE BOARD OF TRUSTEES OF THE ATHENS INDEPENDENT SCHOOL DISTRICT: Section 1. The statements contained in the preamble of this Order are true and correct and adopted as findings of fact and operative provisions hereof. Section 2. Election Ordered; Polling Places. The Election shall be held in the District between the hours of 7:00 a.m. and 7:00 p.m. on November 3, 2015 ("Election Day". Election Day voting is to be administered by each County as provided by Chapter 271 of the Texas Election Code (the "Code", and the respective Election Contract. Early voting shall be administered by the Henderson Administrator. Voting on Election Day shall occur during the hours and at the designated polling places as set forth in Exhibit "A" attached hereto, which exhibit is hereby made a part hereof for all intents and purposes. Exhibit "A" shall be modified to include additional or different Election Day polling places required to conform to the Election Contract and the Code. Section 3. Early Voting. (a Early voting shall be administered by the Henderson Administrator. Early voting by personal appearance shall begin on October 19, 2015 and conclude on October 30, 2015, and will be conducted at the early voting locations on the dates and at the times specified in Exhibit "A" attached hereto. The early voting polling places shall remain open during such hours for early voting by personal appearance for any registered voter of the District at such voting place. Exhibit

2 "A" shall be modified to include additional or different early voting polling places required to conform to the Election Contract, or any of them, and the Code. Section 4. Election Officials. The appointment of the Presiding Election Judges, Alternate Judges, and other election officials for the Election shall be made by each County in accordance with the Election Contract and the Code. The District and the County may employ other personnel necessary for the proper administration of the Election, including such part-time help as is necessary to prepare for the Election, to ensure the timely delivery of supplies during early voting and on Election Day, and for the efficient tabulation of ballots at the central counting station. Section 5. Voting by Mail. Applications for voting by mail for all residents of the District shall be mailed to: Denise A Hernandez, Henderson County Election Administrator, P.O. Box 2720, Athens, Texas 75751, by October 23, If application to vote by mail is made by personal delivery, the application must be delivered by close of business on October 16, Section 6. Qualified Voters. All qualified electors of and residing in the District, shall be entitled to vote at the election. Section 7. Notice of Election. The President of the Board of Trustees shall cause a Notice of Election to be published one time, not earlier than the 30 th day or later than the 10 th day prior to the date set for the Election, in a newspaper published in the District or, if none is published in the District, in a newspaper of general circulation in the District. In addition, the President of the Board of Trustees shall cause the Notice of Election to be posted on Election Day and during early voting by personal appearance, in a prominent location at each polling place; not later than the 21st day before the election, in three public places in the boundaries of the District; and during the 21 days before the election, on the District s website, prominently and together with the notice of the election and the contents of the proposition. The Notice of Election shall be in substantially the form of this Order, and shall contain the information required by the Code, including the locations and times for early voting and voting on Election Day, the propositions and ballot language to be submitted to the voters and such other information as may be deemed appropriate by the President of the Board of Trustees. Section 8. Proposition. At the Election the following PROPOSITION shall be submitted in accordance with law: PROPOSITION Shall the Board of Trustees of the Athens Independent School District be authorized to issue the bonds of the District, in one or more series, in the aggregate principal amount of $59,900,000 for the purpose of the construction, acquisition, and equipment of school buildings in the District, with said bonds to be issued and sold, within the discretion of the Board of Trustees, in accordance with law at the time of issuance; and shall the Board of Trustees be authorized to levy and pledge, and cause to be assessed and collected, annual ad valorem taxes, on all taxable property in the District, sufficient, without limit as to rate or amount, to pay the principal of and interest on the bonds and the cost of any credit agreements executed in connection with the bonds?

3 Section 9. Ballots. The official ballots for the Election shall be prepared in accordance with the Texas Election Code so as to permit the electors to vote "FOR" or "AGAINST" the aforesaid PROPOSITION with the ballots to contain such provisions, markings and language as required by law, and with such PROPOSITION to be expressed substantially as follows: FOR AGAINST PROPOSITION THE ISSUANCE OF $59,900,000 OF BONDS BY THE ATHENS INDEPENDENT SCHOOL DISTRICT AND LEVYING THE TAX IN PAYMENT THEREOF. Section 10. Compliance with Federal Law. In all respects, the Election shall be conducted in accordance with the Code. Pursuant to the federal Help America Vote Act ("HAVA" and the Code, at each polling place there shall be at least one voting system that is equipped for disabled individuals, and each such voting system shall be a system that has been certified by the Texas Secretary of State as compliant with HAVA and the Code. The District hereby finds that the voting system to be used by each Election Coordinator in administering the Election is such a system, and orders that such voting equipment or other equipment certified by the Texas Secretary of State shall be used by the District in its elections. Section 11. The Board of Trustees hereby authorizes the Superintendent, President, Vice President or the Secretary of the Board of Trustees to execute or attest on behalf of the District the Election Contracts with each County. Section 12. The following information is provided in accordance with the provisions of Section 3.009(b, Texas Election Code. (a 9 hereof. (b 8 hereof. (c $59,900,000. The proposition language that will appear on the ballot is set forth in Section The purpose for which the bonds are to be authorized is set forth in Section The principal amount of the debt obligations to be authorized is (d If the bonds are approved by the voters, the Board of Trustees will be authorized to levy annual ad valorem taxes, on all taxable property in the District, sufficient, without limit as to rate or amount, to pay the principal of and interest on the bonds and the cost of any credit agreements executed in connection with the bonds. (e Based upon the bond market conditions at the date of adoption of this Order, the maximum interest rate for any series of the Bonds is estimated to be 4.15%. Such estimated maximum rate is provided as a matter of information, but is not a limitation on the interest rate at which the Bonds, or any series thereof, may be sold.

4 (f If the bonds are approved, they may be issued in one or more series, to mature serially, over a period not to exceed 40 years from the date of issuance of each series of bonds. (g The aggregate amount of the outstanding principal of the District's debt obligations that are secured by the District's unlimited debt service tax as of the beginning of the District's fiscal year is $16,592,543. (h The aggregate amount of the outstanding interest of the District's debt obligations that are secured by the District's unlimited debt service tax as of the beginning of the Districts fiscal year is $5,707,394. (Of this amount, $3,117,319 represents the total interest outstanding on the District s Unlimited Tax Qualified School Construction Bonds, Series 2011, for which the District is eligible to receive payments from the United States Treasury for this interest cost. Currently, the District is receiving over 90% of this interest cost in payments from the U.S. Treasury. The District is obligated to make full payment on the Series 2011 Bonds regardless of whether or not the U.S. Treasury fulfills its obligation to subsidize these interest payments. (i The ad valorem debt service tax rate for the District for the fiscal year is $0.1591per $100 of taxable assessed valuation

7 ORDEN QUE CONVOCA A UNA ELECCIÓN DE BONOS Y PROVEE EL AVISO DE ELECCIÓN ESTADO DE TEXAS CONDADOS DE ANDERSON, HENDERSON Y VAN ZANDT DISTRITO ESCOLAR INDEPENDIENTE DE ATHENS VISTO que la Junta de Regentes del Distrito Escolar Independiente de Athens (el Distrito considera aconsejable convocar a la elección de bonos que se ordena a continuación (la Elección ; y VISTO que el Distrito está administrando la Elección como una elección conjunta con el Condado de Anderson, el Condado de Henderson y el Condado de Van Zandt (colectivamente, los Condados y que está ejecutando contratos con los Condados para ciertos servicios administrativos para la Elección, de conformidad con acuerdos interlocales entre el Distrito y cada Condado (colectivamente, el Contrato Electoral ; y VISTO que los Condados, por medio de sus respectivos Administradores de Elecciones del Condado (colectivamente, los Coordinadores de Elecciones, proveerán la administración de la Elección el Día de las Elecciones para servir a los votantes del Distrito que residan en cada respectivo Condado; y VISTO que el Administrador de Elecciones del Condado de Henderson (el Administrador de Henderson también ejecutará un contrato con el Distrito para la administración de la Votación Adelantada para todos los residentes del Distrito; y VISTO que por este medio se determina y declara oficialmente que la sesión en la cual esta Orden fue aprobada estaba abierta al público, y que se dio aviso público acerca del horario, el lugar y el propósito de dicha sesión, todo como se requiere en el Capítulo 551 del Código de Gobierno de Texas. POR LO TANTO, LA JUNTA DE REGENTES DEL DISTRITO ESCOLAR INDEPENDIENTE DE ATHENS ORDENA: Sección 1. Las declaraciones contenidas en el preámbulo de esta Orden son fidedignas y correctas y se adoptaron como determinaciones de hechos y disposiciones operativas en este caso. Sección 2. Elección ordenada; sitios de votación. La Elección se celebrará en el Distrito entre las 7:00 a.m. y las 7:00 p.m. del 3 de noviembre de 2015 (el Día de las Elecciones. La votación el Día de las Elecciones será administrada por cada Condado, de conformidad con el Capítulo 271 del Código Electoral de Texas (el Código, y el Contrato Electoral respectivo. La Votación Adelantada será administrada por el Administrador de Henderson. La votación el Día de las Elecciones ocurrirá durante los horarios y en los sitios de votación designados como se establece en el Anexo A adjunto, el cual forma parte del presente en todos sentidos para el caso. El Anexo A deberá modificarse para incluir sitios de votación adicionales o diferentes para el Día de las Elecciones requeridos para cumplir el Contrato Electoral y el Código.

8 Sección 3. Votación Adelantada. (a La Votación Adelantada será administrada por el Administrador de Henderson. La Votación Adelantada en persona comenzará el 19 de octubre de 2015 y concluirá el 30 de octubre de 2015, y se llevará a cabo en los sitios de Votación Adelantada en las fechas y los horarios especificados en el Anexo A adjunto. Los sitios de votación para la Votación Adelantada deberán permanecer abiertos durante dichos horarios para la Votación Adelantada en persona de todo votante del Distrito inscrito en dicho sitio de votación. El Anexo A deberá modificarse para incluir sitios de votación adicionales o diferentes para la Votación Adelantada requeridos para cumplir el Contrato Electoral, o cualquiera de ellos, y el Código. Sección 4. Funcionarios electorales. La designación de los Jueces Presidentes de la Elección, los Jueces Alternos y otros funcionarios electorales para la Elección deberá ser hecha por cada Condado de conformidad con el Contrato Electoral y el Código. El Distrito y el Condado podrán emplear todo otro personal necesario para la administración apropiada de la Elección, incluyendo toda ayuda a tiempo parcial como sea necesaria para preparar la Elección, asegurar la entrega oportuna de suministros durante la Votación Adelantada y el Día de las Elecciones, y para la tabulación eficiente de boletas en la estación central de recuento de votos. Sección 5. Votación por correo. Las solicitudes para la votación por correo para todos los residentes del Distrito deberán enviarse por correo a: Denise A Hernandez, Henderson County Election Administrator, P.O. Box 2720, Athens, Texas 75751, a más tardar el 23 de octubre de Si la solicitud para votar por correo se entrega personalmente, ésta debe recibirse antes del cierre de las actividades comerciales del 16 de octubre de Sección 6. Votantes habilitados. Todos los electores habilitados que residan en el Distrito tendrán derecho a votar en la elección. Sección 7. Aviso de Elección. El Presidente de la Junta de Regentes hará que se publique un Aviso de Elección una vez, no antes del día 30 ni después del día 10 anteriores a la fecha establecida para la Elección, en un periódico publicado en el Distrito o, de no publicarse ningún periódico en el Distrito, en un periódico de circulación general en el Distrito. Además, el Presidente de la Junta de Regentes hará que el Aviso de Elección se publique el Día de las Elecciones y durante la Votación Adelantada en persona en un lugar destacado en cada sitio de votación, no después del día 21 antes de las elecciones en tres lugares públicos en los límites del Distrito y, durante los 21 días anteriores a las elecciones, en el sitio web del Distrito, de manera destacada, junto con el contenido de la proposición. El Aviso de Elección deberá ser sustancialmente en la forma de esta Orden, y deberá contener la información exigida por el Código, incluyendo los sitios y los horarios para la Votación Adelantada y la votación el Día de las Elecciones, las proposiciones y el lenguaje de la boleta a ser entregada a los votantes y toda otra información que el Presidente de la Junta de Regentes estime que pueda ser apropiada. Sección 8. Proposición. En dicha Elección se someterá la siguiente PROPOSICIÓN de acuerdo con la ley: PROPOSICIÓN Se autorizará a la Junta de Regentes del Distrito Escolar Independiente de Athens a emitir bonos del Distrito, en una o más series, por un importe total de

9 capital de $59,900,000 para la construcción, la adquisición y el equipamiento de edificios escolares en el Distrito, y dichos bonos se emitirán y venderán, a discreción de la Junta de Regentes, de acuerdo con la ley vigente al momento de la emisión; y se autorizará a la Junta de Regentes a imponer y prendar, y a hacer que se evalúen y recauden, impuestos ad valorem anuales sobre todas las propiedades gravables en el Distrito, sin límites en cuanto a la tasa o el importe, suficientes para pagar el capital y el interés sobre los bonos y el costo de todo arreglo crediticio ejecutado en relación con los bonos? Sección 9. Boletas. Las boletas oficiales para la Elección se prepararán de acuerdo con el Código Electoral de Texas a fin de permitir que los electores voten A FAVOR o EN CONTRA de la PROPOSICIÓN anteriormente mencionada, y las boletas contendrán dichas disposiciones, marcas y lenguaje exigidos por la ley, y dicha PROPOSICIÓN deberá expresarse sustancialmente como sigue: A FAVOR EN CONTRA PROPOSICIÓN LA EMISIÓN DE BONOS POR EL IMPORTE DE $59,900,000 POR EL DISTRITO ESCOLAR INDEPENDIENTE DE ATHENS, Y LA IMPOSICIÓN DE IMPUESTOS PARA EL PAGO DE DICHOS BONOS. Sección 10. Cumplimiento con las leyes federales. En todos los aspectos, la Elección se administrará de acuerdo con el Código. De acuerdo con la Ley Ayude a América a Votar ( HAVA, por sus siglas en inglés federal y el Código, en cada sitio de votación deberá haber por lo menos un sistema de votación dotado para personas discapacitadas, y cada uno de dichos sistemas de votación deberá haber sido certificado por el Secretario de Estado de Texas como un sistema que cumple con la ley HAVA y el Código. El Distrito por el presente documento determina que el sistema de votación a ser usado por cada Coordinador de Elecciones para administrar la Elección es tal sistema, y ordena que el Distrito deberá usar en sus elecciones dicho equipo de votación u otro equipo certificado por el Secretario de Estado de Texas. Sección 11. Por la presente, la Junta de Regentes autoriza al Superintendente, al Presidente, al Vicepresidente o al Secretario de la Junta de Regentes a celebrar o certificar en nombre del Distrito los Contratos Electorales con cada Condado. Sección 12. La siguiente información se provee de acuerdo con las disposiciones de la Sección 3.009(b del Código Electoral de Texas. (a El lenguaje de la proposición que aparecerá en la boleta se establece en la Sección 9 del presente. (b El propósito para el cual se autorizarán los bonos se establece en la Sección 8 del presente. (c $59,900,000. El importe de capital de las obligaciones de deuda a autorizarse es de

10 (d De ser aprobados los bonos por los votantes, se autorizará a la Junta de Regentes a imponer impuestos ad valorem anuales sobre todas las propiedades gravables en el Distrito, sin límites en cuanto a la tasa o el importe, suficientes para pagar el capital y el interés sobre los bonos y el costo de todo arreglo crediticio ejecutado en relación con los bonos. (e Dependiendo de la condición del mercado de bonos prevalente a la fecha de adopción de esta Orden, la tasa de interés máxima para cualquier serie de los Bonos se estima que será del 4.15%. Dicha tasa máxima estimada se provee con fines informativos, y no representa un límite en cuanto a la tasa de interés a la que se venderán los Bonos, o cualquier serie de los mismos. (f De ser aprobados los bonos, dichos bonos podrán emitirse en una o más series, y vencer igualmente en serie, durante un período que no sobrepasará los 40 años a partir de la fecha de emisión de cada serie de bonos. (g El importe total del capital a pagar con respecto a las obligaciones de deuda del Distrito (las cuales están aseguradas por el impuesto ilimitado para fines del servicio de deuda del Distrito al inicio del año fiscal del Distrito es de $16,592,543. (h El importe total del interés a pagar con respecto a las obligaciones de deuda del Distrito (las cuales están aseguradas por el impuesto ilimitado para fines del servicio de deuda del Distrito al inicio del año fiscal del Distrito es de $5,707,394. (De ese monto, $3,117,319 representan el total del interés a pagar sobre los Bonos de Construcción para Escuelas Elegibles de Impuesto Ilimitado del Distrito, Serie 2011, por el cual el Distrito califica para recibir pagos del Departamento del Tesoro de los Estados Unidos por el costo de este interés. En la actualidad, El Distrito recibe más del 90% del costo de este interés en pagos del Departamento del Tesoro de los Estados Unidos. El Distrito debe pagar la totalidad de los Bonos Serie 2011 independientemente de si el Departamento del Tesoro de los Estados Unidos cumple o no su obligación de subsidiar estos pagos de intereses. (i La tasa de impuesto ad valorem para servicio de deuda del Distrito para el año fiscal es de $ por $100 de valoración catastral gravable
