4 JESSICA HOLDING FUND On behalf of MAs Details of each JESSICA HF mandate will be negotiated between the MA and EIB on the basis of a standard contract (the Funding Agreement ). JESSICA does not constitute a new additional source of financing for Member States but is rather a new way of using existing Structural Funds in favour of urban development projects. Member States and MAs decide what proportion of these Structural Funds are to be channelled into this new mechanism. The JESSICA HF does not need to have a legal personality; EIB simply receives a mandate to manage the funds. The administrative requirements mainly correspond to EIB s internal procedures. 7 JESSICA HOLDING FUND Using an Independent Investment Board All investment decisions with respect to each JESSICA HF operation will be taken by the Investment Board. EIB may designate two of its employees to participate in Investment Board meetings as observers. Matters subject to the approval of the Investment Board: any amendments or revisions of the Investment Strategy and Planning; each call for expression of interest; Business Plans of the selected UDF promoters; approval of UDFs; and budget and costs for performance of JESSICA HF 8

5 JESSICA HOLDING FUND Implementing an Investment Strategy Investment policy of JESSICA HFs will be each time determined by objectives of a given MA as stated in their Operational Programme. JESSICA HFs will invest in a portfolio of UDFs In turn UDFs will invest in a portfolio of individual projects, which may cover a broad range of sectors, such as: office buildings, energy efficiency schemes, industrial parks, public infrastructure, public transport, retail space, etc. New Initiative thus flexible strategy and open door to all options Each JESSICA HF will operate in the geographic territory of one MA. 9 JESSICA HOLDING FUND Investing in Urban Development Funds (UDFs) Based on the experience gained through two years of promotion of these instruments, in the majority of cases JESSICA is likely to be implemented in Member States using one or a combination of the following two basic models of UDFs: Channeling funding through financial institutions, notably main banks, that can act as UDFs to finance urban projects promoted by local authorities (this may represent more than 70-80% of total JESSICA managed funds). Channeling funding through regional, local, or thematic UDFs, established by the public sector (in a number of cases in cooperation with the private sector) and perhaps involving the contribution of publicly owned land and buildings. The public sector will be present in all initiatives. It is expected that the majority of UDFs to receive contribution from JESSICA HFs would be either banks or public entities. 10
