(Claimants) and The Argentine Republic (Respondent) ICSID Case No. ARB/03/17 Procedural Order No. 1 Concerning the Discontinuance of Proceedings with Respect to Aguas Provinciales de Santa Fe S.A. Whereas the Claimant Aguas Provinciales de Santa Fe S.A. (APSF) by letter of 11 January 2006, informed the Tribunal that APSF in compliance with a condition imposed by the Province of Santa Fe for its approval of the sale of Claimant Shareholders shares in APSF to Alberdi Aguas S.A.has decided to withdraw its claim in the abovereferenced-arbitration but that such withdrawal was expressly without prejudice to the Claimant Shareholders claims in this proceeding; Whereas the Respondent, in response to the Tribunal s request for its observations on this matter, did not object to APSF s withdrawal but requested by letter of 15 February 2006, that the Claimants provide the Respondent with copies of the minutes of APSF s shareholders meeting (Asamblea de Accionistas de APSF) with respect to the decision authorizing such withdrawal;

Argentine Republic (ICSID Case No. ARB/03/17) Procedural Order No. 1 Whereas the Respondent, after having been provided copies of such documents, informed the Tribunal by letter of March 31, 2006, para. 9, that the Argentine Republic does not oppose the proposed cessation by the Concessionaire APSF in ICSID arbitration ARB/03/17 ( la República Argentina no se opone al desistimiento planteado por la[s] Concesionaria[s] APSF en [el] arbitraje[s] CIADI/03/17 ), but argued that such withdrawal had legal consequences with respect to the Tribunal s jurisdiction over the Shareholder Claimants and their claims; Whereas ICSID Arbitration Rule 44 provides: If a party requests the discontinuance of the proceeding, the Tribunal, or the Secretary-General if the Tribunal has not yet been constituted, shall in an order fix a time limit within which the other party may state whether it opposes the discontinuance. If no objection is made in writing within the time limit, the other party shall be deemed to have acquiesced in the discontinuance and the Tribunal, or if appropriate the Secretary-General, shall in an order take note of the discontinuance of the proceeding. If objection is made, the proceeding shall continue. Whereas neither ICSID Arbitration Rule 44, nor any other ICSID Arbitration Rule, nor the ICSID Convention specifically provides for the withdrawal of one party from an arbitration proceeding that is to continue thereafter; Whereas Article 44 of the ICSID Convention provides: If any question of procedure arises which is not covered by this Section or the Arbitration Rules or any rules agreed by the parties, the Tribunal shall decide the question. ; Whereas discontinuance of the proceedings with respect to one of the parties at its request and in the absence of objection from other parties is in accordance with the basic 2

Argentine Republic (ICSID Case No. ARB/03/17) Procedural Order No. 1 objective of the ICSID Convention of facilitating the settlement of investment disputes, of which ICSID Arbitration Rule 44 is a specific manifestation; Whereas the continued participation of APSF in this proceeding under the conditions stated above would serve no useful purpose in bringing about a fair and correct resolution of the present arbitration; Whereas the legal consequence of such discontinuance on the jurisdiction of the Tribunal over the other Claimants and their claims is a matter that is more appropriately to be considered in the Tribunal s conclusions on the question of jurisdiction now in the process of deliberation, rather than in the present order; Now, therefore the Tribunal composed of Jeswald W. Salacuse (president), Gabrielle Kaufmann-Kohler, and Pedro Nikken after deliberation makes the following order: 1. The proceedings in the present ICSID Case No. ARB/03/17 with respect to the Claimant Aguas Provinciales de Santa Fe S.A are hereby discontinued and the said Claimant Aguas Provinciales de Santa Fe S.A shall cease to be a party to the present case with effect from today. 2. En el procedimiento entre Aguas Provinciales de Santa Fe S.A, Suez, Sociedad General de Aguas de Barcelona, S.A., e InterAguas Servicios Integrales del Agua, S.A. (Demandantes) y la República Argentina (Demandada) Caso CIADI No.ARB/03/17 Resolución Procesal No. 1 sobre terminación del procedimiento con respecto a Aguas Provinciales de Santa Fe S.A. Considerando que la Demandante Aguas Provinciales de Santa Fe S.A. (APSF), mediante carta de 11 de enero de 2006, informó al Tribunal que APSF cumpliendo con una condición impuesta por la Provincia de Santa Fe para aprobar la venta de acciones de los accionistas demandantes en APSF a Alberdi Aguas S.A.... ha decidido desistir de su reclamación en el arbitraje de la referencia pero que dicho desistimiento se hacía expresamente sin perjuicio de las reclamaciones de los accionistas demandantes en este procedimiento; Considerando que la Demandada, en respuesta a la solicitud por parte del Tribunal de presentar observaciones respecto a este tema, no se opuso al desistimiento de APSF, pero solicitó, mediante carta de fecha 15 de febrero de 2006, que la Demandante APSF le proporcionare copias del Acta de la Asamblea de Accionistas de APSF correspondiente a la decisión autorizando tal desistimiento;

(Caso CIADI No. ARB/03/17) Resolución Procesal No. 1 Considerando que la Demandada, luego de haber recibido copias de tales documentos, informó al Tribunal mediante carta de 31 de marzo de 2006, párrafo 9 que la República Argentina no se opone al desistimiento planteado por la[s] Concesionaria[s] APSF ) en el arbitraje CIADI No. ARB/03/17, pero argumentó que dicho desistimiento tendría consecuencias legales con respecto a la jurisdicción del Tribunal sobre los accionistas demandantes y sus reclamaciones; Considerando que la Regla 44 de las Reglas de Arbitraje del CIADI dispone: Si una de las partes solicita que se ponga término al procedimiento, el Tribunal, o el Secretario General si aquel no se ha constituido todavía, fijará mediante resolución el plazo dentro del cual la otra parte podrá oponerse a la terminación. Si no se formula objeción alguna por escrito dentro del plazo fijado, se presumirá que la otra parte ha consentido en la terminación y el Tribunal, o en su caso, el Secretario General, dejará constancia, en una resolución, de la terminación del procedimiento. Si se formula una objeción se continuará el procedimiento. Considerando que ni la Regla de Arbitraje 44 del CIADI ni ninguna otra Regla de Arbitraje del CIADI, ni el Convenio del CIADI prevén específicamente el desistimiento de una parte en un procedimiento de arbitraje que continuará tramitándose; Considerando que el Artículo 44 del Convenio del CIADI dispone Cualquier cuestión de procedimiento no prevista en esta Sección, en las Reglas de Arbitraje o en las demás reglas acordadas por las partes, será resuelta por el Tribunal. ; Considerando que la terminación del procedimiento respecto de una de las partes, a su solicitud y en ausencia de objeciones de las otras, es acorde con los objetivos básicos del Convenio del CIADI de facilitar la solución de diferencias relativas a inversiones; siendo la Regla de Arbitraje 44 del CIADI una manifestación de los mismos; 2

(Caso CIADI No. ARB/03/17) Resolución Procesal No. 1 Considerando que la continuación de la participación de APSF en el presente procedimiento, en las condiciones anteriormente referidas, no cumpliría un fin útil en la consecución de una resolución justa y adecuada del presente arbitraje. Considerando que las consecuencias legales de tal terminación sobre la jurisdicción del Tribunal sobre las otras demandantes y sus reclamaciones es una materia que corresponde ser resuelta por el Tribunal en las conclusiones sobre la cuestión de la jurisdicción, actualmente materia de deliberaciones, y no en la presente Resolución; En consecuencia, el Tribunal conformado por Jeswald W. Salacuse (presidente), Gabrielle Kaufmann-Kohler y Pedro Nikken, luego de deliberar, emite la siguiente resolución: 1. El procedimiento en el presente Caso CIADI No. ARB/03/17 respecto a la Demandante Aguas Provinciales de Santa Fe S.A. se da mediante la presente resolución por terminado, dejando la referida Demandante, Aguas Provinciales de Santa Fe S.A, de ser parte desde el día de hoy en el presente procedimiento. 2.
