3 OUTCOME Preparatory distance-learning course on key issues in international investment agreements (IIAs), 31 July - 29 September 2006 The training course on managing investment disputes was preceded by a nine-week distancelearning (DL) course, organized in cooperation with the UNCTAD's programme, TrainforTrade (TfT). The DL course allowed participants to acquire the basic knowledge of key issues relevant to international investment agreements (IIAs). The following core issues were covered: - scope and definition, - admission and establishment, - treatment, including fair and equitable treatment, national treatment and most-favoured nation treatment, - protection, including taking of property and transfer of funds, and - dispute settlement (investor-state and State-State). The distance-learning course was undertaken by 56 participants through the TfT Internetbased training platform. The participants expressed their full satisfaction on the usefulness of the DL course. See attached a detailed report of the distance-learning course. Advanced training course on managing investment disputes The Advanced Training Course on Managing Investment Disputes for Latin America and the Caribbean, held in Puebla, Mexico, from 11 to 20 October 2006, is the second course on this topic organized by the Secretariat of the United Nations Conference on Trade and Development (UNCTAD) and the General Secretariat of the Organization of American States (OAS). It responds to the needs for technical assistance and capacity-building identified by developing countries to deal with disputes arising out of investment treaties and involving private investors and the State. Rationale of the course: The majority of existing international investment agreements (e.g. 2,500 bilateral investment treaties and more than 230 free trade agreements containing investment provisions) provides for investor-state dispute settlement through international arbitration. Foreign investors have increasingly resorted to this mechanism to settle their disputes with host country governments. The use of this mechanism has increased dramatically over the past five years, reaching 226 known disputes by end 2005 and involving 62 States (including 135 involving developing countries). Given the increase in international investment and the expanding nature of the universe of investment agreements, the likelihood of further treaty-based disputes between host States and individual investors has increased. Consequently, governments need not only to be judicious in negotiating IIAs and sensitive to actions that could trigger litigation, but they also need to follow closely the development and the management of such disputes when they arise. This relates especially to developing country governments that are often unprepared when faced with investor claims and have little or no experience in the management of disputes. In addition, they often lack both the institutional and practical expertise to deal with them. Their vulnerability is also based on the potentially high costs involved of conducting such procedures, and the potential impact of awards on the budget and a country's reputation as an investment location. Technical assistance is therefore necessary to enable countries to make effective and efficient use of the investor-state dispute settlement system as part of an overall endeavor to improve the investment climate, the rule of law and ensuing that IIAs contribute to countries' efforts to attract and benefit from foreign direct investment. 3
4 This second session was organized for countries from Latin America and the Caribbean, a region where investment treaty making is progressing apace and where several countries are facing an increasing number of investor-state disputes. The training course benefited from the logistical support of the Secretaría de Economía of Mexico and the Administrative Secretariat of the Free Trade Agreement of the Americas (FTAA) and the financial support of the Canadian International Development Agency (CIDA), the Secretaría de Turismo y Comercio, Ministerio de Industria, Turismo y Comercio of Spain and the State Secretariat for Economic Affairs of Switzerland. The course brought together 31 participants from 14 Latin American and two Caribbean countries, selected on the basis of their involvement in investment disputes (experience or involvement in the team managing disputes on behalf of the State). Some participants from the host institution (Secretaría de Economía) also attended the course (attached list of participants). The course was delivered in English and Spanish and simultaneous interpretation was provided. Participants benefited from the intervention of experienced resource persons involved in the actual litigation of cases either on behalf of the State in in-house teams (US Department of State, Mexican Ministry of Economy, Canadian Trade Law Bureau) or acting counsels for States (practitioners from law firms), as well as from relevant international organizations (ICSID, UNCITRAL, ICC, OECD). Resource persons from academia also gave presentations on specific topics (attached list of resource persons and bionotes). The course curriculum and material were prepared by the UNCTAD secretariat to enable the participants to obtain the necessary expertise to properly manage investment disputes. It was based mainly on sharing of experiences and studying actual cases (the course was the occasion to launch the UNCTAD database of treaty-based investor-state dispute settlement cases which received very positive feed-back). The course went in depth into the substantive, institutional and procedural aspects of investor-state dispute settlement. It culminated with a mock arbitration case argued by the participants in front of a mock arbitral tribunal composed of three arbitration experts. The mock exercise, very much appreciated by the participants, gave hands-on experience of some substantial issues and on the various phases of a dispute settlement procedure (attached programme). In addition, the World Investment Report (WIR) 2006 was launched during the course. A course material CD-Rom containing relevant publications, articles, the relevant modules of the UNCTAD course on dispute settlement, international treaties, case studies and a compilation of cases was made available to the participants (list attached). In addition, all presentations, relevant material, contact details and pictures of participants and resource persons were compiled on a CD-Rom. Subscription of the participants to the -based Network of IIA Experts allow for continued interactive discussions and dissemination of information on IIA issues and investment disputes. The participants to this training programme, as well as the resource persons, called for the organization of further capacity-building sessions for the region, more targeted technical assistance programmes for individual countries and continued work by the UNCTAD secretariat and the General Secretariat of the OAS on issues related to investor-state dispute settlement. In particular, Nicaragua requested the two institutions to provide assistance, 4
5 possibly in the form of an advisory facility for smaller economies facing investor-state disputes. The results of the evaluation questionnaire are very good. 92 % of the participants evaluated the efficiency and the usefulness of the course to their official duties as excellent (consolidated evaluation questionnaire available). The support provided by the Secretaría de Economía of Mexico and the FTAA secretariat, was outstanding (substantial support, facilities, logistics, functions ). The financial support from donors (mainly Canada through the OAS secretariat, Spain and Switzerland through the UNCTAD's Trust Fund on international investment agreements) is gratefully acknowledged.
