1 Notice of Election for Designation of Defined Area and Bonds for Defined Area and Maintenance Tax for Defined Area TO THE DULY QUALIFIED RESIDENT VOTERS OF THE DEFINED AREA OF NEWPORT MUNICIPAL UTILITY DISTRICT: Notice is hereby given that an election for the designation of a Defined Area, bonds for a Defined Area, and a maintenance tax for a Defined Area will be held for and within the Defined Area of Newport Municipal Utility District pursuant to the orders of the Board of Directors of said District passed on February 9, Said orders are on file at an office of the District at 2727 Allen Parkway, Suite 1100, Houston, Harris County, Texas 77019, where any interested person may refer to them for all purposes. (1) Said election will be held between 7:00 a.m. and 7:00 p.m. on May 6, 2017 at 400 Hare Cook Rd, Crosby, Harris County, Texas, which for purposes of this election, is declared to be a public place in and for the District, and shall conform to the requirements of Chapters 49 and 54 of the Texas Water Code and the Election Code of the State of Texas, so far as applicable. (2) Early voting will be conducted at 400 Hare Cook Rd., Crosby, Harris County, Texas 77532, which for purposes of this election is declared to be a public place. The early voting clerk shall keep said place open for early voting by personal appearance during the hours of 7:00 p.m. and 10:00 p.m., on each day which is not a Saturday, Sunday or official state holiday beginning on April 24, 2017 through May 2, Applications for ballot by mail shall be addressed to: Newport Municipal Utility District, Attn: Early Voting Clerk, c/o Smith, Murdaugh, Little & Bonham, L.L.P., 2727 Allen Parkway, Suite 1100, Houston, Texas Applications for ballots by mail must be received no later than the close of business on April 25, (3) The election will be conducted in compliance with the provisions of the Texas Election Code. (4) As provided by law for the issuance of bonds payable wholly or in part by ad valorem taxes, an election shall be held and notice shall be given as provided by law. (5) Paper and/or electronic ballots shall be used in the election. Ballots, voting instructions and the propositions will be available in the English, Spanish, Vietnamese and Chinese (Mandarin) languages for those requesting same. The ballots for said election shall conform to the requirements of the Texas Water Code and the Texas Election Code, as amended, so far as applicable. (6) The property to be designated within the Defined Area is a acre tract in Newport Municipal Utility District. A map and description of the area or property is available for public inspection in the District s office located at 2727 Allen Parkway, Suite 1100, Houston, Texas (7) The officials for said election are as follows: Charci Werner, Presiding Judge/ Early Voting Clerk Mickey Felts, Alternate Presiding Judge/Alternate Early Voting Clerk (8) The following propositions shall be submitted to the duly qualified resident electors, within the area to be designated as the Defined Area, at said election, for: (a) designation of the Defined Area: PROPOSITION NO. 1 DESIGNATION OF A DEFINED AREA IN NEWPORT MUNICIPAL UTILITY DISTRICT (b) authorization of bonds: PROPOSITION NO. 2 Shall the Board of Directors of Newport Municipal Utility District be authorized to issue bonds of said District in the maximum amount of Fifty Million Dollars ($50,000,000) maturing serially or otherwise over a period not to exceed forty (40) years from their date or dates, and to be issued and sold and at any price or prices and to bear interest at any rate or rates as shall be determined within the discretion of the board of directors of the District and

2 as authorized by the laws of the State of Texas at the time of such issuance, for the benefit of the Defined Area, for the purposes of purchasing, constructing, acquiring, owning, operating, repairing, improving and extending a water and sanitary sewer system, a surface water system, and sewage disposal facilities for the Defined Area and a drainage system for the drainage of lands within the Defined Area, and for payment of fees or charges to any regional water authority or similar entity for charges or contributions lawfully levied on the Defined Area, and for the further purpose of refunding, by any means now or hereafter authorized by law, all or any portion of any bonds or refunding bonds of the Defined Area payable in whole or in part from taxes authorized whether heretofore or hereafter issued by the District, and whether authorized hereunder or at subsequent elections held within and for the Defined Area of the District, and to provide for the payment of principal of and interest on such bonds by the levy and collection of a sufficient ad valorem tax upon all taxable property within the Defined Area, all as authorized by the Constitution and laws of the State of Texas? and (c) authorization of a maintenance tax: PROPOSITION NO. 3 Shall the Board of Directors of Newport Municipal Utility District be authorized to assess, levy and collect ad valorem taxes on all taxable property within the Defined Area of said District for operation and maintenance purposes, including fund for planning, constructing, acquiring, maintaining, repairing, and operating all necessary land, plants, works, facilities, improvements, appliances, and equipment of the Defined Area of the District and for paying costs of proper services, engineering and legal fees, and organization and administrative expenses, in an unlimited rate in accordance with the Constitution and laws of the State of Texas, particularly (but not by way of limitation) Section and Subchapter J of Chapter 54 of the Texas Water Code? (9) Each ballot in the election shall have printed thereon the following: OFFICIAL BALLOT Instruction Note: FOR AGAINST Place an X in the square beside the statement indicating the way you wish to vote PROPOSITION NO. 1 DESIGNATION OF THE DEFINED AREA FOR AGAINST PROPOSITION NO. 2 THE ISSUANCE OF BONDS IN THE MAXIMUM AMOUNT OF FIFTY MILLION DOLLARS ($50,000,000) FOR WATER, SEWER AND DRAINAGE SYSTEM IMPROVEMENTS AND THE LEVY OF AD VALOREM TAXES IN THE DEFINED AREA IN PAYMENT OF THE BONDS FOR AGAINST PROPOSITION NO. 3 THE LEVY OF AN AD VALOREM TAX IN THE DEFINED AREA FOR OPERATION AND MAINTENANCE PURPOSES

3 (10) For the bond election, the District s engineer and the District s Board of Directors have estimated the following costs: Construction Costs: Water, sewer and drainage facilities $10,722,300 Stormwater detention $4,499,800 Drainage channel improvements $1,411,600 Central treatment improvements $3,636,300 Engineering and inspection, developer interest, easement and property acquisition and contingencies $20,730,000 Incidentals: Administrative expenses of issuing and selling bonds, including financial advisory and legal fees, interest on bonds during estimated construction period, discount on bonds, and operating costs during construction $9,000,000 Grand Total: $50,000,000 The report fully explaining the above costs is on file in the District s office and is open to inspection by the public. (11) The maximum amount of bonds to be voted in said bond election and the maximum maturity date on said bonds shall be as set forth in the proposition in Paragraph (8) above. 5 PROPOSICIÓN NRO. 1 DESIGNACIÓN DE UN ÁREA DEFINIDA EN NEWPORT MUNICIPAL UTILITY DISTRICT (b) autorización de bonos: PROPOSICIÓN NRO. 2 Se deberá autorizar a la Junta Directiva de Newport Municipal Utility District para emitir bonos de dicho Distrito por la cantidad máxima de cincuenta millones de dólares ($50,000,000), para vencer en serie o de otra manera en un período que no exceda los cuarenta (40) años a partir de su fecha o fechas, para emitirse y venderse a algún precio o precios y devengar interés a alguna tasa o tasas, según se determine a discreción de la junta directiva del Distrito y de acuerdo a lo autorizado por las leyes del Estado de Texas al momento de dicha emisión, para beneficio del Área Definida, con el propósito de comprar, construir, adquirir, tener propiedad, operar, mantener, reparar, mejorar y ampliar un sistema de agua y de alcantarillado sanitario, un sistema de agua de superficie e instalaciones de alcantarillado de desecho para el Área Definida y un sistema de drenaje para el drenaje de los terrenos dentro del Área Definida, y para pagar cuotas o cargos de cualquier autoridad regional de distribución de agua o entidad similar para cargos o contribuciones impuestos legalmente en el Área Definida, y para el propósito adicional de reembolsar, por algún medio autorizado por ley ahora o más adelante, todos o alguna parte de los bonos o bonos de reembolso del Área Definida, pagaderos en totalidad o en parte de impuestos emitidos por el Distrito ya sea hasta ahora o más adelante y ya sea autorizados en lo sucesivo o en elecciones previas o subsiguientes celebradas dentro y para el Área Definida del Distrito, y financiar el pago del capital e interés de dichos bonos mediante la imposición y recaudación de un impuesto ad valorem suficiente a toda propiedad gravable dentro del Distrito, todo esto según lo autorice la Constitución y las leyes del Estado de Texas? y (c) autorización de un impuesto de mantenimiento: PROPOSICIÓN NRO. 3 Se deberá autorizar a la Junta Directiva de Newport Municipal Utility District a tasar, imponer y recaudar impuestos ad valorem sobre toda la propiedad gravable dentro del Área Definida de dicho Distrito con fines de operación y mantenimiento, incluidos fondos para planificación, construcción, adquisición, mantenimiento, reparación y operación de todo terreno, plantas, obras, instalaciones, mejoras, aparatos y equipos necesarios del Área Definida del Distrito, y para pagar los costos de servicios adecuados, honorarios legales y de ingeniería, y gastos administrativos y de organización, a una tasa sin límite, de acuerdo con la Constitución y las leyes del Estado de Texas, sobre todo (pero no a modo de limitación) la Sección y el Subcapítulo J del Capítulo 54 del Código de Agua de Texas? (11) Số tiền trái phiếu tối đa sẽ đƣợc bỏ phiếu trong cuộc bầu cử trái phiếu nói trên và ngày đáo hạn tối đa của các trái phiếu đó sẽ đƣợc áp dụng đúng nhƣ qui định trong kế hoạch đề nghị trong Đoạn (8) trên đây.
