Que en virtud del Contrato de fecha 7 de noviembre de 2013, que se une como Anexo I, el Bróker principal tiene autorización para comercializar la cesión de los derechos que ostenta BLUE ZOISITE RESORT S.L. (en adelante BZR) de uso, disfrute y aprovechamiento de las unidades o habitaciones del futuro Hotel que va a ser construido en Bwejuu Southern Región of Unguja, en Zanzíbar (Tanzania). II. Que los derechos descritos, así como las diferentes formas de comercialización y sus condiciones, se hallan especificadas en el Contrato de Comercialización unido como Anexo I al citado contrato de fecha 7 de noviembre de III. Que habiendo llegado ambas Partes a un acuerdo para que el Bróker Secundario pueda participar en la intermediación de esta comercialización, convienen el presente contrato de colaboración con arreglo a las siguientes R E C I T A L S I. By virtue of an Agreement dated 7 November 2013, attached hereto as Annex I, the Main Broker is authorized to market the assignment of rights held by BLUE ZOISITE RESORT S.L. (hereinafter BZR ) for use, enjoyment and exploitation of the units or rooms of the future Hotel to be built in Bwejuu Southern Region of Unguja, Zanzibar (Tanzania). II. III. The above-mentioned entitlement, as well as the various marketing methods and conditions are duly specified in the Marketing Agreement attached as Annex I to said agreement dated 7 November Both Parties have reached an agreement to enable the Secondary Broker take part as intermediary in the relevant marketing activities and therefore they agree to enter into this collaboration agreement as governed by the following PRIMERA.- OBJETO DEL CONTRATO. C L Á U S U L A S En virtud del presente contrato el Bróker Principal autoriza al Bróker Secundario a intermediar en la cesión a potenciales inversores (en adelante el Cliente o el Adquirente ) de los derechos de uso, disfrute y aprovechamiento que ostenta sobre las unidades o habitaciones del futuro hotel, en el que BZR se ha reservado estos derechos sobre las demás instalaciones, construcciones y zonas comunes del mismo. Al no tratarse de una relación duradera ni de carácter estable, el presente acuerdo no tiene naturaleza de contrato de agencia o subagencia sino puramente mercantil, y por consiguiente, las partes regularán su relación según las estipulaciones de este contrato y en lo no previsto en el mismo por la legislación mercartil y civil española, excluyendo la aplicabilidad de la Ley 12/1992, de 27 de mayo, sobre Contrato de Agencia. ONE.- PURPOSE OF THE AGREEMENT. C L A U S E S By virtue of this Agreement, the Main Broker hereby authorizes the Secondary Broker to act as intermediary in the assignment to potential investors (hereinafter the Customer" or the Acquirer ) of a right to use, enjoy and exploit held by the Main Broker on the units or rooms of the hotel-to-be in which BZR has retained these rights on all other facilities, premises and common areas of the same. As this is not intended to be a relationship neither lasting nor stable, this agreement does not bear a nature as agency or sub-agency agreement, but it is instead of a purely commercial nature and, therefore, the relationship established between the Parties shall be governed by this agreement and, in whatever not contemplated herein, by the Spanish civil and business laws with exclusion of applicability of Act 12/1992, dated 27 May, on Agency Agreements. 2

3 SEGUNDA.- OBLIGACIONES DE LAS PARTES. El Bróker Secundario se compromete a desarrollar comercialmente el objeto del presente Contrato a través de la captación de los Clientes, pudiendo organizar su actividad de intermediación y el tiempo dedicado a la misma conforme a sus propios criterios. En el ejercicio de su actividad profesional, deberá actuar con sujeción a la ley y de buena fe. 2.1 En virtud del presente Contrato, el Bróker Principal se obliga a: TWO.- OBLIGATIONS OF THE PARTIES. The Secondary Broker undertakes to commercially develop the purpose hereof through attraction of Customers. The Secondary Broker shall be entitled to organize its intermediation activity and time devoted to the latter as per its own criteria. In the exercise of its professional practice, the Secondary Broker must act in adherence to law and in good faith. 2.1 By virtue of this Agreement, the Main Broker undertakes to: Que sea satisfecha al Bróker Secundario la remuneración pactada en la Cláusula Cuarta. Pay the Secondary Broker a consideration as agreed in Clause Four herein. Provide the Secondary Broker free of charge for the latter, any materials and information that the Secondary Broker may reasonably require for the compliance of its duties. (iii) Facilitar la labor comercializadora del Bróker Secundario. 2.2 En virtud del presente Contrato, el Bróker Secundario se obliga a: (iii) Facilitate the marketing activities of the Secondary Broker. 2.2 By virtue of this Agreement, the Secondary Broker undertakes to: Poner todos sus máximos esfuerzos en la captación de posibles Clientes. Use its best endeavors in the attraction of potential Customers. Comunicar al Bróker Principal a la mayor brevedad la información requerida por los Clientes que se hallen interesados en la inversión ofertada. Notify the Main Broker as soon as possible in regard to all information requested by Customers interested in the investment so offered. (iii) Comunicar al Bróker Principal a la mayor brevedad y de forma permanente la información de la evolución de los resultados de las operaciones que concierte, a medida que éstas se vayan produciendo. (iv) Realizar el seguimiento de la relación con el Cliente, desde su captación hasta la entrega de la unidad, en el más global de los aspectos (interlocución entre Cliente, Bróker Principal y BZR). (iii) (iv) Notify the Main Broker as soon as possible and on an ongoing basis all information regarding development of results for any operations undertaken as they occur. Carry out a follow-up of relationships with Customers, from the time of attraction up to delivery of the relevant unit in the most comprehensive manner possible (interaction between Customer, Main Broker and BZR). 3

4 TERCERA.- DESARROLLO DE LA ACTIVIDAD. El Bróker Secundario ofrecerá los productos a los precios que se establecen en el Contrato de Comercialización (Anexo 1), que varían en función de cada tipo de unidad. El Bróker Secundario no podrá modificar los precios, ni las condiciones de pago que constan en el Anexo 4 de dicho contrato sin la autorización expresa y escrita Bróker Principal, que a su vez, debe obtenerla de BZR. Si BZR decidiera modificar estos precios o las condiciones de pago, se lo comunicará al Bróker Principal, que a su vez, se lo notificará al Bróker Secundario, que deberá aplicarlos a partir de la fecha de la notificación para las nuevas operaciones. CUARTA.- GASTOS Y COMISIONES. FORMA DE PAGO. 4.1 El Bróker Secundario no tendrá derecho al reembolso de los gastos que le haya originado el ejercicio de su actividad como intermediario. 4.2 El Bróker Secundario percibirá una comisión del... POR CIENTO (..,00%) sobre el precio de la cesión (impuestos incluidos) de cada una de las unidades que con su intervención se vayan firmando, y siempre que se hayan cumplido todas las condiciones del contrato de comercialización a los Clientes (Anexo 1) y muy especialmente las que hacen referencia al pago total de su adquisición. 4.3 El Bróker Secundario no tendrá derecho a comisión por la venta del mobiliario que se establece en la cláusula 1ª.5.2 del mismo. 4.4 BZR abonará las comisiones al Broker Secundario en la forma establecida en los cuadros que constituyen el Anexo II de este Contrato, en función de la forma de pago elegida por cada Cliente (Plan 100 ó Plan 50-50) y del Bloque en que se ubique la Unidad. THREE.- DEVELOPMENT OF THE ACTIVITY. The Secondary Broker shall offer the products at the prices set in the Marketing Agreement (Annex 1), which vary based on the type of unit considered. The Secondary Broker shall not be entitled to change prices or payment conditions as contemplated in Annex 4 to said agreement without having first obtained express written consent from the Main Broker who, in turn, must obtain such consent from BZR. Should BZR decide to change prices or payment conditions, it shall so notify to the Main Broker who, in turn, shall notify such circumstance to the Secondary Broker. These prices and conditions shall be applicable to new transactions as of the date of notice. FOUR.- EXPENSES AND COMMISSIONS. PAYMENT TERMS. 4.1 The Secondary Broker shall not be entitled to recover any expenses incurred in the development of its business as intermediary. 4.2 The Secondary Broker shall receive a commission amounting to... PERCENT (--.00%) over the assignment price (tax inclusive) for each unit placed through its intervention once signed the deal of assignment for each unit, always provided all conditions set forth in the marketing agreement to Customers (Annex 1) have been met and, in particular, any conditions making reference to full payment of the acquisition. 4.3 The Secondary Broker shall not be entitled to receive a commission on the sale of furniture items provided for in Clause of such agreement. 4.4 BZR shall pay the Secondary Broker all commissions in accordance to the procedure set for in the schedules comprising Annex II hereto based on the payment method chosen by each Customer (Plan 100 or Plan 50-50) and also based on the Block in which each property is located. 4

5 4.5 Los pagos se realizarán mediante transferencia a la cuenta corriente que designe el Broker Secundario, antes de la finalización del mes que consta para cada pago en los citados cuadros del Anexo En el supuesto de que un cliente incumpliera cualquiera de sus compromisos de pago y BZR optara por la resolución del Contrato de Comercialización, las comisiones pagadas al Bróker Secundario hasta ese momento serían de su propiedad, perdiendo todo el derecho sobre las futuras comisiones previstas. 4.7 Si por la concurrencia de una causa excepcional, BZR hiciera uso del derecho a no desarrollar el proyecto que le concede la cláusula 1ª.4 del Contrato de Comercialización, el Bróker Principal, tan pronto como tenga conocimiento de ello, deberá comunicárselo de forma inmediata al Bróker Secundario, que cesará su labor comercializadora de las unidades del Hotel. En ese supuesto, como BZR deberá devolver a los clientes las cantidades abonadas hasta esa fecha, ni el Bróker Principal ni el Bróker Secundaro tendrán derecho a comisión ni compensación alguna por el trabajo realizado hasta esa fecha. QUINTA.- ESTABLECIMIENTO DE LA FORMA DE PAGO POR LOS CLIENTES. El Bróker Secundario no está autorizado a cobrar directamente de los clientes cantidad alguna relacionada con la comercialización de las unidades del Hotel. Por ello, la suma de euros que deben abonar los clientes en concepto de reserva de una unidad deberá efectuarse, bien mediante transferencia bancaria a la cuenta corriente que BZR va a abrir en Barclays (cuyos datos serán comunicados por el Bróker Principal al Bróker Secundario oportunamente), o bien mediante cheque nominativo a favor de BZR, que deberá ser entregado por el Bróker Secundario al Bróker Principal a la mayor brevedad posible, para su ingreso en dicha cuenta. El pago de las demás cantidades que debe abonar el Adquirente se efectuará mediante trasnferencia a dicha cuenta corriente, conforme consta en la cláusula 1ª.6 del Contrato de Comercialización, debiendo prestar el Bróker Secundario especial atención a que los pagos se efectúen de esta forma. 4.5 Payments shall be made through transfer to the current account nominated by the Secondary Broker before the expiry of the month scheduled for each payment as provided by the schedules contained in Annex In the event that a Customer fails to meet any payment commitments and BZR elects to terminate the Marketing Agreement, commissions paid to the Secondary Broker up to such time shall be kept by the latter, who shall as well forfeit all entitlement on any future commission payments scheduled. 4.7 If due to occurrence of an exceptional cause should BZR make use of its entitlement not to develop the Project as provided for in Clause 1.4 of the Marketing Agreement, the Main Broker, as soon as being aware of such circumstance, must notify so outright to the Secondary Broker, which shall then discontinue is marketing activities in regard to the Hotel units. In this latter case, as BZR must return to Customers any amounts advanced up to such time, neither the Main Broker nor the Secondary Broker shall be entitled to receive commission payments or compensations whatsoever for the work carried out until them. FIVE.- DETERMINATION OF PAYMENT METHOD BY CUSTOMERS. The Secondary Broker is not entitled to directly collect from Customers any amounts relating marketing of the Hotel units. In this regard, the amount of 1,000 to be paid by Customers as booking of a unit must be carried out either through bank transfer to a current account nominated by BZR to be opened by the latter in Barclays (which details shall be notified by the Main Broker to the Secondary Broker in due course), or by check issued to the name of BZR to be delivered by the Secondary Broker to the Main Broker as soon as possible for deposit in such account. Payment of any other sums that the Acquirer is to pay shall be carried out through transfer to said account as provided for in Clause 1.6 of the Marketing Agreement. The Secondary Broker must ensure payments are settled in such manner. 5

6 El cobro de cualquier cantidad por el Bróker Secundario de forma distinta a la indicada, será causa de resolución de este contrato por incumplimiento grave del mismo, con las consecuencias legales que legalmente se deriven de dicha actuación. Collection of any amounts by the Secondary Broker in a manner other that the one described above shall be a cause for termination of this agreement on grounds of serious breach of the same, including any legal consequences arising from such action. SEXTA.- CONTRATACIÓN DEL BRÓKER SECUNDARIO CON OTROS INTERMEDIARIOS. El Bróker Secundario podrá organizar su actividad y el tiempo dedicado a la misma conforme a sus propios criterios, no estando autorizado a captar otros intermediarios, sin la autorización expresa y escrita del Bróker Principal. Si el Bróker Principal autorizara la intervención de otros intermediarios, les será de aplicación todo lo establecido en el presente Contrato, sin obligación de abonar cantidad adicional alguna a la comisión establecida en la Cláusula cuarta. SIX.- ENGAGEMENT OF OTHER INTERMEDIARIES BY THE SECONDARY BROKER. The Secondary Broker shall be free to organize its activities and time devoted to this business as per its own criteria, not being authorized to engage other intermediaries without express written consent given by the Main Broker. Should the Main Broker authorize the actions of other intermediaries all provisions included herein shall be applicable to such persons with no obligation to pay any amounts additional to the commission set forth in Clause Four hereof. SÈPTIMA.- DURACIÓN DEL CONTRATO. La duración del contrato se establece hasta la finalización de la comercialización de todas las unidades existentes. No obstante lo anterior, cualquiera de las partes podrá dar por resuelto el mismo en cualquier momento, comunicándolo a la otra Parte con una antelación mínima de diez días a la fecha de efecto, sin derecho a indemnización a favor de ninguna de ellas. En caso de resolución anticipada, las comisiones devengadas en el momento de la finalización del contrato serán respetadas, en las condiciones establecidas en la cláusula cuarta, una vez constatadas entre las Partes los contratos firmados con intervención del Bróker Secundario y tras la oportuna transmisión de todos los datos necesarios al Bróker Principal por parte del Bróker Secundario respecto a la operación firmada. SEVEN.- TERM OF THE AGREEMENT. The term of the Agreement shall extend up to completion of marketing of all existing units. Notwithstanding the above, any Party shall be entitled to regard this agreement as terminated at any time upon serving a notice in such regard to the other Party at least ten days in advance in respect to the effective date and with no entitlement to receive compensation by any of the Parties. In the event of early termination hereof, any commissions accrued as at the time of termination of the agreement shall be payable under the terms provided in Clause Four herein once the Parties have checked all the contracts signed through the intervention of the Secondary Broker and upon completion of the relevant transfer of all necessary details from the Secondary Broker to the Main Broker in regard to all transactions signed. 6

7 OCTAVA.- LEY APLICABLE Y JURISDICCIÓN. El presente Contrato se regirá e interpretará de acuerdo con las leyes del Reino de España. Para la resolución de cualquier disputa o controversia entre las Partes que pudiera resultar del presente Contrato y que no sea resuelta de forma amistosa en un plazo de treinta (30) días, las Partes se someten, con renuncia expresa y formal al fuero que pudiera corresponderles, a la jurisdicción y competencia de los Juzgados y Tribunales de la ciudad de Madrid. EIGHT.- APPLICABLE LAW AND JURISDICTION. This Agreement shall be governed and construed in accordance to the Spanish law. In order to settle any disputes or controversies arising between the Parties in connection herewith not settled amicably within a period of thirty (30) days, the Parties hereto subject themselves, with express and formal waiver to any jurisdictions they may be entitled, to the jurisdiction and powers of the Courts and Tribunals of the city of Madrid. And, as an evidence of their agreement, both Parties hereby sign this instrument in two counterparts and to the same purpose in the time and place above-captioned herein.
