2 REGULATORY LAW OF CONSTITUTIONAL ARTICLE 27 IN THE AREA OF PETROLEUM Article 1: The direct, inalienable and imprescriptible ownership of all hydrocarbons found on the national territory, included in the continental platform and the exclusive economic zone situated outside the territorial sea and adjoining to this, in fields, whatever their physical state may be, including the intermediate states, and those that comprise the mineral crude oil, that accompany it or derive from it. For purposes of this Law, international fields shall be those that are within the national jurisdiction and that extend outside the territory. Those fields that extend outside the national jurisdiction, shared with other countries in accordance with the treaties in which Mexico is a member or under The United Nations Convention on the Law of the Sea. Article 6 (Sixth Paragraph): Petróleos Mexicanos and its subsidiary organisms shall be able to enter into works and services provision agreements with individuals and entities required by the best performance of their activities. The remunerations established in those agreements shall always be in cash and under no circumstance shall grant ownership on the hydrocarbons for the services rendered and the works executed, nor shall shared production agreements or any agreement whatsoever be entered into which involve percentages in the production or the value of the sales of hydrocarbons or its byproducts, nor in the profits of the contracting entity. PEMEX LAW: Article 60: Petróleos Mexicanos and its subsidiary organisms shall be able to enter into works and services provision agreements with individuals and entities required by the best performance of their activities, with the restrictions and under the terms of Article 6 of the Regulations to the Regulatory Law to Article 27 of the Political Constitution of the United Mexican States Concerning Petroleum Affairs. The execution of these agreements shall be subject to the following: I. The direct ownership of the Nation on hydrocarbons shall be kept at all times. II. No right whatsoever on the oil reserves shall be granted, therefore the suppliers or contractors shall not register them as own assets and the Nation shall register them as part of its property. 3 III. IV. The control and direction of the oil industry referred to in Article 3 of the Regulations to the Regulatory Law to Article 27 of the Political Constitution of the United Mexican States Concerning Petroleum Affairs shall be kept at all times; The remunerations established in said agreements shall always be in cash, and as a result, in no case may there be an agreement as payment for services rendered or work performed, a percentage of the production or the value of the sales of the hydrocarbons nor of its derivatives or of the profits of the contracting entity, complying for such purposes with the provisions established in the following article; V. No preference rights of any nature whatsoever shall be granted for the acquisition of oil or its byproducts, or to influence the sale to third parties, and VI. No agreements that provide for shared production schemes or associations in the exclusive and strategic areas on the part of the Nation provided for in article 3 of the Regulatory Law to Article 27 of the Political Constitution of the United Mexican States Concerning Petroleum Affairs shall be executed. The agreements may establish clauses permitting the parties thereto to make amendments to the projects for the incorporation of technologic improvements; for the variation in market prices of the supplies or equipment used in the works, or for the acquisition of new information obtained during the execution of the works or others that contribute to the betterment of the efficiency of the project. Petróleos Mexicanos shall send to the Comisión Nacional de Hidrocarburos (National Commission of Hydrocarbons), for its records, the agreements which are subject-matter of its jurisdiction. The Commission shall comply with, at all times, the legislation related to the confidentiality and privilege of the information. HOUDMS/

4 REGULATORY LAW OF CONSTITUTIONAL ARTICLE 27 IN THE AREA OF PETROLEUM Article 1: Corresponde a la Nación el dominio directo, inalienable e imprescriptible de todos los carburos de hidrógeno que se encuentren en el territorio nacional, incluida la plataforma continental y la zona económica exclusiva situada fuera del mar territorial y adyacente a éste, en mantos o yacimientos, cualquiera que sea su estado físico, incluyendo los estados intermedios, y que componen el aceite mineral crudo, lo acompañan o se derivan de él. Para los efectos de esta Ley, se considerarán yacimientos transfronterizos aquellos que se encuentren dentro de la jurisdicción nacional y tengan continuidad física fuera de ella. También se considerarán como transfronterizos aquellos yacimientos o mantos fuera de la jurisdicción nacional, compartidos con otros países de acuerdo con los tratados en que México sea parte o bajo lo dispuesto en la Convención sobre Derecho del Mar de las Naciones Unidas. Article 6 (first paragraph): Petróleos Mexicanos y sus organismos subsidiarios podrán celebrar con personas físicas o morales los contratos de obras y de prestación de servicios que la mejor realización de sus actividades requiere. Las remuneraciones que en dichos contratos se establezcan serán siempre en efectivo y en ningún caso se concederán por los servicios que se presten y las obras que se ejecuten propiedad sobre los hidrocarburos, ni se podrán suscribir contratos de producción compartida o contrato alguno que comprometa porcentajes de la producción o del valor de las ventas de los hidrocarburos ni de sus derivados, ni de las utilidades de la entidad contratante. PEMEX LAW: Article 60: Petróleos Mexicanos y sus organismos subsidiarios podrán celebrar con personas físicas o morales los contratos de obras y de prestación de servicios que la mejor realización de sus actividades requiere, con las restricciones y en los términos del artículo 6o. de la Ley Reglamentaria del Artículo 27 Constitucional en el Ramo del Petróleo. La celebración de estos contratos se sujetará a lo siguiente: I. Se mantendrá, en todo momento, el dominio directo de la Nación sobre los hidrocarburos; II. No se concederá derecho alguno sobre las reservas petroleras, por lo cual los proveedores o contratistas no podrán registrarlas como activos propios y la Nación las registrará como parte de su patrimonio; HOUDMS/

5 III. IV. Se mantendrá, en todo momento, el control y la dirección de la industria petrolera a que se refiere el artículo 3o. de la Ley Reglamentaria del Artículo 27 Constitucional en el Ramo del Petróleo; Las remuneraciones que en dichos contratos se establezcan serán siempre en efectivo, por lo que en ningún caso podrá pactarse como pago por los servicios que se presten o las obras que se ejecuten, un porcentaje de la producción o del valor de las ventas de los hidrocarburos ni de sus derivados o de las utilidades de la entidad contratante, observando para dicho efecto lo dispuesto en el artículo siguiente; V. No se otorgarán derechos de preferencia de ningún tipo para la adquisición del petróleo o sus derivados, o para influir en la venta a terceras personas, y VI. No se suscribirán contratos que contemplen esquemas de producción compartida ni asociaciones en las áreas exclusivas y estratégicas a cargo de la Nación señaladas en el artículo 3o. de la Ley Reglamentaria del Artículo 27 Constitucional en el Ramo del Petróleo. Los contratos podrán contemplar cláusulas donde se permita a las partes realizar modificaciones a los proyectos por la incorporación de avances tecnológicos; por la variación de precios de mercado de los insumos o equipos utilizados en las obras, o por la adquisición de nueva información obtenida durante la ejecución de las obras u otras que contribuyan a mejorar la eficiencia del proyecto. Petróleos Mexicanos enviará a la Comisión Nacional de Hidrocarburos, para su registro, los contratos que sean materia de su competencia. La Comisión deberá observar, en todo momento, la legislación relativa a la confidencialidad y reserva de la información. HOUDMS/
