1 MEMORANDUM SALING PENGERTIAN ANTARA PEMERINTAH REPUBLIK INDONESIA DAN PEMERINTAH REPUBLIK EKUADOR MENGENAI KERJASAMA KEBUDAY AAN Pemerintah Republik Indonesia dan Pemerintah Republik Ekuador untuk selanjutnya disebut "Para Pihak"; Berkeinginan memperkuat hubungan persahabatan antara kedua Negara dibidang kebudayaan, yang benda maupun tak benda; Mempertimbangkan keperluan untuk membangun dan mengembangkan ke~asama kebudayaan; Mengakui pentingnya membentuk mekanisme, yang dapat memberi sumbangan untuk memperkuat ke~asama di bidang yang menjadi kepentingan bersama dan perlunya melaksanakan program kerjasama yang khusus dan saling tukar menukar di bidang kebudayaan; Merujuk pada Persetujuan antara Pemerintah Republik Indonesia dan Pemerintah Republik Ekuador mengenai Kerjasama Ekonomi dan Teknik ditandatangani di Jakarta pada tanggal 9 Nopember 2005 untuk selanjutnya disebut Perjanjian; Mengingat Pernyataan Bersama Pertemuan Menteri Luar Negeri Republik Indonesia dan Menteri Luar Negeri Ekuador di Quito pada tanggal 29 Agustus Sesuai dengan Hukum dan Perundang-undangan yang berlaku di masing-masing Negara. Telah menyetujui hal-hal sebagai berikut : Pasal 1 TUJUAN KERJASAMA Tujuan Memorandum Saling Pengertian ini adalah: a. mempromosikan kegiatan saling tukar-menukar kebudayaan; b. mempromosikan pembangunan sumber daya manusia dalam bidang kebudayaan; c. membangun hubungan kerjasama di bidang peninggalan sejarah, seni, kebudayaan; d. Mendorong warga negara dan penduduk untuk saling mengunjungi negara lainnya; e. Mempromosikan peningkatan pengalaman di bidang kebudayaan.

2 Pasal2 BIDANG KERJASAMA 1. Para Pihak harus mendorong organisasi yang terlibat di bidang kebudayaan untuk membangun hubungan dan program dan membangun kerjasama lebih jauh dan proyek-proyek bersama yang memberi sumbangan untuk memperkuat hubungan kebudayan benda dan tak benda antara Para Pihak. 2. Kegiatan di bawah Memorandum Saling Pengertian ini termasuk, tapi tidak terbatas pada hal-hal sebagai berikut : a. Penelitian dan pengembangan; b. Pembangunan Sumber Daya Manusia; c. Pertukaran informasi; d. Promosi kebudayaan; e. Warisan budaya; f. Dialog budaya; g. Museum; h. Film; i. Bentuk kerjasama lainnya yang disetujui bersama oleh Para Pihak. Pasal3 LEMBAGA PELAKSANA 1. Para Pihak terikat untuk memelihara hubungan di bidang kebudayaan melalui lembaga resmi yang berwenang, yang menjadi pelaksana dari Memorandum Saling Pengertian ini. 2. Lembaga resmi yang bertanggung jawab untuk Memorandum Saling Pengertian ini : a. Untuk Pemerintah Republik Indonesia yaitu Menteri Kebudayaan dan Pariwisata; b. Untuk Pemerintah Republik Ekuador yaitu Menteri Kebudayaan. Pasal4 PELAKSANAAN Para Pihak setuju untuk melaksanaan Memorandum Saling Pengertian ini melalui pengaturan-pengaturan, program-program, atau proyek-proyek pelaksanaan yang membentuk satu kesatuan dari Memorandum Saling Pengertian ini, Pengaturan - pengaturan, program-program atau proyek-proyek tersebut harus merinci inter alia tujuan, pengaturan keuangan, dan perincian lain terkait dengan kewajiban-kewajiban partisipan terlibat. Pasal 5 HAK ATAS KEKAYAAN INTELEKTUAL 1. Para Pihak setuju bahwa setiap hak kekayaan intelektual yang timbul dalam pelaksanaan Persetujuan ini akan dimiliki bersama dan :

3 a. Masing-masing Pihak akan diizinkan menggunakan kekayaan intelektual itu dengan tujuan memelihara, menyesuaikan dan menyempurnakan kekayaan intelektual tersebut; b. Dalam keadaan dimana kekayaan intelektual dipergunakan oleh salah satu Pihak dan/atau lembaga atas nama Pemerintah tersebut untuk tujuan bisnis, maka Pihak lainnya berhak untuk memperoleh royalti secara adil. c. Masing-masing Pihak bertanggung jawab atas setiap tuntutan yang diajukan terhadap mereka yang dilakukan oleh pihak ketiga yang berkaitan dengan kepemilikan dan keabsahan penggunaan hak-hak atas kekayaan intelektual yang dibawa oleh salah satu Pihak untuk pelaksanaan kegiatan-kegiatan kerjasama di bawah Persetujuan ini. 2. Para Pihak diwajibkan untuk saling menjamin bahwa hak kekayaan intelektual yang dibawa oleh salah satu Pihak ke dalam wilayah Pihak lainnya dalam melaksanakan proyek kegiatan apapun tidak berasal dari pelanggaran hak kekayaan intelektual yang sah dari Pihak Ketiga. 3. Jika salah satu Pihak berkeinginan untuk mengungkapkan data dan/atau informasi rahasia yang dihasilkan dari kegiatan ke~asama berdasarkan Persetujuan ini kepada Pihak Ketiga manapun, Pihak yang mengungkapkan data dan/atau informasi tersebut harus terlebih dahulu memperoleh persetujuan dari Pihak lain sebelum pengungkapan tersebut dilakukan. 4. Jika sewaktu-waktu salah satu Pihak membutuhkan ke~asama dengan pihak lain di luar Republik Indonesia dan Republik Ekuador untuk semua kegiatan komersil yang dihasilkan dari hasil kekayaan intelektual berdasarkan Persetujuan ini, Pihak ini akan memberi prioritas pertama dari kerjasama tersebut kepada Pihak lain dalam Persetujuan ini, yang akan dibebaskan, jika Pihak lain tidak dapat ikut serta dalam kegiatan yang bersifat saling menguntungkan. Pasal6 PEMBENTUKAN KOMITE BERSAMA KEBUDAYAAN 1. Para Pihak akan membentuk Komite Bersama Kebudayaan (selanjutnya disebut CJC) untuk memfasilitasi pelaksanaan ketentuan Memorandum Saling Pengertian dan memperluas lebih jauh kepentingan dan keuntungan bersama. 2. CJC akan mempersiapkan dan merekomendasikan pengaturan-pengaturan, program-program dan proyek-proyek seperti yang dirujuk pada pasal 2 dan pasa14 3. CJC harus mempertimbangkan cara-cara untuk mempromosikan dan mengintensifkan kerjasama kebudayaan antara kedua Negara dan menjamin kerjasama yang layak dan pelaksanaan keputusan atau rekomendasi yang diterima sesuai dengan Memorandum Saling Pengertian. 4. Status dan komposisi CJC harus disetujui secara bersama oleh Para Pihak. 5. CJC harus menetapkan aturan dan prosedur dan dapat membentuk kelompok kerja terkait dengan persoalan-persoalan khusus yang mungkin timbul. 6. CJC harus bertemu atas permintaan salah satu pihak secara bergiliran di Republik Ekuador dan Republik Indonesia.

4 Pasal7 PENYELESAIAN SENGKETA Setiap perselisihan atau perbedaan yang timbul dari pelaksanaan atau interpretasi Memorandum Saling Pengertian ini akan diselesaikan dengan cara bersahabat melalui konsultasi dan I atau negosiasi melalui saluran diplomatik antara Para Pihak. Pasal8 AMANDEMEN Salah satu pihak dapat meminta secara tertulis perubahan atau modifikasi seluruh atau sebagian dari Memorandum Saling Pengertian ini. Setiap perubahan atau modifikasi yang telah disetujui oleh Para Pihak akan menjadi satu kesatuan dari Memorandum Saling Pengertian ini dan berlaku pada tanggal yang ditentukan oleh Para pihak. Pasal9 BERLAKUNYA, MASA BERLAKU DAN PENGAKHIRAN 1. Memorandum Saling Pengertian ini berlaku pada tanggal penandatanganan; 2. Memorandum Saling Pengertian ini akan berlaku untuk jangka waktu 5 (lima) tahun sejak tanggal berlakunya dan diperpanjang melalui saluran diplomatik untuk jangka waktu 5 (lima) tahun setelah itu, kecuali salah satu pihak mengakhirinya dengan memberikan pemberitahuan tertulis melalui saluran diplomatik 6 (enam) bulan sebelum berakhirnya; 3. Pengakhiran Memorandum Saling Pengertian ini tidak mempengaruhi keabsahan dan jangka waktu dalam setiap pengaturan, rencana dan program yang dibuat dibawah Memorandum Saling Pengertian ini. SEBAGAI BUKTI, yang bertanda tangan dibawah ini, yang diberi kuasa oleh Pemerintah masing-masing, telah menandatangani Memorandum Saling Pengertian ini. DIBUAT di Jakarta pada tanggal dua puluh enam bulan Nopember tahun 2007, dalam rangkap dua, dalam bahasa Indonesia, Spanyol dan lnggris, semua teks adalah asli. Dalam hal terdapat perbedaan interpretasi dari Memorandum Saling Pengertian ini bahasa lnggris yang berlaku. 5 MEMORANDO DE ENTENDIMIENTO DE COOPERACION CULTURAL ENTRE EL GOBIERNO DE LA REPUBLICA DE INDONESIA Y EL GOBIERNO DE LA REPUBLICA DEL ECUADOR El Gobierno de Ia Republica de Indonesia y el Gobierno de Ia Republica del Ecuador, en adelante denominados como "Las Partes", Deseando fortalecer las cordiales relaciones entre los dos pafses en el campo de Ia cultura, tanto tangible como intangible; Considerando Ia necesidad de desarrollar y fomentar sus relaciones culturales. Reconociendo Ia importancia de establecer mecanismos que contribuyan al fortalecimiento y cooperaci6n en ambitos de mutuo interes y Ia necesidad de llevar a cabo programas especfficos de colaboraci6n e intercambio en el campo de Ia cultura; Hacienda referenda al Acuerdo sobre Cooperaci6n Tecnica y Econ6mica entre el Gobierno de Ia Republica del Ecuador y el Gobierno de Ia Republica de Indonesia, suscrito en Yakarta el 9 de Noviembre del 2005, en adelante denominado "EI Acuerdo"; Tomando en cuenta Ia Declaraci6n Conjunta suscrita en Ia Reunion de los Ministros de Relaciones Exteriores de Ia Republica del Ecuador y de Ia Republica de Indonesia, en Quito, el 29 de Agosto de 2007; De conformidad con las Leyes y Regulaciones de sus respectivos paises, han acordado lo siguiente: Articulo 1 OBJETIVOS DE LA COOPERACION Este Memoranda de Entendimiento tiene como objetivos: a. Promover las actividades de intercambio cultural; b. Promover el desarrollo de los recursos humanos para Ia cultura; c. Desarrollar vinculos de cooperaci6n en las areas de preservaci6n de patrimonies hist6ricos, artisticos y culturales; d. Fomentar visitas de nacionales y residentes de cada pais al otro; e. Promover el enriquecimiento de sus experiencias en el campo de Ia cultura.

6 Articulo 2 AREAS DE LA COOPERACION 1. Las Partes promoveran organizaciones culturales para que establezcan vinculos y programas y para que desarrollen futura cooperaci6n y proyectos conjuntos que contribuyan al fortalecimiento de las relaciones culturales tangibles e intangibles entre ambas Partes. 2. Las actividades comprendidas en este Memorando de Entendimiento incluirtm, entre otras cosas lo siguiente: a. lnvestigaci6n y desarrollo b. Desarrollo de recursos humanos c. lntercambio de informacion d. Promoci6n cultural e. Patrimonio Cultural f. Dialogo cultural g. Museos h. Cine i. Cualquier otra forma de cooperaci6n mutuamente acordada por las Partes Articulo 3 ORGANISMOS EJECUTORES 1. Las Partes es comprometen a mantener estrechas relaciones en el campo de Ia cultura a traves de sus organismos oficiales competentes, los cuales seran ejecutores de este Memorando de Entendimiento. 2. Los organismos responsables de Ia implementaci6n de este Memorando de Entendimiento seran : a. Por el Gobierno de Ia Republica del Ecuador, el Ministerio de Cultura; b. Por el Gobierno de Ia Republica de Indonesia, el Ministerio de Cultura y Turismo. Articulo 4 IMPLEMENTACION Las Partes acuerdan implementar este Memorando de Entendimiento a traves de arreglos, programas de cooperaci6n o proyectos de implementaci6n los cuales seran parte integrante de este Memorando de Entendimiento. Tales arreglos, programas o proyectos especificaran, entre otros, objetivos, arreglos financieros y otros detalles relatives a acuerdos especificos de los participantes involucrados.

7 Articulo 5 DERECHOS DE PROPIEDAD INTELECTUAL 1. Las Partes acuerdan que cualquier propiedad intelectual que surja de Ia aplicaci6n de este Memoranda de Entendimiento sera propiedad conjunta y: a. Cada Parte estara facultada para usar tal propiedad intelectual con los prop6sitos de mantener, adaptar y mejorar Ia propiedad pertinente; b. En el evento de que Ia propiedad intelectual pertinente sea usada par Ia Parte y/o Ia lnstituci6n en nombre de Ia Parte para prop6sitos comerciales, Ia otra Parte tendra derecho a obtener una porci6n equitativa de regalias; c. Cada Parte sera responsable por cualquier reclamo heche par terceros sabre Ia propiedad y usa legal de los derechos de propiedad intelectual, planteado por Ia Parte arriba mencionada para Ia implementaci6n de las actividades de cooperaci6n previstas en este Memoranda de Entendimiento. I 2. Las Partes se garantizaran mutuamente que Ia propiedad intelectual que una de elias introduzca en el territorio de Ia otra para Ia implementaci6n de cualquiera proyecto o actividad no es el resultado de ninguna violaci6n de los derechos de propiedad de terceros; 3. Si cualquiera de las Partes desea revelar actividades confidenciales que se realicen en aplicaci6n de este Memoranda de Entendimiento( Acuerdo Marco) a terceros, debera obtener el consentimiento previa de Ia otra Parte antes de hacerlo; 4. Cada vez que cualquiera de las Partes requiera Ia cooperaci6n de otra parte fuera de Ia Republica del Ecuador y de Ia Republica de Indonesia para cualquier compromise resultante de Ia propiedad intelectual amparada por este acuerdo, Ia Parte interesada dara preferencia a Ia cooperaci6n de Ia otra, Ia que concedera una exenci6n si no esta en capacidad de participar. Articulo 6 ESTABLECIMIENTO DEL COMITE CONJUNTO CULTURAL 1. Las Partes acuerdan establecer un Comite Conjunto Cultura (en adelante el CCC) para facilitar Ia implementaci6n de las provisiones de este Memoranda de Entendimiento y expandir las areas de interes y de beneficia mutuo. 2. El CCC preparara y recomendara los arreglos, programas o proyectos de implementaci6n de las decisiones o recomendaciones adotadas en concordancia con este Memoranda de Entendimiento. 3. El CCC considerara Ia manera y medios para promover e intensificar Ia cooperaci6n entre los dos paises y asegurar Ia apropiada cooperaci6n e implementaci6n de las decisiones y recomendaciones adoptadas de conformidad con este Memoranda de Entendimiento.

8 4. El nivel y composici6n del CCC sera determinado por mutuo acuerdo entre las Partes. 5. El CCC determinara sus reglas y I o procedimientos y podra crear grupos de trabaja para tratar atras materias que puedan surgir. 6. El CCC se reunira bajo Ia solicitud de cualquiera de las Partes, alternadamente, en Ia Republica del Ecuador y en Ia Republica de Indonesia. Articulo 7 SOLUCION DE CONTROVERSIAS Cualquier disputa o diferencia que surja de Ia interpretacion o implementaci6n de este Memoranda de Entendimiento sera solucionada amigablemente entre las Partes mediante de consultas y/o negociaciones a traves de los canales diplomaticos. Articulo 8 ENMIENDAS 5. Cualquier Parte podra solicitar por escrito Ia enmienda o modificaci6n de todo o parte de este Memoranda de Entendimiento. Cualquier enmienda o modificaci6n que haya sida acordada por las dos Partes constituira parte integral de este Memoranda de Entendimiento y entrara en vigencia en Ia fecha que determinen ambas Partes. Articulo 9 ENTRADA EN VIGENCIA, DURACION Y TERMINACION 1. Este Memoranda de Entendimiento entrara en vigencia en Ia fecha de su suscripci6n; 2. Este Memoranda de Entendimiento tendra una vigencia de cinco anos desde Ia fecha de su entrada en vigor y sera renovado a traves de los canales diplomaticos por periodos sucesivos de cinco anos, a menos que una de las Partes lo de par terminado mediante notificaci6n escrita a traves de los canales diplamaticos al menos con seis meses antes de su terminaci6n; 3. La terminaci6n de este Memoranda de Entendimiento no afectara Ia validez y duraci6n de los arreglos, planes y programas hechos en aplicaci6n de este Memoranda de Entendimiento hasta que tales arreglos, planes y programas sean completados. En fe de lo cual los abajo firmantes, debidamente autorizados por sus respectivos Gobiernos, han suscrito este Memoranda de Entendimiento.

9 6. Hecho en Yakarta a los veinte y seis dias del mes de noviembre de dos mil siete, en dos ejemplares originales igualmente validos en idiomas castellano, indonesia e ingh s. En caso de cualquier divergencia de interpretacion de este Memoranda de Entendimiento, prevalecera el texto en idioma ingles. 10 MEMORANDUM OF UNDERSTANDING BETWEEN THE GOVERNMENT OF THE REPUBLIC OF INDONESIA AND THE GOVERNMENT OF THE REPUBLIC OF ECUADOR ON CULTURAL COOPERATION The Government of the Republic of Indonesia and the Government of the Republic of Ecuador, hereinafter referred to as "The Parties "; DESIRING to strengthen the friendly relations between the two countries in the field of culture, tangible and intangible; CONSIDERING the need to develop and foster cultural relations; RECOGNIZING the importance of establishing mechanism, that contributes to the strengthening of cooperation in the field of mutual interest and the need to carry out specific programs of collaboration and exchange in the field of culture; REFERRING to the Agreement between the Government of the Republic of Indonesia and the Government of the Republic of Ecuador on Economic and Technical Cooperation signed in Jakarta on November 9 1 h, 2005, hereinafter referred to as the Agreement. TAKING INTO ACCOUNT the Joint Statement of the Meeting of the Minister of Foreign Affairs of the Republic of Indonesia and the Minister of Foreign Affairs of the Republic of Ecuador done in Quito on August 29 1 h, PURSUANT to the prevailing laws and regulations of their respective countries; Have agreed as to follows: Article 1 AIMS OF CO-OPERATION This Memorandum of Understanding aims to: a. promote cultural exchange activities; b. promote human resources development for culture; c. develop cooperation links in areas of preservation of historic, artistic, cultural heritages; d. encourage visits of each country's nationals and residents to the other country; e. promote the enrichment of their experience in the fields of culture.

11 Article 2 AREAS OF CO-OPERATION 1. The Parties shall encourage organization involved in the field of culture to establish links and programs and to develop further cooperation and joint projects contributing to the strengthening of tangible and intangible cultural relations between both Parties; 2. The activities under this Memorandum of Understanding shall include, but not limited to the following : a. Research and Development; b. Human Resources Development; c. Exchange of Information; d. Cultural Promotion; e. Cultural Heritage; f. Cultural Dialogue; g. Museum; h. Film ; i. Any other forms of cooperation mutually agreed upon by the Parties. Article 3 EXECUTING AGENCIES 1. The Parties are committed to keep close relations in the field of culture through their competent official agencies, which shall be the executive of this Memorandum of Understanding. 2. The official agencies responsible for the implementation of this Memorandum of Understanding: a. For the Government of the Republic of Indonesia shall be the Ministry of Culture and Tourism; b. For the Government of the Republic of Ecuador shall be the Ministry of Culture. Article 4 IMPLEMENTATION The Parties agree to implement this Memorandum of Understanding through arrangements, programs, or projects of implementation which shall be an integral part of this Memorandum of Understanding; such arrangements, programs or projects should specify inter alia, objectives, financial arrangements, and other details relating specific undertakings of all participants involved.

12 Article 5 INTELLECTUAL PROPERTY RIGHTS 1. The Parties agree that any intellectual property ansmg under the implementation of this Memorandum of Understanding will be jointly owned and: a. Each Party shall be allowed to use such intellectual property for the purpose of maintaining, adapting and improving the relevant property; b. In the event the relevant intellectual property is used by the Party and/or institution on behalf of the Party for commercial purposes, the other Party shall be entitled to obtain equitable portion of loyalty; c. Each Party shall be liable for any claim made by any third party on the ownership and legality of the use of the intellectual property rights which is brought in by the aforementioned Party for the implementation of the cooperation activities under this Memorandum of Understanding. 2. The Parties shall indemnify each other that the intellectual property brought by the Party into the territory of the other Party for the implementation of any project arrangement or activities is not resulted from any infringement of third Party's property rights; 3. If either of the Party wishes to disclose confidential activities under this Memorandum of Understanding to any third Party, the disclosing party must obtain prior consent from the other Party before any disclosure can be made; 4. Whenever either Party requires the cooperation of another party outside The Republic of Indonesia and The Republic of Ecuador for any commercial undertaking resulted from intellectual property covered by this Agreement, this Party will give first preference of the cooperation to the other Party under this Arrangement, which will be waived, if the other Party is unable to participate in a mutually beneficial manner. Article 6 ESTABLISHMENT OF CULTURAL JOINT COMMITTEE 1. The Parties shall establish a Cultural Joint Committee (hereinafter the "CJC'') in order to facilitate the implementation of the provisions of this Memorandum of Understanding and further expand the areas of interest and mutual benefit. 2. The CJC shall prepare and recommend the arrangements, programs, or projects of implementation as referred to in article 2 and article The CJC shall consider the manner and means to promote and intensify cultural cooperation between the two countries and ensure the proper cooperation and implementation of the decisions or recommendations adopted in accordance with Memorandum of Understanding.

13 4. The status and composition of the CJC shall be determined by mutual agreement between the Parties. 5. The CJC shall determine its rules and or procedure and may create working groups to deal with specific matters that may arise.!i 6. The CJC shall meet at the request of either Party, alternately in the Republic of Ecuador and in the Republic of Indonesia. Article 7 SETTLEMENT OF DISPUTES Any disputes or differences arising out of the interpretation or implementation of this Memorandum of Understanding shall be settled amicably through consultations and/or negotiations through diplomatic channels between the Parties. Article 8 AMENDMENT Either Party may request in writing an amendment or modification of all or part of this Memorandum of Understanding. Any amendment or modification which has been agreed to by both Parties shall constitute as an integral part of this Memorandum of Understanding and shall come into effect on such date as determined by both Parties. Article 9 ENTRY INTO FORCE, DURATION AND TERMINATION 1. This Memorandum of Understanding shall enter into force on the date of its signing; 2. This Memorandum of Understanding shall be in force for a period of 5 (five) years from the date of entry into force and shall be renewed through diplomatic channels for subsequent period of 5 (five) years thereafter, unless either Party terminates it by giving written notification through diplomatic channels 6 (six) months prior to its expiration; 3. The termination of this Memorandum of Understanding shall not affect the validity and duration of any arrangement, plans and programs made under this Memorandum of Understanding until the completion of such arrangement, plans, and programs.

14 IN WITNESS WHEREOF, the undersigned, being duly authorized by their respective Government, have signed this Memorandum of Understanding. Done in Jakarta on this twenty sixth day of November in the year of 2007, in two original, in the Indonesian, Spanish and English languages, all texts are being equally authentic. In case of any divergence of interpretation of this Memorandum of Understanding, the English text shall prevail.
