( Quálitas, QC, o la Compañía ) (BMV: QC CPO), recuerda a la comunidad inversionista que continúa con el proceso de intercambio de sus Certificados de Participación Ordinaria (CPOs) por el de acciones representativas de su capital social (serie única). Se les recuerda que a más tardar el 16 de julio de 2015 antes de las p.m. hora del centro, los intermediarios financieros deberán solicitar a Nacional Financiera, S.N.C. ( NAFIN ) que efectúe el traspaso libre de pago, en el mercado secundario, de los CPOs y solicite el traspaso libre de pago, en el mercado secundario, de las acciones Q* a las cuentas respectivas de los intermediarios financieros y de NAFIN en Indeval. Cabe reiterar que dicha operación no implica efecto dilutivo, ya que se mantendrá el mismo número de valores que hoy se encuentran cotizando representando el capital social. Es decir, el canje será de un CPO por una nueva acción serie única (1 QC CPO = 1 Q*). En el siguiente cuadro se detalla el proceso: 2 julio julio 2015 (12.00 pm hora centro) 17 julio julio en adelante Aviso de Traspaso libre de pago - CNBV - BMV - S.D. Indeval Intermediarios deberán solicitar el traspaso libre de pago de títulos QC CPO a NAFIN para ser intercambiados por acciones Q* (1 QC CPO = 1 Q*) Liquidación Especial: 14 julio T + 2 (48 hrs) 15 julio T + 1 (24 hrs) 16 julio mismo día - Comienza a cotizar Q * en BMV - Deja de cotizar QC CPO en BMV Los títulos QC CPO que no hayan sido intercambiados no podrán operar ya que dejarán de cotizar en BMV El día 17 de julio de 2015 comenzarán a cotizar las acciones de Quálitas Controladora bajo el nuevo símbolo Q serie única *. Los títulos de QC CPO que no hayan sido traspasados al fideicomiso de NAFIN antes del 16 de julio de 2015 para su intercambio, dejarán de cotizar en la Bolsa Mexicana de Valores. 1

( Quálitas, QC, or the Company ) (BMV: QC CPO), reminds the investor community to continue with the process of exchanging its CPOs (Common shares certificates) into single series shares representing its capital stock. We would like to remind you that at the latest by July 16, 2015 at pm central time, financial intermediaries should request Nacional Financiera, S.N.C. ( NAFIN ) to proceed with the free of payment transfer, in the secondary market, of the CPOs and to request, the free of payment transfer, in the secondary market, of Q* shares into the accounts that each broker or financial intermediary and NAFIN have registered at Indeval. It is worth highlighting that such exchange will not imply a share dilution, since the same number of securities that are currently listed will remain unchanged. That is to say, the exchange will be one CPO per one new single series share (1 QC CPO = 1 Q *). All QC CPOs that were not transferred to NAFIN s trust before July 16, 2015 for their exchange, will be delisted from the Bolsa Mexicana de Valores.
