DECLARATION OF INDEPENDENCE TO BECOME A MEMBER OF THE OF THE BOLSA DE VALORES DE COLOMBIA S.A. Miembro Independiente: De acuerdo con el parágrafo tercero del artículo 47 de los estatutos de la Bolsa de Valores de Colombia S.A., se considera que un miembro del Consejo Directivo es independiente, cuando al momento de su elección no tiene determinadas relaciones, que más adelante se especifican, con la Bolsa de Valores de Colombia, subordinadas de ésta, entidades accionistas de la Bolsa -dentro del criterio de materialidad adoptado en este tema-, socios, accionistas o aportantes de capital de las entidades accionistas de la Bolsa de Valores de Colombia dentro del criterio de materialidad adoptado en este tema-, entidades o personas naturales que suministren bienes o servicios a la Bolsa o a sus subordinadas -dentro del criterio de materialidad adoptado en este tema-, así como con empleado, administrador, apoderado, mandatario, agente, asesor, consultor, contratista o proveedor de bienes o servicios, de la Bolsa o sus subordinadas dentro del criterio de materialidad adoptado en este tema-, o con entidades que reciban donativos o aportes de la Bolsa - dentro del criterio de materialidad adoptado en este tema-, o con entidades públicas con funciones de regulación y supervisión del mercado público de valores. No soy empleado o administrador de cualquiera de las siguientes entidades, ni he tenido alguna de tales calidades durante el año inmediatamente anterior a la fecha de elección de los miembros del Consejo Directivo para el periodo : (I am not employee or manager of any of the following entities, nor have had one of those positions during the year immediately prior to the date of the election of the Board of Directors for the period) a) La Bolsa de Valores de Colombia o sus subordinadas, salvo que se trate de la reelección de un miembro independiente del Consejo Directivo. No soy asesor, consultor, contratista o proveedor de bienes o servicios, de cualquiera de las entidades mencionadas bajo el numeral 1) precedente, con ingresos derivados de la respectiva relación que representen el veinte por ciento (20%) o más de los ingresos de la persona dentro de un mismo año calendario, ni he tenido alguna de tales calidades durante el año inmediatamente anterior a la fecha de elección de los miembros del Consejo Directivo para el periodo. 7 Página: 7 de 9 g) Una fundación, asociación, sociedad u otra entidad que reciba donativos o aportes de la Bolsa de Valores de Colombia o de accionistas de ésta, cuando el valor del donativo o aporte represente el veinte por ciento (20%) o más del total de donativos o aportes recibidos por la respectiva institución dentro de un mismo año calendario; (A foundation, association, society or other entity that receives donations or contributions from the Colombian Securities Exchange, or from its shareholders, when the value of the donation or contribution amounts to twenty percent (20%) or more of the total of donations or contributions received by the institution within a given calendar year.) NOTA: Para estos efectos, además de las participaciones de capital que en las entidades aquí mencionadas tenga el aspirante a miembro independiente del Consejo Directivo, se sumarán las que tengan las siguientes personas o entidades: i) cónyuge, ii) compañero o compañera permanente, iii) parientes dentro del segundo grado de consanguinidad, segundo de afinidad o único civil, y iv) sociedades o entidades en las cuales el aspirante, su cónyuge, compañero o compañera permanente, o parientes dentro del segundo grado de consanguinidad, segundo de afinidad o único civil, sean titulares del cincuenta por ciento (50%) o más del capital, directamente o a través de sociedades o entidades controladas por ellos, o en las cuales tengan el derecho de emitir los votos constitutivos de la mayoría mínima decisoria en la junta de socios o asamblea, o tengan el número de votos necesario para elegir la mayoría de la junta directiva, si la hubiere. (NOTE: For these purposes, besides participation in the capital of the entities here mentioned that the candidate for independent member of the Board of Directors, the ones owned by the following persons or entities will be included: i) spouse, ii) permanent partner, iii) blood relatives within the second degree, second degree in affinity or fist degree by adoption, and iv) companies or entities in which the candidate, his or her spouse, permanent partner or blood relatives within the second degree, second degree in affinity or fist degree by adoption own the fifty percent (50%) or directly or through

No soy funcionario o directivo de entidad pública que tenga legalmente asignadas funciones de regulación o supervisión del mercado público de valores, ni he tenido alguna de tales calidades durante el año inmediatamente anterior a la fecha de elección de los miembros del Consejo Directivo para el periodo. (I am not an official or director of a public entity that has been assigned by law, the functions of regulation or supervision of the public securities market, nor have I had any of those qualities during the year immediately preceding the date of election of the members of the Board of Directors for the period.) 6. No soy cónyuge, compañero permanente o pariente dentro del segundo grado de consanguinidad, segundo de afinidad o único civil, de cualquiera de las personas mencionadas en el primer inciso de los numerales 1), 2), 3), 4) y 5) precedentes.
