1 TELMEX, EVENTO RELEVANTE OFERTA PÚBLICA COMPRA DE ACCIONES EMBRATEL México D.F., a 28 de julio de Teléfonos de México, S.A. de C.V. ( TELMEX ) (BMV: TELMEX; NYSE: TMX; NASDAQ: TFONY; LATIBEX: XTMXL) anunció el día de hoy que, como accionista controlador de Embratel Participações S.A. ( EMBRAPAR ), en relación con el evento relevante publicado el 24 de julio de 2006, anuncia su decisión de registrar, en los próximos días, ante la Commissão de Valores Mobiliários de Brasil ( CVM ) una solicitud para convertir la oferta pública para cancelar el registro de EMBRAPAR como una compañía pública, anunciada a través del evento relevante publicado el 8 de mayo de 2006 ( Oferta Pública ), en una oferta pública voluntaria bajo procedimientos diferentes ( Oferta Pública Voluntaria ), como lo autorizó expresamente la CVM con base en las resoluciones de su Consejo, con fechas 18 y 27 de julio de La Oferta Pública Voluntaria será extensiva a cualquiera o todas las acciones comunes y preferentes de EMBRAPAR en circulación ( Acciones ), y será realizada a través de Telmex Solutions Telecomunicações Ltda. ( Oferente ), una subsidiaria propiedad de TELMEX con la intermediación de UNIBANCO União de Bancos Brasileiros S.A. Como lo autorizó la CVM, la Oferta Pública Voluntaria resultará en la cancelación del registro de EMBRAPAR como compañía pública ( Cancelación del Registro ) si se cumplen las siguientes condiciones: (i) el Oferente adquiere más de dos tercios de las Acciones en la Oferta Pública Voluntaria; y (ii) la Agência Nacional de Telecomunicações ANATEL ( ANATEL ) emite una declaración favorable a la Cancelación del Registro ya sea anterior o posteriormente a la conclusión de la Oferta Pública Voluntaria. Si las condiciones descritas anteriormente se cumplen, cualquier tenedor remanente de Acciones tendrá la oportunidad de solicitar al Oferente que adquiera sus acciones durante un periodo posterior al cumplimiento de dichas condiciones, como lo indica el artículo 10, párrafo 2 de la Instrucción no. 361/02. de la CVM. El precio de adquisición de las acciones comunes y preferentes en la Oferta Pública Voluntaria será el mismo que se anunció para la Oferta Pública, R$6.95 (seis reales brasileños y noventa y cinco centavos) por cada 1,000 (mil) acciones, ajustado por la Taxa Referencial mensual, prorrateada, del 8 de mayo de 2006 (fecha del anuncio de la oferta pública) hasta la fecha de liquidación de la Oferta Pública Voluntaria. En los próximos días, el Oferente enviará a la CVM una Notificación de Oferta Pública Voluntaria, que describirá los términos y condiciones de la Oferta Pública Voluntaria, incluyendo los aprobados recientemente por la CVM. 1

2 La Oferta Pública Voluntaria será extensiva a tenedores de acciones preferentes en forma de American Depositary Shares ( ADSs ). En el momento en que la Oferta Pública Voluntaria inicie, TELMEX publicará el documento de la oferta pública y la registrará ante la Securities and Exchange Commission ( SEC ) de los Estados Unidos de América. Los tenedores de las acciones y ADSs de EMBRAPAR deberán leer el documento de oferta pública ya que contendrá información importante. Una traducción al portugués será registrada en la CVM. ( EMBRAPAR ), in reference to the Material Fact released on July 24, 2006, announces its decision to file with the Brazilian Securities and Exchange Commission ( CVM ) in the coming days a request to convert its tender offer for cancellation of the registration of EMBRAPAR as a public company, which was announced through the Material Fact dated May 8, 2006 ( Tender Offer ), into a voluntary tender offer under different procedures ( Voluntary Tender Offer ), as expressly authorized by CVM by decisions of its Board, dated July 18 and 27, The Voluntary Tender Offer will extend to any and all of the outstanding common and preferred shares of EMBRAPAR ( Shares ) and will be carried out through Telmex s wholly owned subsidiary, Telmex Solutions Telecomunicações Ltda. ( Offeror ), with the intermediation of Unibanco União de Bancos Brasileiros S.A. As authorized by CVM, the Voluntary Tender Offer will result in the cancellation of EMBRAPAR as a public company ( Cancellation of the Registration ) if the following conditions are satisfied: (i) the Offeror acquires more than two-thirds of the Shares in the Voluntary Tender Offer; and (ii) Agência Nacional de Telecomunicações ANATEL issues a statement favorable to the Cancellation of the Registration, before or after the conclusion of the Voluntary Tender Offer. If the conditions described above are satisfied, any remaining holder of Shares will have the opportunity, for a period following the satisfaction of such conditions, to require the Offeror to purchase its shares, as provided by article 10, paragraph 2 of CVM Instruction no. 361/02. The purchase price for the common shares and the preferred shares in the Voluntary Tender Offer will remain the price announced for the Tender Offer, R$ 6.95 (six Brazilian reais and ninety five cents) per 1,000 (one thousand) shares, adjusted by the monthly Taxa Referencial TR, pro rata temporis, from May 8, 2006 (the announcement date of the Tender Offer) through the date of the settlement of the Voluntary Tender Offer. In the coming days, the Offeror will submit to CVM a form of Notice of Voluntary Tender Offer, which will describe the Voluntary Tender Offer terms and conditions, including those recently approved by CVM.
