1 The University of Texas at San Antonio (hereinafter referred to as UTSA and the Universidad Autonoma de Guadalajara (hereinafter referred to as UAG) enter into an agreement of cooperation to establish a program of exchange and collaboration in areas of interest and benefit to both institutions. to promote interest in the teaching and research activities of the respective institutions, and to deepen the understanding of the economic, cultural and social issues environment of the respective institutions. promote institutional exchanges by inviting faculty and staff of the partner institutions to participate in a variety of teaching and/or research activities and professional development; receive undergraduate and graduate students of the partner institution for periods of study and/or research; organize symposia, conferences, short courses and meetings on research issues; carry out joint research and continuing education programs; and exchange information pertaining to developments in teaching, student development, and research at each institution. Each institution shall designate a coordinator to oversee and facilitate the implementation of this Agreement. The coordinators, working with other appropriate administrators at the respective universities, shall have the following responsibilities: to promote academic collaboration at both faculty, graduate and undergraduate student levels for research and study;

2 to act as principal contacts for individual and group activities and to plan and coordinate all activities within their institutions as well as with the partner institution; to distribute to each institution information about the faculty, facilities, research, publications, library materials and educational resources of the other institution; and to meet periodically to review and evaluate past activities and to work out new ideas for future cooperative agreements. This general Agreement of Cooperation shall be identified as the parent document of any program agreement executed between the institutions. Further agreements concerning any program shall provide details concerning the specific commitments made by each institution and shall not become effective until they have been reduced to writing and executed by the duly authorized representatives of the institution. The scope of the activities under this agreement shall be determined by the funds regularly available at both institutions for the types of collaboration undertaken and by financial assistance as may be obtained by either institution from external sources. While fully anticipating that other areas of collaboration may develop in the future, the institutions initially intend to explore program agreements in the following areas: Economic Development - expand existing organizational relationships between the UTSA Institute for Economic Development and the UAG Corporate University in the areas of small business development, international trade, and joint international economic development; Research - conduct bilateral faculty, student and staff exchanges, collaborate on joint research projects, and promote the sharing of best practices between the UAG Scientific Research Park, the UAG School of Science and Technology and the UAG School of Health Sciences and the UTSA College of Sciences, the UTSA College of Engineering, and the UTSA Research Development Office; Information Assurance and Security - develop joint programs and conferences between UAG and the UTSA Institute for the Protection of American Communities and the UTSA Center for Infrastructure Assurance and Security; Architecture - identify and develop joint programs between the UTSA College of Architecture and the UAG School of Architecture and Design in the areas of architecture, interior design and construction, that could potentially include reciprocal visits, faculty and student exchanges, and explore the opportunity for a collaboration leading to a possible joint accreditation of the professional programs; and

3 Business - identify and develop cooperative programs between the UTSA College of Business and the UAG School of Business and Economics that could include innovative student exchange programs and programs for collaborative faculty research. Upon approval by each institution, this agreement shall remain in effect for a period of ten (10) years unless terminated earlier by either institution. Such termination by one institution shall be effected by giving the other institution at least ninety (90) days advance written notice of its intention to terminate. If such notice is given, this agreement shall terminate: (a) at the end of such ninety (90) days; or (b) when all students enrolled in a course of study under the agreement at the time such notice is given have completed their respective courses of study under the agreement, whichever event occurs last. Termination shall be without penalty. If this agreement is terminated, neither UTSA nor UAG shall be liable to the other for any monetary or other losses that may result. This Agreement of Cooperation terminates and supersedes all prior cooperation, affiliation, collaboration, and program agreements between the institutions and will constitute the entire agreement and understanding between the institutions with respect to the subject matter of this Agreement. This Agreement or program agreements resulting from this Agreement may be translated into Spanish and executed by the institutions; however, if the terms and conditions in the English version of an agreement conflict with those in the Spanish version of the agreement, the English version shall control. 4 CONTRATO DE COOPERACION que celebran La Universidad Aut6noma de Guadalajara y La Universidad de Texas en San Antonio La Universidad de Texas en San Antonio (en 10 sucesivo denominada UTSA) y la Universidad Aut6noma de Guadalajara (en 10 sucesivo denominada UAG) celebran un contrato de cooperaci6n para establecer un programa de intercambio y colaboraci6n en areas de interes y beneficio para ambas instituciones. promover el interes en las actividades de ensenanza e investigaci6n de las respectivas instituciones; y profundizar en el entendimiento de los asuntos econ6micos, culturales y sociales ambiente de desarrollo de las respectivas instituciones la promoci6n de intercambios institucionales por medio de la invitaci6n de miembros del cuerpo docente y del staff de las instituciones asociadas, a la participaci6n en una serie de actividades de ensenanza y/0 investigaci6n y desarrollo profesional; la admisi6n de estudiantes a nivel profesional 0 de postgrado de la instituci6n asociada por los periodos de estudio y/0 investigaci6n; la organizaci6n de symposia, conferencias, cursos cortos y juntas referentes a asuntos de investigaci6n; programas de extensi6n universitaria e investigaci6n de manera conjunta; y el intercambio de informaci6n referente al desarrollo de la ensenanza, desarrollo de estudiantes e investigaci6n en cada una de las instituciones. Cada instituci6n debera designar un coordinador para que supervise y facilite el cumplimiento de este Contrato. Los coordinadores, en conjunto con los administradores correspondientes en las respectivas universidades, tendran las siguientes responsabilidades: promover la colaboraci6n academica a los niveles de cuerpo docente, postgrado 0 profesional para investigaci6n y estudios; fungir como contacto principal para actividades individuales 0 de grupo y planear y coordinar todas las actividades en sus instituciones as! como con la instituci6n asociada;

5 distribuir en cada instituci6n informaci6n sobre cuerpo docente, recinto, investigaci6n, publicaciones, materiales de biblioteca y recursos educacionales de la otra instituci6n; y peri6dicamente llevar a cabo una junta para revisar y evaluar actividades realizadas y para llevar a cabo la planeaci6n de nuevas ideas para futuros convenios de cooperaci6n. Este Contrato de Cooperaci6n general debera ser considerado como el documento matriz de cualquier convenio 0 acuerdo de programas que se lleve a cabo entre las instituciones. Convenios posteriores referentes a cualquier programa deberan estipular detalladamente las obligaciones a las que quedaran sujetas cada una de las instituciones y surtira sus efectos legales una vez que se lleve a cabo por escrito y sea firmado por los representantes de las instituciones debidamente autorizados. El alcance de las actividades contenidas en el presente convenio debera ser determinado por los fond os regularmente disponibles en ambas instituciones para el tipo de colaboraci6n emprendida y por asistencia financiera seglin se pueda obtener por cualquiera de las instituciones a traves de recursos externos. Anticipando que otras areas de colaboraci6n podrian desarrollarse en un futuro, las instituciones inicialmente intentan explorar convenios de programas en las siguientes areas: Desarrollo Economico - la expansi6n de las relaciones organizativas existentes entre el Instituto para el Desarrollo Econ6mico de UTSA y la Universidad Corporativa de UAG en las areas de desarrollo de pequenos negocios, comercio internacional y desarrollo internacional econ6mico conjunto; Investigacion - la conducci6n de intercambios bilaterales del cuerpo docente, estudiantes y staff, la colaboraci6n en proyectos de investigaci6n conjunta y promover el compartir 10 mejor de las practicas entre el Parque de Investigaci6n Cientifica de UAG,la Escuela de Ciencia y Tecnologia de UAG y la Escuela de Ciencias de la Salud de UAG y la Facultad de Ciencias de UTSA,la Facultad de Ingenieria de UTSA y la Oficina de Desarrollo de la Investigaci6n de UTSA; Informacion de Seguridad y Garantia - el desarrollo de programas y conferencias conjuntos entre UAG y el Instituto para la Protecci6n de Comunidades Americanas de UTSA y el Centro para la Infraestructura de Seguridad y Garantia de UTSA; Arquitectura - la identificaci6n y desarrollo de programas conjuntos entre la Facultad de Arquitectura de UTSA y la Escuela de Arquitectura y Diseno de UAG en las areas de arquitectura, diseno interior y construcci6n, que potencialmente pudieran incluir visitas reciprocas, intercambio de personal docente y estudiantes y la exploraci6n de oportunidades para una colaboraci6n que conduzca a la posible acreditaci6n conjunta de los programas profesionales; y N egocios - La identificaci6n y el desarrollo de programas de cooperaci6n entre la Facultad de Negocios de UTSA y la Escuela de Negocios y Economia de UAG que pudiera incluir programas innovados de intercambio de estudiantes y programas para la investigaci6n en colaboraci6n del personal docente.

6 Una vez que sea aprobado por cada una de las instituciones, este contrato permaneceni vigente por un periodo de (10)anos con la salvedad de que se de por terminado con anticipacion par cualquiera de las instituciones. Dicha terminacion por una sola de las instituciones se llevara a cabo dando aviso por escrito, por 10 menos con noventa (90) dias de anticipacion, de su intencion de dar por terminado el contrato. Si se da dicho aviso de terminacion, el presente convenio terminara: (a) una vez transcurridos los noventa (90) dias; 0 (b) una vez que todos aquellos estudiantes inscritos en alglin curso 0 estudios de conformidad con el presente contrato al momenta en que dicho aviso se diera hayan completado sus respectivos cursos 0 estudios de conformidad con este contrato, 10 que ocurriere al ultimo. No habra sancion par llevar a cabo la terminacion. Si este convenio se da por terminado, no se considerara responsable ni a UTSA ni UAG por las perdidas monetarias 0 de cualquier otra indole que resultaren 0 en que incurriere alguna de las partes. Este Contrato de Cooperacion termina y substituye todos los anteriores contratos de cooperacion, afiliacion, colaboracion y convenios de programas entre las instituciones y constituira el contrato en su integridad y el entendimiento entre las instituciones con respecto al objeto de este Contrato. Este Contrato 0 contratos de programas que resultaren de este Contrato podran traducirse al idioma espanol y ser firmados por las instituciones; sin embargo, si los terminos y condiciones de la version en ingles de un contrato estuvieren en conflicto con aquellos de la version en espanol del contra to, la version en ingles prevalecera. FIRMADO por la Universidad de Texas en San Antonio y la Universidad Autonoma de Guadalajara por duplicado, cada tanto sera considerado como un original.
