Any vendor who does not comply with the local, state or federal tax laws will be found to be in violation of ICES policy and will not be allowed to participate in future shows until compliance is completed. 2 VENDORS CONTRACT PROVISIONS, RULES and REGULATIONS 1. Exhibits shall be of a nature which promotes the common interest of the International Cake Exploration Societé (ICES), including products or services which are used by the members of ICES for business purposes or which are otherwise directly related to that interest. The judgment of the Show Directors as to whether a Vendor or an exhibit satisfies this requirement, and in this and other respects hereinafter referred to, shall be final. 2. All exhibits, demonstrations and other activities by a Vendor shall be confined to their exhibit booth(s). No Vendor shall assign, sublet or share the whole or any part of the booth space allotted. 3. Any exhibit, device, material or activity, including balloons, sounds, fumes or odors, which, in the judgment of the Show Directors, is unethical, in bad taste, annoying or otherwise offensive to Vendors, the Convention-Show or the industry is prohibited. 4. No alcoholic beverages or unlawful substances will be allowed in the booths or exhibit area at any time. 5. If sampling any edible items, the Vendor must apply for permission from the Convention Center through the Show Directors. SPACE ASSIGNMENTS 6. The Show Directors reserve the right to shift space assignments after the contract has been signed if they find it necessary. PAYMENTS, CANCELLATIONS AND REFUNDS FOR EXHIBIT SPACE 7. Payment for the total cost based upon booth selection must be attached to the contract application payable to the show for which the contract applies. Cancellation requests must be in writing. Upon cancellation, the canceling vendor will relinquish any rights to use or disposition of cancelled booth space. Cancellation of booth space will result in forfeiture of all or a portion of payment as follows and will result in loss of booth space. a. If notice of cancellation is received up to and including 180 days prior to the date of Opening Ceremonies for the show, a refund of 75% of the total booth rental charge will be paid. b. If notice of cancellation is received from 179 days up to and including 120 days prior to the date of Opening Ceremonies for the show a refund of 50% of the total booth rental charge will be paid. c. If notice of cancellation is received after 120 days prior to the date of Opening Ceremonies for the show no refund will be paid. However, if ICES is able to resell the booth space and if all other booth inventory is sold out, then a refund of 40% of the total booth rental charge will be paid. Refunds will be issued within thirty (30) days after the Convention and Show has closed. 8. The booth space will include: back wall and side dividers, one sign, one table draped and covered, two chairs and a trash can. All other furnishings, equipment, facilities, etc. will be provided by the Vendor at its own expense and responsibility. You may request electrical service through the pipe and drape company, TEX EXPO/AEX. HANDLING AND STORAGE 9. Century Link Center Omaha will not accept or store exhibit materials or empty crates. However, for a predetermined charge TEX EXPO/AEX will accept any materials you wish to send, and store them in their warehouse. They will also transfer those materials to the Center for you. Upon receipt of your contract, your name will be passed on to AEX and in turn they will contact you with prices and information on this service. AEX will not store perishable items. LIABILITIES 10. The Vendor represents and warrants to ICES, its officers, directors and representatives, the cooperating local association(s) and their officers, directors and representatives, (the ICES Parties ) that no materials used in connection with Vendor s exhibit violate the intellectual property rights, whether in patent, trademark, copyright or otherwise ( IP Rights ) of any other party. Vendor releases the ICES Parties from any and all claims for injury, loss or damages caused by or relating to any claims that any other party has violated Vendor s IP Rights. Vendor releases the ICES Parties from any and all obligations for or liability relating to policing or determining whether any materials used by any vendor violate any of Vendor s IP Rights. Vendor releases the ICES Parties from any and all obligations for and liability relating to failing to take any action to prevent the infringement or violation of any of Vendor s IP Rights and releases the ICES Parties from any and all claims of contributory infringement as to any of Vendor s IP Rights. Vendor further agrees that although the ICES Parties shall not have any obligation for or liability relating to determining if any infringement or violation of any party s IP Rights has occurred, or any obligation for or liability relating to failing to prevent or protect any party from damages for infringement or violation of such party s IP Rights, Vendor releases the ICES Parties from any and all actions it may take relating to excluding Vendor from exhibiting at or participating at the Show in connection with any claim(s) that Vendor s materials violate the IP Rights of any party. The Vendor agrees that ICES, the Show Directors, the cooperating local association(s), and officers, directors, committees, agents, employees, and the State and Local governments, hotel/convention center (a) will not be held responsible for any damage to or the loss or destruction of Vendor's property, or injuries to the Vendor, their representatives, agents, or employees, all claims for such loss, damage, destruction or injury, being expressly waived by the Vendor; and (b) will be indemnified and held harmless by the Vendor for any claims for injury to any of Vendor s representatives, agents, or employees and for any claims by other persons for injury, loss or damage caused in whole or in part by the Vendor or its representatives or employees. Each Vendor should carry an insurance rider policy to cover exhibits and samples against destruction, loss and/or damages. Third party and liability coverage should be discussed with your insurance broker. 11.ICES, the Show Directors, the cooperating local association(s) and their officers, directors, committees, agents and employees will not be liable for failure to hold the Convention & Show as scheduled. Payments for booth space will be returned in that event, except that any actual expense incurred in connection with the Show will be deducted if the Show is cancelled after the time specified for payment of the balance of the cost of assigned space, due to fire, or any act of God, or the public enemy, or strike, or epidemic, or any law or regulation of public authority, which makes it impossible or impracticable to hold the Show. 12.Any and all sales tax required to be collected by any city, state and/or federal government will be the sole responsibility of each vendor. Sales Tax permits must be submitted along with the applicable tax payment to the government entity by each individual ICES vendor. Vendors will not be required to provide sales records to ICES Show Management. Any Vendor who does not comply with local, state or federal tax laws will be found to be in violation of ICES policy and will not be allowed to participate in future shows until compliance is complete. SECURITY 13. Security will be provided in the exhibit area on a 24-hour basis beginning at 8 a.m., Thursday, July 30, 2015 until 7 p.m. Sunday, August 2, ADMISSIONS 14. The Show Directors will have sole control over admissions of persons. In addition to two gratis vendor registration badges, two staff badges will be given with each booth rented. Staff badges will grant admission to the Vendor area /Cake Room only. Additional staff badges (one (1) per booth) may be purchased for $15 each during on-line registration. Demonstration tickets will only be sold to registered attendees. Vendors and their representatives must wear their official badges at all times while on the vendor floor. The badges are issued for your protection and identification. They must NOT be loaned or given to other persons. Violators will be barred from the premises. All persons visiting the vendor area will be admitted according to the rules and regulations of the Convention and Show, as issued and amended by the ICES Show Directors. 15. The Vendor will abide by all other provisions of said rules and regulations and with the fire regulations and all other regulations, governmental agencies and the hotel/convention center. 16. All exhibits must be completely set up by 5 p.m. on Thursday, July 30, Vendors will not be permitted to dismantle their exhibits or do any packing prior to 5 p.m. on Sunday, August 2, Any breakdown or dismantling prior to 5 p.m. on Sunday, August 2, 2015 will result in a penalty fee of $200. Cooperation of all Vendors is earnestly requested. 17. Attendees will not be allowed to enter the Vendor Area during the final 15 minutes prior to closing each day. Form Rev 09/14 2

4 OFFICIAL VENDOR GRATIS REGISTRATION Once your contract has been accepted and approved you will be notified of your booth selection, the number of gratis registrations you are to receive and the allotment of staff badges. After the first of the year and once the registration site is open, you will be sent a special URL to be used exclusively for Vendors to register themselves and their staff. Note, that the individual filling out the online registration form counts as one of the allotted gratis registrations. Please do not duplicate names, by entering them as gratis registrations and again as staff. Gratis Vendor registrations do not include meal tickets. You will also be able to make your hotel room reservations through this URL. Please note that staff badge individuals will not be able to participate in demonstrations unless they are registered attendees. They will have admittance to the vendor floor and cake room only. In order to receive a demonstrator s gratuity, the vendor or staff individual chosen must also be a registered attendee. Each booth space receives two gratis registrations, so please make sure that if you or a staff member is demonstrating, you have the appropriate badge. 10 Millennium Club Level The Millennium Club has been established as a special thank you drawing in appreciation to everyone attending the convention and show. All fully registered convention attendees will receive one ticket for a prize valued at a minimum of $500. The drawing for the prize(s) will take place at the Awards Banquet. Winners must be present at the time of drawing to receive the prize(s). Sponsors donating over $500 in cash or merchandise will receive print recognition in the Convention Souvenir Book and appropriate signage. Century Club Level The Century Club is a tradition at our Annual Convention and Show that offers a special thank you drawing in appreciation to those who bring or send sugar art displays for our cake room. Century Club awards prizes valued at $250 and above at the Awards Banquet. All sponsors will receive print recognition in the Convention Souvenir Book and appropriate signage. Other Donations ICES is a not-for-profit association that focuses on education and sharing the creative possibilities of sugar. The annual expense to produce a quality convention and show increases every year. Many volunteer hours have been donated in order to share the beauty and this educational opportunity with the ICES international membership and the public. 13 Convención y Show Anual No. 40 CONTRATO DE PROVISIONES, REGLAS Y REGULACIONES PARA VENDEDORESUSO DE LOS PUESTOS DE VENTA 1. Las exhibiciones deben ser de naturaleza que fomente un interés común en International Cake Exploration Societé (ICES) incluyendo servicios y productos que sean usados por los miembros de ICES, bien para el propósito de negocios o que tengan un interés relacionado con el mismo. La decisión de los Directores del Show es final cuando se refiera a la satisfacción de los requisitos de los expositores o vendedores o de que una exhibición satisfaga los requisitos. 2. Todas las exhibiciones, demostraciones y otras actividades de los Vendedores deben estar limitadas a su puesto(s) de venta. Ningún comerciante puede asignar, subarrendar parte, o todo el puesto de venta que se le ha asignado. 3. Cualquier exhibición, material artículo u otra actividad incluyendo globos, sonidos, gases y vapores el cual los Directores del Show crean que sean contrarios a las normas establecidas, sean de mal gusto, importuno u ofensivo a Expositores, a la Exhibición de la Convención o la industrias son prohibidos. 4. No se permiten bebidas alcohólicas, o sustancias ilícitas en sus puestos de venta, o áreas de exhibición. 5. Si muestreo los artículos comestibles, el proveedor debe solicitar la autorización del Centro de Convenciones a través del Show Directores. ASIGNACIÓN DE ESPACIO 6. Los Directores del Show se reservan el derecho de hacer cambios de espacios asignados después que los contratos hayan sidos firmados, si creen que sea necesario. PAGOS, CANCELACIONES Y REEMBOLSO DE PUESTOS DE VENTA 7. El pago para el costo total, se basa sobre la selección del puesto, y debe ser adjunto a la aplicación del Contrato pagadero a la exposición que el contrato aplica. Sin embargo si nota de cancelación es recibida el vendedor cancela el derecho de utilizar o disponer del puesto de venta cancelado. a. Si su nota de cancelación es recibida 180 días antes de la fecha de la Ceremonia de Apertura del Show un reembolso de 75% del total del alquiler será rembolsado. b. Si su nota de cancelación es recibida 179 días a 120 días antes de la fecha de la Ceremonia de Apertura del Show un reembolso de 50% del total del alquiler será rembolsado. c. Si su nota de cancelación es recibida 120 días antes de la fecha de la Ceremonia de Apertura del Show resultará en la caducidad de la cantidad total del pago por el alquiler del puesto. Si ICES puede revender su puesto de venta que canceló y si el total de puestos de ventas disponibles se vendieron, se la hará un reembolso de un 40% del total del alquiler de su pago. Los reembolsos se emitirán dentro de los treinta (30) días después de la Convención y Show ha cerrado. PUESTO DE VENTAS Y EQUIPO 8. Incluidos en los puestos de venta, habrá una pared y divisiones a los lados, un letrero, una mesa cubierta, alfombra, dos sillas y un recipiente para la basura. Todo el resto de mobiliarios, equipo, etc., tiene que ser provisto por el expositor, asumiendo el costo y la responsabilidad. Usted puede solicitar servicio eléctrico a través del la compañía AEX. MANEJO Y ALMACENAMIENTO 9. El Century Link Omaha no aceptan, o almacenan materiales para la exhibición o contenedores vacíos. Ahora bien, por una predeterminada cantidad AEX. aceptará y almacenará en sus almacenes cualquier material que usted quiera enviar. Transferirán esos materiales al Centro para usted. AEX no almacenan artículos que se puedan echar a perder. Al recibir su contrato, su nombre será enviado a la compañía de Decoración AEX., la cual se pondrá en contacto con usted brindándole los precios e información sobre estos servicios. 10 RESPONSABILIDAD LEGAL Los proveedores declaran y afirman a ICES, sus funcionarios, directores y representantes de la asociaciónes locales, y sus funcionarios, directores cooperar, y sus funcionarios, directores y representante (los miembros de ICES) que ningún materal utilizado en conección con la exhibición del proveedor viola los derechos de propiedad intelecual (IP) ya sea la patente, marca registrada, derechos de autor o de otro tipo derecho de propiedad intellectual IP, o de cualquier otra parte. El proveedor libera a los oficiales de ICESy sus miembros de cualquier y todo reclamo por lesiones, pérdidas o daños y perjuicios causados por o en relación con cualquier reclamación que cualquier otra perona que ha violado los derechos de propiedad intelectual (IP) del proveedor. El proveedor libera a ICES y sus funcionarios de cualquiera y todas las obligaciones o responsabilidades relacionadas con la vigilancia o determinar si cualquier material utilizado por ningún proveedor violan cualquiera de los derechos de propiedad intellectual (IP) del proveedor. El proveedor libera a ICES y sus funcionarios de cualquier y todas las obligaciones, de responabilidad relacionada con no tomar ninguna medida para evitar la infracción indirecta como a cualquiera de los derechos de la propiedad intellectual (IP) ha ocurido o cualquier obligación o responsabiliad en relación con su intento de impedir o proteger cualquier parte de daños y perjuicios por infracción o violación de esa parte de derechos de propiedad. El proveedor libera a ICES y sus funcionarios de cualquier reclamación(es) que el proveedor de material iole los derechos de propiedad intelectual (IP) de cualquier parte. Los vendedores están de acuerdo de que ICES, el Comité del Show, las asociaciones de cooperación local, oficiales, directores, comité, agentes, empleados y los gobiernos Locales y Estatales (a) no son responsables de ningún daño, pérdida o destrucción de propiedad que pertenezcan a los vendedores, o heridas, lastimaduras a los expositores, sus representantes, agentes o empleados, todas reclamaciones por tipo de pérdida daños, destrucción o heridas son renunciadas expresamente por los vendedores. b) nosotros seremos indemnizados por los vendedores de cualquier reclamación hecha por otra persona a causa de daños personales, pérdidas o daños causados completos o en parte por los vendedores, sus agentes o empleados. Cada expositor/vendedor debe tener una cláusula añadida a su póliza de seguro para que cubra contra daños en, exhibiciones, destrucción perdida y daños. Este tipo de seguro debe ser puesto en orden con su representante de seguros. 11 ICES, los Directores del Show, las asociaciones de cooperación locales, sus oficiales, directores, comités, agentes y empleados no son responsables de que por fracaso esta convención no se lleve a cabo según esta determinado en este caso los pagos por sus puestos de venta serán devueltos excepto si se han incurrido gastos en conexión con la exhibición, estos serán deducidos si esta ha sido cancelada después del periodo especificado por el pago del costo de balance del espacio, debido a incendio, o por acta de Dios, o el enemigo público, huelga o epidemia, o por una ley o autoridad pública que haga imposible o impracticable el poder presentar la exhibición. 12 Cada vendedor es responsable en colectar el impuesto sobre las ventas de cualquier ciudad, estado o del gobierno federal. Los permisos de impuestos deben ser devueltos con el pago de impuestos sobre las ventas que colecto cada Vendedor de ICES. Los vendedores no tendrán que proveer los récords de venta a la Junta Directiva de ICES. Cualquier vendedor que no cumpla con las leyes Locales, de estado ni impuestos nacionales, estará en infracción de la póliza de ICES y no será permitido tomar parte en futuras exposiciones hasta que la infracción sea corregida. SEGURIDAD 13 Se proveerá seguridad en el área de exhibición basada las 24 horas, comenzando a las 9:00 a. m. del Jueves30 de Julio de 2015 hasta las 7 p. m. del Domingo 2 de Agosto de ENTRADAS 14 Los directores del Show tienen control absoluto sobre las entradas de las personas. En adición a 2 insignias de registración gratis, se darán 2 insignias de identificación para trabajadores, en cada puesto arrendado. Las insignias de los trabajadores le dan acceso al salón de exhibición de cakes, y el área de los vendedores. Por $15.00 (U.S.) puede obtener insignias adicionales para los vendedores. Los vendedores s y sus representantes tienen que usar sus insignias de identificación todo el tiempo que permanezcan en el salón de exhibición. Estas insignias de identificación son para su protección e identificación. NO deben ser prestadas o dárselas a otras personas. Los violadores serán expulsados del local.
