1 FIBRASHOP ANUNCIA QUE ACEPTÓ UNA OFERTA PARA COMPRAR EL 40% DE SU COMPAÑÍA ASESORA, FIBRASHOP PORTAFOLIOS INMOBILIARIOS. SE ESPERA QUE FIBRASHOP TENGA UN BENEFICIO ECONÓMICO NETO DE APROXIMADAMENTE LA MISMA PROPORCIÓN, CON LO CUAL SE ESTIMA UNA TASA INTERNA DE RETORNO PARA FIBRASHOP SUPERIOR AL 26%. Ciudad de México, 6 de marzo, FibraShop (FSHOP) (BMV: FSHOP13), CI Banco S.A. Institución de Banca Múltiple Fideicomiso Irrevocable Número F/00854, fideicomiso de bienes raíces especializado en centros comerciales, por este medio hace del conocimiento del público que el día de ayer aceptó la alternativa que le ofrecieron Grupo Caceba y Grupo Frel de adquirir de ciertos accionistas vendedores el 40% de las acciones de FibraShop Portafolios Inmobiliarios SAPI de CV (el Asesor), que es la compañía que presta servicios de asesoría a FibraShop. La adquisición tiene un precio de Doscientos Quince Millones de pesos ($215,000,000.00) pagaderos en efectivo a la firma en una sola exhibición. Derivado de que los estatutos del Asesor otorgan a Grupo Caceba y Grupo Frel un derecho del tanto para adquirir las acciones que ciertos de sus accionistas han ofrecido en venta, ambos grupos decidieron renunciar a dicho derecho del tanto, y ofrecerle a FibraShop adquirir dichas acciones, a fin de trasladarle el beneficio resultante a FibraShop y todos sus inversionistas, según se describe más adelante. Proyectando el NOI (Ingreso operativo neto, por sus siglas en inglés) únicamente con el portafolio actual y las dos co-invesiones que actualmente tiene en marcha FibraShop, el ahorro a valor presente (considerando el pago realizado) representa una tasa interna de retorno anual (TIR) superior al 26% (considerando que el contrato de asesoría tiene una vigencia restante de 10.5 años, si bien se renovará de manera automática anualmente). El rendimiento sobre esta inversión no considera el ahorro que tendrá FibraShop (en la proporción que adquiere) en el evento de que en el futuro por inversiones adicionales a las actuales creciera el NOI de la compañía. Derivado de la titularidad de las acciones del Asesor, FibraShop recibirá aproximadamente el 40% de los flujos derivados de la Comisión por Asesoria que la propia Fibra paga actualmente al citado Asesor, por lo que el efecto neto resultará en un beneficio económico para FibraShop de aproximadamente el equivalente al 40% de la Comisión por Asesoria que paga FibraShop. Los gastos en que incurren el Asesor, Grupo Caceba y Grupo Frel derivado de su labor de asesoría no se repercutirán a la posición accionaria de FibraShop. Cabe mencionar que la comisión anual que hoy paga FibraShop es del 7.5% del NOI. Con dicha transacción, se estima que el efecto neto resultaría en un beneficio económico para FibraShop de aproximadamente el equivalente al 40% de dicha comisión, cuyo porcentaje neto equivaldría a alrededor del 4.5% del NOI. Los grupos de accionistas que le venden su participación en el Asesor a FibraShop son Grupo Central de Arquitectura y el Grupo de Inversionistas Patrimoniales, mismos grupos que fungieron como fundadores de FibraShop y que aportaron Inmuebles y dinero al momento de la oferta pública inicial, y que por consiguiente formaron parte del Fideicomiso de Control de FibraShop. Como parte de los acuerdos de venta, y para dar efecto a la salida de estos grupos de accionistas del Asesor y del Fideicomiso de Control, se han firmado diversos convenios para regular la nueva estructura del Grupo de Control de FibraShop, incluyendo la modificación al Fideicomiso de Control, y regulando el ejercicio del derecho de voto en Fibra Shop, de modo que dichos grupos se obligan a votar sus CBFIs en FibraShop en el mismo sentido que el Fideicomiso de Control en ciertos asuntos.

2 La adquisición de las acciones del Asesor fue aprobada por el Comité Técnico de FibraShop, con el voto unánime de los miembros con derecho a voto, habiéndose excusado de deliberar y votar en este punto del orden del día aquellos miembros involucrados en la transacción, e incluyendo el voto favorable del resto de los Consejeros Patrimoniales e Independientes. Como resultado de estas operaciones, los señores José Antonio Sánchez Ruiz, Moisés Ison Zaga, Héctor Madero Rivero y Joaquín Gallástegui Armella dejarán de formar parte del Comité Técnico de FibraShop y del Fideicomiso de Control, en el entendido que la renuncia respectiva en el Comité Técnico de FibraShop. Adicionalmente, como parte de esta operación, los grupos Central de Arquitectura y los Inversionistas Patrimoniales retirarán sus CBFI s del Fideicomiso de Control. Dichos CBFI s representan el 4.71% de los títulos en circulación, por lo que el Fideicomiso de Control quedará como titular del 18.11% de los títulos en circulación. Grupo Caceba y Grupo FREL renunciaron a su derecho al tanto para adquirir las acciones del Asesor y como Grupo de Control, refrendan con esto su compromiso de largo plazo y alineación de intereses con la compañía FibraShop y con esto beneficiar y crear más valor para los inversionistas de FibraShop. 4 FIBRASHOP ACCEPTS OFFER TO BUY 40% OF ITS ADVISOR, FIBRASHOP PORTAFOLIOS INMOBILIARIOS. THE NET ECONOMIC BENEFIT FOR FIBRASHOP IS EXPECTED TO BE OF APPROXIMATELY THE SAME PROPORTION, ESTIMATED IN AN INTERNAL RATE OF RETURN ABOVE 26% Mexico City, Mexico, March 6, FibraShop (FSHOP) (BMV: FSHOP13), CI Banco S.A. Institución de Banca Múltiple Irrevocable Número F/00854, the first real estate investment trust specialized in shopping centers, announced today that it accepted the offer presented by Grupo Caceba and Grupo Frel to acquire from certain selling shareholders 40% of the shares of FibraShop Portafolios Inmobiliarios SAPI de CV (the Advisor), the company that provides advisory services to FibraShop. The purchase price was Ps. 215 million, paid in cash at the signature in a single payment. Given that the by-laws of the Advisor grant Grupo Caceba and Grupo Frel a right of first refusal to acquire the shares from the selling shareholders, both parties opted to waive such rights and offer FibraShop the right to purchase the shares, in order to transfer the resulting benefit to FibraShop and all of its shareholders, as described below. Considering a projected NOI solely based on its current portfolio along with the two ongoing co-investments made by FibraShop, the net present value savings (considering the payment made) represent an internal rate of return (IRR) above 26% (considering that the remaining term of the advisory contract is of 10.5 years, although it may be renewed automatically on a yearly-basis). The return of this investment excludes savings (in the same proportion of the acquisition) of which FibraShop may benefit in case of future investments that could have a positive impact on the company s NOI. Given the Advisor s current ownership structure, FibraShop will receive approximately 40% of the advisory fee cash flows currently paid by the Fibra to the Advisor. As a result, FibraShop will receive a net economic benefit of approximately 40% of the amount paid as advisory fee by FibraShop to the Advisor. Expenses incurred by the Advisor, Grupo Caceba and Grupo Frel related to their advisory services will have no impact at FibraShop s shareholding interest. It is worth noting that FibraShop currently pays an annual advisory fee equal to 7.5% of its NOI. As a result of this transaction, it is estimated that the net economic benefit for FibraShop would be of approximately 40% of such fee, which net percentage would equal approximately 4.5% of its NOI.

5 The group of shareholders selling their stake at the Advisor to FibraShop is comprised of Grupo Central de Arquitectura and the Institutional Investors Group (Grupo de Inversionistas Patrimoniales), both of whom acted as founding members of FibraShop, contributed real estate properties and cash as part of the IPO, and thus, became members of the Control Trust of FibraShop. As part of the agreements for the sale, and to allow the exit of the abovementioned groups of shareholders from the Advisor and the Control Trust, the parties signed new agreements to govern the new structure of the Control Group at FibraShop, including amendments to the Control Trust, and governing the voting rights at FibraShop, in a manner such that such groups agreed to vote their CBFIs at FibraShop in the same manner as the Control Trust for certain matters. The acquisition of the Advisor s shares was unanimously approved by the members of the FibraShop s Technical Committee with a right to vote in such matter. Members involved in the transaction did not participate in the discussion or voting of this item of the agenda; and the matter included the favorable vote of the rest of the insider board members and of all of the independent board members. As a result of the transaction, Jose Antonio Sanchez Ruiz, Moises Ison Zaga, Hector Madero Rivero and Joaquin Gallastegui Armella will no longer be part of the Technical Committee at FibraShop and the Control Trust. Additionally, following this transaction, Central de Arquitectura and the Institutional Investors will remove their CBFIs from the Control Trust. These represent 4.71% of the outstanding CBFIs, and therefore, the Control Trust will remain as a holder of 18.11% of the total outstanding CBFIs. Grupo Caceba and Grupo FREL waived their right of first refusal to purchase the shares in the Advisor and, as the Control Group, confirm their long-term commitment and alignment with FibraShop s interests, with a focus on adding benefits and creating additional value for FibraShop s shareholders. 2
