1 FIBRA INN FIRMA ACUERDO PARA ADQUIRIR EL HOTEL ALOFT GUADALAJARA LAS AMERICAS, UNA MARCA DE STARWOOD HOTELS & RESORTS WORLDWIDE Monterrey, México 28 de enero de 2014 Deutsche Bank México, S.A., Institución de Banca Múltiple, División Fiduciaria, Fideicomiso F/1616 o Fibra Inn (BMV: FINN13) ( Fibra Inn o la Compañía ), el fideicomiso de bienes raíces hotelero en México especializado en servir al viajero de negocios, anuncia que firmó un acuerdo vinculante para la compra del Hotel Aloft Guadalajara Las Américas en el estado de Jalisco. Este hotel será la tercera propiedad en Guadalajara y la vigésima tercera en el portafolio total de Fibra Inn, incluyendo los desarrollos. Por medio de este acuerdo vinculante, Fibra Inn inicia el proceso con Starwood para integrar a su portafolio de hoteles la marca Aloft de la división W Hotels de la cadena internacional Starwood Hotels & Resorts Worldwide, Inc. Fibra Inn está en el proceso de cumplir con los requisitos de aprobación. Starwood es una de las cadenas hoteleras líderes a nivel mundial, con aproximadamente 1,169 propiedades en 100 países. Starwood es una de las cadenas más fuertes en hoteles con el concepto lifestyle, con marcas como W y Aloft. Adicionalmente, tiene otras marcas muy bien posicionadas como Sheraton, Four Points by Sheraton y Westin, entre otras. El precio pactado de este hotel es de Ps. 220 millones a un cap rate de 10%, más Ps millones de impuestos y gastos de adquisición. El hotel está recién construido y se pagará de la siguiente forma: a. Ps millones en efectivo con el remanente de los recursos provenientes de la oferta pública inicial que se realizó el 13 de marzo de b. El monto restante se pagará con una línea de crédito temporal contratada con Actinver. En caso de que el hotel alcance dentro del tercer año de operación un cap rate en términos reales superior al 10.6%, la parte vendedora tendrá derecho a recibir una prima por desempeño, equivalente al rendimiento excedente. El Comité Técnico aprobó esta adquisición el pasado 29 de noviembre de 2013, ya que representará el 6% del valor del portafolio de la Fibra. De acuerdo con los estatutos sociales de Fibra Inn, el Comité Técnico debe aprobar las adquisiciones que excedan el 5% del valor total del patrimonio y la Asamblea de Tenedores deberá hacer lo propio cuando sean mayores del 20%. La economía de la ciudad es diversificada y con un gran número de empresas de tecnología y manufactura con una alta oferta de servicios. La Avenida de las Américas es una de las principales avenidas en la ciudad de Guadalajara y está localizada es un área financiera y de negocios rodeada de comercio y restaurantes donde se albergan los dos hoteles de nivel más alto, el NH Select y el Fiesta Americana Grand Guadalajara Country Club que cuentan con ocupaciones elevadas y son líderes en tarifa. La Expo Guadalajara es el recinto más importante de congresos y convenciones del país con récords históricos de ocupación en los útlimos años que generan demanda hotelera en toda la ciudad. La marca Aloft con su concepto lifestyle tiene muchas probabilidades de éxito en esta plaza y esta ubicación, ya que está dirigida al viajero de negocios de alto poder adquisitivo. La operación de este hotel estará a cargo de Starwood, quien cuenta con más de 17 hoteles operados en México, más otros franquiciados a operadores terceros. El Hotel Aloft Guadalajara Las Américas es el segundo hotel Aloft en México; el primero está ubicado en Cancún y maneja un concepto innovador que redefine la categoría de servicio selectos con un hotel lifestyle a una tarifa competitiva. 5 FIBRA INN SIGNS AGREEMENT TO ACQUIRE HOTEL ALOFT GUADALAJARA LAS AMERICAS, A STARWOOD HOTELS & RESORTS WORLDWIDE BRAND Monterrey, Mexico, January 28, Deutsche Bank Mexico, S.A., Banking Institution, Trust Division F/1616 or Fibra Inn (BMV: FINN13) ( Fibra Inn or the Company ), a Mexican real estate investment trust specializing in the hotel industry serving the business traveler, announced today that it has signed a binding agreement for the acquisition of the Hotel Aloft Guadajara Las Américas in the State of Jalisco. The hotel will be the third property in Guadalajara and the twenty-third in Fibra Inn s total portfolio, including properties under development. Through this binding agreement, Fibra Inn begins the process with Stawood to integrate into its portfolio of hotels the Aloft Brand of the W Hotels division of the international chain Starwood Hotels & Resorts Worldwide, Inc. Fibra Inn is n the process to obtain the approval. Starwood is one of the leading global hotel chains, with approximately 1,169 properties in 100 countries. Starwood is one of the strongest chains in the lifestyle concept, with brands such as W and Aloft. Furthermore, it has other well-positioned brands such as Sheraton, Four Points by Sheraton and Westin, among others. The agreed upon price for the hotel is Ps. 220 million at a 10% cap rate, with an additional Ps million in taxes and acquisition expenses. The hotel was built recently and will be paid for in the following manner: a. Ps million in cash from the remaining proceeds of the initial public offering that took place on March 13, b. The remaining balance will be paid with a temporary credit line contracted through Actinver. In the event that in the third year the hotel reaches profitability in real terms exceeding 10.6%, the seller will have the right to receive a performance Premium, equivalent to the profitability reached. The Technical Committee approved this acquisition on November 29, 2013, given that it will represent 6% of the Fibra s portfolio value. In accordance with Fibra Inn s by-laws, the Technical Committee must approve acquisitions that exceed 5% of the portfolio, while the Shareholders Meeting must approve those that exceed 20%. 6 Press Release Fibra Inn opted to acquire this hotel for the following reasons: Guadalajara is one of the three most important cities in the country, from an economic standpoint; as a result, it has a high level of market demand and there is a need for hotel options across all market segments. The city has a diversified economy with a high number of technology and manufacturing companies with a large service offering. Avenida de las Américas is one of Guadalajara s main thoroughfares and is located in the financial and business area of the city, surrounded by stores and restaurants that house the two top-end hotels, the NH Select and the Fiesta Americana Grand Guadalajara Country Club, which have high occupancy levels and are leaders in the price segment. Expo Guadalajara is the most important convention center in the country with historically high occupancy rates in previous years that result in high demand for hotel options throughout the city. The Aloft brand of W Hotels, with its lifestyle concept has a high probability of success in this area and location since it is geared towards the business traveler with high purchasing power. The operation of this hotel will be managed by Starwood, which has more than 17 hotels in operation in Mexico, in addition to other franchisees, operated by third parties. The Hotel Aloft Guadalajara Las Américas is the second Aloft hotel in Mexico; the first one is located in Cancún and it features an innovative concept that redefines the elect service segment with a lifestyle hotel that is priced at a competitive rate.
