Considerando la importancia de estos trabajos, el momento en el que habrán de realizarse, los alcances de dichos trabajos, y el carácter confidencial de determinadas informaciones que serán accesibles a las partes, se debe partir de una clara delimitación de los intervinientes en el proceso material de revisión, las condiciones de acceso al espacio físico habilitado o Data Room (DR) donde quedará disponible la documentación, todo lo cual aconseja disponer unas ciertas normas que garanticen: I. OBJECTIVE AND JUSTIFICATION OF THESE RULES Compliance with that established by the 7th stipulation of the Agreement of 03/26/2007 between YY and XX, requires, among other activities, a process of verification or auditing commonly called "due diligence", which is standard practice in this type of operation. Considering the importance of this work, a determination of the time-frame in which it will be carried out, the scope of such work, and the confidential nature of certain information which will be accessible to The Parties, should be based on a clear definition of the contracting parties which will be involved in the actual revision process and the conditions of access to the physical space provided or Data Room (Hereinafter, DR), where the documentation will be available.
