Avenida Eduardo Frei Montalva Nº 9.600, Quilicura, Santiago, Chile De nuestra consideración: Hacemos referencia a la relación comercial entre Cervecería Chile S.A. (en adelante, la Empresa ) y (en adelante el Proveedor ), y en particular, a los servicios y prestaciones objeto de dicha relación (los Servicios ). Por medio de la presente, el Proveedor se obliga a preservar en carácter de confidencial toda la información que la Empresa provea al Proveedor, y toda la información que el Proveedor reciba de la Empresa o a la que tenga acceso con motivo o en ocasión de la prestación de los Servicios, incluyendo bajo el concepto de información todo tipo de documentos, objetos, diseños, ideas, proyectos y demás instrumentos (la Información Confidencial ) de acuerdo con lo dispuesto en la presente. El Proveedor se obliga a resguardar la confidencialidad de la Información Confidencial. Salvo que la Empresa haya prestado previo consentimiento expreso por escrito para ello, el Proveedor se obliga a: (i) no distribuir o revelar a terceros la Información Confidencial; (ii) no brindar acceso a terceros a la Información Confidencial; y (iii) no utilizar Información Confidencial para cualquier otro fin distinto del uso permitido, quedando establecido que el Proveedor se obliga a no transmitir la Información Confidencial a personas que no sean funcionarios y/o empleados, y transmitirla únicamente a aquellos que deban tener conocimiento de la misma, al sólo efecto de la prestación de los Servicios contratados, y que hayan aceptado obligarse por las disposiciones de este Convenio. Para el caso de que se le exija al Proveedor revelar la Información Confidencial en un procedimiento judicial o administrativo, deberá notificarlo inmediatamente a la Empresa para que ésta pueda iniciar las acciones legales que estime necesarias a fin de proteger sus derechos. No se considerará Información Confidencial aquella información que el Proveedor pueda demostrar fehacientemente que encuadra dentro de cualquiera de los siguientes supuestos: (i) información que se encontrara lícitamente en poder del Proveedor antes de que le sea suministrada por la Empresa; o (ii) información que, después de ser entregada por la Empresa al Proveedor, pase a ser de dominio público sin que ello hubiese ocurrido en violación de este convenio. A los efectos de cumplir las obligaciones establecidas en el presente, el Proveedor aplicará los mismos esfuerzos que destina a proteger su información secreta y confidencial. El Proveedor se compromete a guardar la más estricta confidencialidad, respecto a los trabajos que realice para la Empresa. El Proveedor se obliga a no patentar y/o reclamar derechos de propiedad intelectual sobre los Servicios prestados y/o el material objeto de los Servicios y/o las obras, diseños, creaciones, inventos y modelos resultantes de los Servicios prestados o encomendados por la Empresa. El Proveedor se obliga a no prestar los servicios encomendados por la Empresa ni a divulgar el objetivo ni las ideas involucradas en los mismos a otros clientes cuando estos servicios puedan involucrar creaciones o derechos que impliquen inversiones de investigación y desarrollo de la Empresa y/o afectar derechos de propiedad de la Empresa. 2 El Proveedor pagará todos los derechos sobre licencias de su propiedad que utilice y mantendrá indemne a la Empresa, sus funcionarios, representantes y empleados contra toda responsabilidad, incluyendo costos y gastos por violación de los derechos de patentes u otros derechos amparados. El Proveedor se obliga a no utilizar el nombre de la Empresa y/o el vínculo comercial que los une en cualquier publicidad o promoción de marketing o relaciones con terceros, salvo que se haya prestado consentimiento expreso por escrito para ello. Las obligaciones de confidencialidad asumidas bajo el presente no se extinguen con la finalización de la relación comercial o la prestación de los Servicios. Los términos aquí previstos pueden ser modificados o ampliados con expresa conformidad de las partes en caso de que existan circunstancias específicas que así lo requieran. Asimismo, el Proveedor declara y garantiza lo siguiente: 1. El Proveedor, sus directores, representantes, empleados y socios no incurrieron en el pasado, ni incurrirán en: ofrecer, prometer, pagar, dar o autorizar cualquier pago o cualquier cosa de valor, directa o indirectamente, para o en beneficio de cualquier Autoridad, con el fin de obtener o retener negocios o ventajas y/o con el fin de inducir a alguien, inapropiadamente, a desempeñar actividades que violen, aunque sea potencialmente, cualquier Legislación de Anticorrupción. A los fines de este acuerdo, Autoridad significa cualquier autoridad, funcionario, agente o representante, o cualquier otra persona que actúe oficialmente o en nombre de cualquier (i) gobierno (nacional, provincial, municipal y/o estadual), incluida cualquier entidad que sea propiedad o esté controlada por dicha entidad, (ii) un partido político o candidato político, (iii) una organización internacional pública, o (iv) persona que tenga conocimiento o tenga razones para creer que parte del pago entregado u ofrecido a dicha persona será dirigido a cualquiera de las categorías anteriores. 2. El Proveedor cumple con la Legislación de Anticorrupción, y todas las reglas y normas que le resultan aplicables. A los fines de este acuerdo, Legislación de Anticorrupción significa (i) la US Foreign Corrupt Practices Act de 1977, (ii) la UK Bribery Act de 2010, (iii) la Ley Federal Brasileña n.º /13, y (iv) cualquier otra ley, norma, reglamento u otra medida legalmente vinculante de cualquier jurisdicción que esté relacionada con los sobornos o la corrupción; 3. El Proveedor no fue objeto de ninguna investigación relacionada al incumplimiento de la Legislación de Anticorrupción y sus actividades no debieran ocasionar, razonablemente, cualquier tipo de investigación de esta naturaleza. 4. Ninguna Autoridad es director o accionista del Proveedor ni tiene derechos o intereses sobre los pagos que la Empresa efectué al Proveedor o cualquier otro bien de valor provisto por la Empresa a este en virtud de la relación comercial existente. 5. No hará ningún tipo de contribución, donación, regalo o presente a favor de campañas políticas, candidatos a cargos políticos, o partidos políticos o funcionarios de dichos partidos, excepto que tales contribuciones, donaciones o regalos (a) se efectúen en virtud de la legislación aplicable, (b) no se realicen a cambio de ventajas o de beneficios relacionados con la Empresa o con la relación comercial entre la Empresa y el Proveedor, y (c) sean ingresados en forma expresa y registrados con precisión en los libros y en los registros del Proveedor. 6. Que las declaraciones y garantías aquí establecidas conservarán su veracidad y exactitud en todo momento durante la vigencia de la relación comercial entre la Empresa y el Proveedor. Página: 2

3 Con relación a los compromisos de anticorrupción mencionados anteriormente: (i) el Proveedor se compromete a responder todo interrogatorio oral o escrito que pudiera hacer la Empresa y posibilitar la realización de entrevistas a sus empleados, dentro de horarios razonables, conforme sea indicado, previa notificación de al menos 48hs de anticipación; y (ii) La Empresa tendrá derecho a inspeccionar y a auditar los libros, registros y estados contables del Proveedor, para lo cual deberá notificarlo con por lo menos 48hs de anticipación y el Proveedor realizará sus mejores esfuerzos para brindar su colaboración respecto de esta inspección, auditoría, análisis e informes al respecto; y (iii) el Proveedor deberá indemnizar a la Empresa y sus sociedades vinculadas, directores, funcionarios, empleados, consultores, agentes y accionistas, frente a cualquier reclamo de terceros, daño y/o responsabilidad, incluidos los honorarios, cargos y pagos en concepto de asesoría letrada en que hubieran incurrido o que hubieran abonado, como consecuencia de (a) la falta de veracidad o de exactitud de alguna de las declaraciones y garantías expresadas en el presente documento, (b) incumplimiento por parte del alguna de las declaraciones precedente, y (c) cualquier reclamo, causa, investigación o proceso judicial o administrativo que tuvieran vinculación con la Legislación de Anticorrupción. No obstante cualquier disposición en contrario acordada entre las partes, la Empresa no se encontrará obligada a realizar pago alguno o a llevar a cabo ningún acto en virtud de la presente si considera de buena fe que dicho acto pudiera ser violatorio de la Legislación de Anticorrupción o propiciar su incumplimiento. Asimismo, la Empresa no tendrá responsabilidad alguna frente al Proveedor frente a los reclamos, pérdidas o daños originados en el ejercicio que la Empresa de los derechos aquí otorgados por el Proveedor, incluyendo el derecho de la Empresa de velar por el cumplimiento de la Legislación de Anticorrupción. Asimismo, en caso de incumplimiento con el presente compromiso de confidencialidad y anticorrupción, la Empresa podrá rescindir los Servicios de forma inmediata sin que ello dé lugar a indemnización alguna en favor del Proveedor. Asimismo, la Empresa podrá reclamar judicialmente los daños y perjuicios ocasionados por el incumplimiento del Proveedor y/o cualquier otra medida judicial y/o extrajudicial tendiente a proteger el cumplimiento de los compromisos asumidos por la presente. El Proveedor se compromete que las obligaciones asumidas por el presente son exigibles a eventuales cesionarios y/o empresas vinculadas y/o relacionadas con el Proveedor. (the Company ) and [ ] (indistinctively, we or the Provider ), and particularly, regarding the services to be provided by us (the Services ). The Provider represents and warrants that will keep privileged and confidential all the information provided by the Company, and all the information that the Provider could obtain from the Company or to which it has access to as a consequence or providing the Services, including any type of documents, objects, designs, ideas, projects and other instruments (the Confidential Information ). The Provider shall keep the confidentiality of the Confidential Information at all times. Unless the Company has given prior written consent, the Provider agrees: (i) not to distribute or disclose any Confidential Information; (ii) not to provide third parties access to the Confidential Information; and (iii) not to use Confidential Information for any other purpose than the permitted by the Services to be provided, it being understood that the Provider agrees not to disclose and/or deliver the Confidential Information to any third party or employee (except for those employees who should be aware of such Confidential Information for purposes of rendering the Services, provided that they are also subject, and accept to be subject, to the same confidentiality commitments as hereby assumed by the Company). If the Provider is required to disclose the Confidential Information in a judicial or administrative proceeding by law, it shall promptly notify the Company so that it can initiate the appropriate legal actions to protect their rights. It shall not be considered Confidential Information if the Provider can prove conclusively that falls within any of the following circumstances: (i) information that was lawfully held by the Provider before it was delivered by the Company, and that the Provider has legal right to make disclosure; or (ii) information that becomes public information other than by an unauthorized act or omission or the receiving party. The Provider undertakes to maintain strict confidentiality with respect to the Services to be rendered for the Company. The Provider agrees not to patent and/or register nor claim any intellectual property rights, trademarks, based and/or derived from the Services including any material, work, design, creation, invention and/or model(s) resulting thereof or in any way instructed or required by the Company. The Provider shall not provide the Services and/or disclose the purpose or ideas involved thereof to any other client when such Services may involve creations and/or rights involving research and development investments by the Company and/or might affect any property right of the Company. The Provider shall pay all applicable licensing rights to render the Services according to the applicable law and shall hold harmless the Company, its officers, agents and employees against any liability, including any costs and expenses (including attorney s fees) from any damages arising from any violation thereof (including claims by third parties). The Provider shall not use the name of the Company, Company s brands and/or commercial relationship in any publicity or marketing and/or promotion for third parties, unless prior written consent by the Company. 6 The confidentiality obligations assumed hereby the Provider shall be in full force and effect even after termination of the commercial relationship between the Provider and the Company. Furthermore, the Provider represents and warrants that: 1. The Provider, its directors, officers, employees and partners did not and shall not offer, promise, pay, give or authorize any payment of money or anything of value, directly or indirectly, to or for the benefit of any Authority (as defined below), in order to obtain or retain business or benefits and/or to induce others inappropriately, to perform activities that would violate, albeit potentially, any Anti-corruption Law (as defined below. Authority shall mean (i) any officer, representative, or employee of government, or any department, agency or instrumentality thereof, or any entity owned or controlled by it, or of a public international organization, or any person acting in an official capacity for or on behalf of such any such entity, (ii) any political party or official thereof, (iii) any candidate to political office, or (iv) any person while knowing that all or a portion of the payment will be offered, given or promised to an individual falling within one of said categories. 2. The Provider complies with all Anti-Corruption Laws, rules and regulations that are applicable. Any reference to Anti-Corruption Law(s) shall mean (i) the "US Foreign Corrupt Practices Act" of 1977, (ii) the "UK Bribery Act" of 2010, (iii) the "Brazilian Federal Law No. 12,846 / 13", and (iv) any other law, rule, regulation or other legally binding measure of any jurisdiction that is related to bribery or corruption. 3. The Provider was not subject to any investigation related to any Anti-Corruption Laws and that its activities should not reasonably cause any investigation of such nature. 4. No Authority is director or shareholder of the Provider nor has any right or interest in the payments that the Company made to the Provider or any other thing of value that the Company may deliver to the Provider according to their commercial relationship. 5. The Provider will not make any contribution, donation, gift, favor, or present to any political campaigns, candidates, political parties or officials of such parties, except when such contributions, donations or gifts (a) are permitted and made according to the applicable law, (b) are not made in exchange to obtain any advantage for the benefit of the Provider, the Company, or the business relationship of the Provider and the Company, and (c) are duly and accurately recorded in the appropriate books and records of the Provider. 6. That the representations and warranties set forth herein shall remain true and accurate at all times during the term of the business relationship between the Company and the Provider. In connection with the commitments mentioned above: (i) the Provider agrees to answer all oral or written inquiries that the Company might require, and to allow interviews of its employees, within reasonable hours, and provided the Company requested so at least with 48 hours in advance; (ii) the Company, with prior 48 hours notice in advance, shall have the right to inspect and audit the books, records and financial statements of the Provider and the Provider shall use its best efforts to collaborate with any audit and reporting that might be requested by the Company; and (iii) the Provider shall indemnify the Company, its affiliates, directors, officers, employees, consultants, agents and shareholders against any third party claims, damages and/or liability, including attorney s fees incurred, derived or as a consequence of (a) the lack of truthfulness or accuracy of any of the representations and warranties made by the Provider, (b) breach or non-compliance of any of the aforementioned representations and warranties, and (c) any claim, cause, investigation or prosecution or administrative proceeding related with the Anti-Corruption Laws. 7 The Company shall not be obliged to make any payment to the Provider nor shall the Company be obliged to comply with any other of its obligations if in good faith the Company considers that such payment and/or act might conflict, induce or encourage violating in any way the Anti- Corruption Laws. Further, the Company shall have no liability whatsoever against any claim, losses or damages that derived as a consequence of the Company exercising the rights granted hereby by the Company. In the event of non-compliance with this commitment of confidentiality and anti-corruption, the Company can terminate the Services immediately and the Provider shall not be entitled to any compensation and/or indemnification for such termination. The Company shall be entitled to claim any damages caused by failure of the Provider to comply with the commitments set forth herein, and the Company shall be entitled to take any administrative and/or judicial action to protect or ensure compliance of the commitments hereby assumed by the Provider.
